R-2011- /3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, APPROVING AMENDMENT #3 TO AGREEMENT BETWEEN THE CITY OF TAMARAC AND FRANKLIN COMMUNICATIONS, LLC FOR "PRINTING & DISTRIBUTION OF CITY OF TAMARAC PUBLICATIONS", EXTENDING THE AGREEMENT FOR AN ADDITIONAL ONE (1) YEAR PERIOD; AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXECUTE AMENDMENT #3 TO AGREEMENT FOR "PRINTING & DISTRIBUTION OF CITY OF TAMARAC PUBLICATIONS" SERVICES; AUTHORIZING THE CITY MANAGER TO APPROVE EXPENDITURES FOR PRINTING; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Tamarac requires printed newsletters, reports, postcards, brochures and other documents as required by the City to effectively notify residents and employees of information, events, and functions; and WHEREAS, the City Commission of the City of Tamarac awarded a contract for a term of two (2) years pursuant to Resolution Number R-2007-32 for the provision of "Printing and Distribution of City of Tamarac Publications" at its March 28, 2007 regular meeting, a copy of said resolution is on file with the Office of the City Clerk; and WHEREAS, the original resolution provided for three (3) additional one (1) year renewal options subject to satisfactory performance by the contractor; and Temp. Reso. # 11984 Page 2 of 4 January 18, 2011 WHEREAS, the City of Tamarac has amended the agreement annually providing for continuation of "Printing and Distribution of City of Tamarac Publications; and WHEREAS, this will be the final available renewal of the agreement with Franklin Communication, LLC; and WHEREAS, the best interest of the City is served by exercising the third and final renewal option of the agreement for "Printing and Distribution of City of Tamarac Publications" with Franklin Communications, LLC for a period of one (1) year; and WHEREAS, funds are budgeted in the appropriate departmental accounts for printing services; and WHEREAS, it is the recommendation of the Public and Economic Affairs Officer and the Purchasing and Contracts Manager that the third and final renewal option of the Agreement to provide "Printing & Distribution of City of Tamarac Publications" be exercised, and Amendment #3 to Agreement be approved and executed with Franklin Communications, LLC, for an additional one (1) year period, a copy of which is attached hereto as "Exhibit 1 "; and WHEREAS, the City Commission of the City of Tamarac, Florida, deems it to be in the best interest of the citizens and residents of the City of Tamarac to approve and execute Amendment #3 to Agreement between the City of Tamarac and Franklin Communications, LLC providing for the third and final renewal option of the agreement to provide "Printing & Distribution of City of Tamarac Publications". Reso. # 11984 Page 3 of 4 January 18, 2011 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA THAT: SECTION 1: The foregoing "WHEREAS' clauses are HEREBY ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution upon adoption hereof and all exhibits attached hereto are incorporated herein and made a specific part of this resolution. SECTION 2: The appropriate City Officials hereby approve Amendment #3 to Agreement between the City of Tamarac and Franklin Communications, LLC for the third and final one (1) year renewal to the Agreement providing for "Printing & Distribution of City of Tamarac Publications". (attached hereto as "Exhibit 1") SECTION 3: The appropriate City Officials are hereby authorized to execute Amendment #3 to Agreement between the City of Tamarac and Franklin Communications, LLC for the third, and final one (1) year renewal to the Agreement providing for "Printing & Distribution of City of Tamarac Publications". SECTION 4: The City Manager is hereby authorized to approve expenditures for printing as may be required and as outlined in the agreement with Franklin Communication, LLC. SECTION 5: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 6: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or Temp. Reso. # 11984 Page 4 of 4 January 18, 2011 invalid, in part or application, it shall not affect the validity of the remaining portions or applications of this Resolution.
