RESOLUTION NO. R-2005- 11
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA, AUTHORIZING THE
APPROPRIATE CITY OFFICIALS TO ACCEPT AND
EXECUTE A "CITY OF TAMARAC MAINTENANCE
EASEMENT" WITH PARKER HG, INC. FOR THE
MAINTENANCE OF CANALS AND DRAINAGE
DITCHES LOCATED WITHIN THE SABAL PALM GOLF
COURSE PROPERTY; AUTHORIZING AND
DIRECTING THE CITY CLERK TO RECORD SAID
DOCUMENT IN PUBLIC RECORDS OF BROWARD
COUNTY; PROVIDING FOR CONFLICTS; PROVIDING
FOR SEVERABILITY; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, in 1977 the City Commission entered into a Stipulation with
Leadership Housing, Inc., Sabal Palm Golf Club, Inc., its successors and assigns
through Resolution No. R-77-109 providing that the City would maintain the
canals and drainage ditches located within the Sabal Palm Golf Course upon

receipt of the required easements; and
WHEREAS, not all of the required easements were granted to the City
upon execution of the Stipulation; and
WHEREAS, Parker HG, Inc., the current owner of Sabal Palm Golf
Course, has provided the necessary easements, attached hereto as Exhibit 1, in
order for the City to perform its obligation under the Stipulation and begin
maintenance of the canals and drainage ditches; and

WHEREAS, the City Commission of the City of Tamarac, Florida, deems it
to be in the best interest of the citizens and residents of the City of Tamarac to
accept and execute a "City of Tamarac Maintenance Easement" with Parker HG,
Inc. for maintenance of canals and drainage ditches located within the Sabal
Palm Golf Course property.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF TAMARAC, FLORIDA, THAT:
SECTION 1: The foregoing "WHEREAS" clauses are hereby
ratified and confirmed as being true and correct and are hereby made a specific
part of this Resolution.
SECTION 2: The appropriate City Officials are hereby authorized
to accept and execute a "City of Tamarac Maintenance Easement" (attached
hereto as Exhibit 1) with Parker HG, Inc. to allow legal access by City personnel
for the maintenance of the canals and drainage ditches located within the Sabal
Palm Golf Course property.
SECTION 3: The City Clerk is hereby authorized and directed to
record said maintenance easement in the Public Records of Broward County.
SECTION 4: All resolutions or parts of resolutions in conflict
herewith are hereby repealed to the extent of such conflict.

SECTION 5: If any clause, section, other part or application of this
Resolution is held by any court of competent jurisdiction to be unconstitutional or
invalid, in part or application, it shall not affect the validity of the remaining
portions or applications of this Resolution.
SECTION 6: This Resolution shall become effective immediately
upon its passage and adoption.

CITY OF TAMARAC MAINTENANCE EASEMENT
FOR: SABAL PALM GOLF COURSE
This MAINTENANCE EASEMENT ("Agreement") made this w day of,'�'I1 ,
20ok by PARKER HG, INC., a Florida corporation, having an address of 16 Barracuda Lane,
Key Largo, FL 33037 (hereinafter "Grantor"), and the CITY OF TAMARAC, a municipal
corporation of the State of Florida, having an address at 7525 Northwest 88t" Avenue, Tamarac,
Florida 33321 (hereinafter "Grantee"). (Whenever used herein, the term "Grantor" and
"Grantee" shall include the respective successors and assigns of the parties hereto, whenever
the context so admits or requires).
PRELIMINARY RECITALS:
A. Grantor is the owner of that certain real property located in Broward County,
Florida, more particularly described in Exhibit "A" attached hereto (hereinafter referred to as
the "Property"), which Property is operated as a golf course; and
B. Grantee entered into a Stipulation dated June 22, 1977, Resolution No. R-77-109
(the "Stipulation") with Grantor's predecessor Sabal Palm Golf Club, Inc. and Leadership
Housing, Inc. pertaining to the maintenance of certain drainage ditches situated on the Property
(the "Drainage Ditches").
C. Pursuant to the Stipulation and for the benefit of Grantor, and its successors and
assigns, Grantor desires to grant unto Grantee a non-exclusive easement across only those
certain portions of the Property as more particularly described on Exhibit "B" attached hereto
and incorporated herein (hereinafter "Easement Area"), as same may be relocated from time to
time by Grantor, for maintenance of the Drainage Ditches.
NOW, THEREFORE, in consideration of the sum of TEN DOLLARS ($10.00) and other
good and valuable considerations paid by each of the parties hereto to the other party, receipt of
which is hereby acknowledged by both parties, the parties hereto do hereby grant and agree as
follows:
The Preliminary Recitals set forth above are incorporated herein and made a part
hereof.
2. Grantor hereby grants to Grantee and its successors and assigns, a non-
exclusive easement across certain portions of the Property for the maintenance of certain
Drainage Ditches (as hereafter defined) situated on the Property and reasonable ingress and
egress as may be reasonably required for Grantee to perform its obligations hereunder. As used
herein, the term "Drainage Ditches" shall mean those ditches or trenches used for drainage of
the Property as more particularly depicted and identified on Exhibit "C" attached hereto and
incorporated herein. Except as specifically set forth in this Agreement, Grantor grants no other
rights to Grantee with respect to the Property and Grantor reserves all rights not herein granted
pursuant to this Agreement, including but not limited to, the right of free ingress and egress over
and upon the Property including the Easement Area and to grant further easements under, over
and on the Property. Grantee expressly acknowledges and agrees that Grantor retains the right
to relocate the Easement Area and any areas designated on Exhibit "B" for ingress and egress
within the Property as Grantor may deem necessary or appropriate in connection with the

ownership, use, and/or operation of the Property, provided, however, that in the event Grantor
relocates the Easement Area and/or any areas designated for ingress and egress, such
replacement locations shall not unreasonably interfere with Grantee's ability to perform its
obligations hereunder or the Stipulation.
3. Grantee shall be responsible, at its sole cost and expense, for the maintenance
of the Drainage Ditches in accordance with the Stipulation and this Agreement, and Grantor
shall have no obligation or duty to perform any maintenance with respect to such Drainage
Ditches except as otherwise set forth in the Stipulation.
4. All maintenance of Drainage Ditches hereunder from time to time shall be
performed in a lien -free manner, in accordance with the terms of the Stipulation and this
Agreement and in accordance with laws, rules, regulations, orders and ordinances of the city,
county, state and federal governments, or any department or agency thereof, affecting
maintenance of the Property. Grantee shall carry liability insurance, in commercially reasonable
amounts, when performing any maintenance work hereunder on the Property of the other party.
In addition, the maintenance of Drainage Ditches shall be subject to the following provisions:
i. Grantee shall perform all of its maintenance obligations under the
Stipulation and this Agreement in accordance with its ordinary and customary maintenance
practices and schedule as dictated by the City of Tamarac Public Works Department, provided
such performance shall not unreasonably interfere with the use and/or operation of the Property
by Grantor. However, in the event of an emergency, defined herein as imminent danger to
persons or property or any threatened or actual loss or damage to the Drainage Ditches,
Grantee shall take appropriate steps in order to eliminate and/or prevent same.
ii. After any maintenance, Grantee shall immediately cause the
surface and subsurface of the land and its landscaping and improvements, if any, to be restored
to substantially the same condition as existed immediately prior to such entry.
5. Grantee is a state agency as defined in Section 768.28, Florida Statutes, and
agrees to be fully responsible for acts and omissions of its agents and employees to the extent
permitted by law. Nothing herein is intended to serve as a waiver of sovereign immunity by the
Grantee. Nothing herein shall be construed as consent by the Grantee to be sued by third
parties in any matter arising out of this Agreement or any other contract.
6. Grantor shall have the right to terminate this Agreement at any time, with or
without cause, by providing thirty (30) days written notice to Grantee. In the event of such
termination by Grantor, Grantee shall execute such instruments as may be reasonably
requested by Grantor to effectuate such termination in recordable form. Such action shall
release the Grantee from its responsibilities in reference to the Stipulation in Item B.
7. The provisions of this easement shall be binding on the parties hereto and the
respective successors and assigns as a covenant running with the land.
8. The laws of the State of Florida shall govern this Agreement. Venue for any
proceeding arising hereunder shall be in Broward County, Florida. Any provisions of this
Agreement which shall prove to be invalid, void or illegal, shall in no way affect, impair or
invalidate any other provisions hereof.

9. This Agreement may be amended only by a written instrument executed by: (i)
Grantee or its successors or assigns, and (ii) Grantor or any subsequent owner of all or any
portion of the Property.
