R-2005-� A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXECUTE AN AGREEMENT BETWEEN THE CITY OF TAMARAC, THE TAMARAC ATHLETIC FEDERATION, INC., AND TAF MEMBER LEAGUES TO PROVIDE FOR ORGANIZED SPORTS ACTIVITIES; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Tamarac Athletic Federation, Inc., and TAF Member Leagues provide a substantial benefit to the City of Tamarac by organized sports activities; and WHEREAS, in 1997 the relationship between the City of Tamarac, the Tamarac Athletic Federation, Inc., and TAF Member Leagues was formalized in the form of a three year Agreement so that all parties could efficiently plan programs and use of City facilities; and WHEREAS, in 1999 and 2002 subsequent Agreements were approved; and WHEREAS, the existing Agreement expires on 12/31/05; and WHEREAS, the City of Tamarac, the Tamarac Athletic Federation, Inc., and TAF Member Leagues have negotiated a new Agreement, attached hereto as Exhibit 1; and WHEREAS, the Interim Director of Parks and Recreation recommends approval; and Temp. Reso. #10859 9/22/05 Rev. 1 — 12/6/05 Page 2 WHEREAS, the City Commission of the City of Tamarac, Florida, deems it to be in the best interests of the citizens and residents of the City of Tamarac to adopt the agreement between the City of Tamarac, the Tamarac Athletic Federation, Inc., and TAF Member Leagues to provide for organized sports activities. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution. SECTION 2: That the appropriate City Officials are hereby authorized to execute an agreement between the City of Tamarac, the Tamarac Athletic Federation, Inc., and TAF Member Leagues after execution of the agreement by same, a copy of which is attached hereto as Exhibit 1. SECTION 3: That the City Clerk is hereby directed to mail executed copies of the agreement to the President of the Tamarac Athletic Federation, Inc., and Presidents of TAF Member Leagues. SECTION 4: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 5: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or application, it shall not affect the validity of the remaining portions or applications of this Resolution. AND TAF MEMBER LEAGUES FOR ORGANIZED SPORTS ACTIVITIES This is an Agreement dated the ILJth day of DCcCMb1ffr. 2005, between the CITY OF TAMARAC, a municipal corporation of the State of Florida, its successors and assigns, (hereinafter referred to as "CITY"), through its City Commission, and TAMARAC ATHLETIC FEDERATION, INC., its successors and assigns, (hereinafter referred to as "TAF"). WHEREAS, TAF is a Tax Exempt, Not for Profit corporation made up wholly of volunteers; and WHEREAS, TAF is made up of individual member leagues where each league is a separate business entity. The operations, by-laws, rules and regulations, schedules, fees, and other usual business decisions are voted on by the members of each individual business entity. TAF Executive Board does review, arbitrate, and change any such operation, by-law, rule and regulations, schedule or other business decision which conflicts with other member leagues and/or the general public's health, safety or welfare; and WHEREAS, TAF provides substantial benefits to the City of Tamarac by providing organized sports activities; and WHEREAS, the CITY desires TAF to continue such beneficial service; and Temp. Reso #10859 9/22/05 EXHIBIT "'I" WHEREAS, increasing demands placed on the CITY's recreational facilities dictate that the relationship between the CITY and TAF be formalized so that both parties can efficiently plan recreation programs and use of CITY facilities; and WHEREAS, these sports activities will be conducted with the aim of providing physical and psychological growth to all Tamarac Athletic Federation, Inc. participants and members for the recreation of all involved; and WHEREAS, the CITY will provide the athletic fields and facilities upon which the athletic events provided for herein can be conducted; and WHEREAS, TAF Member Leagues recognize the need to enter into an agreement with the CITY and TAF to identify the respective rights and responsibilities of the parties; and WHEREAS, the TAF is hereby recognized as the sole and exclusive representative for all sports leagues, clubs and associations involved in recreation activities, or sports within the City of Tamarac. WITNESSETH In consideration of the mutual terms and conditions, promises, and covenants hereinafter set forth, CITY and TAF hereby agree as follows: ARTICLE-1 Definitions 1.1 CITY COORDINATOR: Shall mean the person designated by the Director of Parks and Recreation. 1.2 DEPARTMENT: Shall mean the Parks and Recreation Department. 1.3 TAF COORDINATOR: Shall mean the TAF President or designee appointed by TAF. Reso #10859 9/22/05 EXHIBIT 11111 1.4 TAF MEMBER LEAGUES: Shall mean the following sports programs: Tamarac Men's Soccer, Tamarac Youth Basketball, Tamarac Youth Football, Tamarac Girl's Softball, Tamarac Men's Softball, Tamarac Youth Soccer, Tamarac Roller Hockey, Tamarac Little League, Tamarac Co-ed Adult Softball, and Tamarac Men's Basketball. The parties agree that additional leagues may be added during the term of this agreement by signing an Addendum to this Agreement, agreeing to be bound by the terms and conditions of this Agreement. Any league(s) added during the term of this Agreement that has/have signed an Addendum to this Agreement shall be bound by the terms and conditions of this agreement as a Member League. Said Addendum shall be signed by the Member League that is being added, TAF, and the City of Tamarac. ARTICLE 2 Rules 2.1 TAF acknowledges that all TAF activities are subject to the Rules and Regulations of the CITY including, but not limited to, Tamarac Code § 15-81 through §15-89. 2.2 TAF leagues, as private organizations, will establish their own rules of procedures as well as regulations and requirements. TAF, as the governing body, shall review all leagues' rules of procedures as well as regulations and requirements. TAF will also submit a copy of all league's rules of procedures as well as regulations and requirements to the CITY within the first six months of this Agreement. These rules and procedures shall provide for the discipline of coaches, sports participants and spectators and shall be the same throughout all leagues. 2.3 CITY has a right to review and object to any document regarding TAF or the leagues that are under TAF structure based on the health, safety and welfare of the residents and/or the best interests of the CITY. If agreement cannot be reached, Article 7 will be used. ARTICLE 3 Permits 3.1 Permits for games and practices for TAF member league are not required. Temp. Reso #10859 9/22/05 *JV :111-.] 11 fth 3.2 The parties agree that they will give preference to Tamarac residents. Pre- registration of Tamarac residents will be provided by the TAF Member Leagues in advance of open registration. CITY shall set the enrollment standards based upon facility availability to provide for adequate sports facilities and maintenance thereof for those leagues. 3.3 Special Events Permit: Special Events are activities that include opening ceremonies, picnics, parties and carnivals, circuses, etc. Any league, association or sports group that requests any CITY facility (i.e., field, picnic area, etc.) will be required to file a permit 14 days in advance, subject to the approval of the City Coordinator. ARTICLE 4 Seasons 4.1 DEPARTMENT will approve the length and time of all seasons. ARTICLE 5 Scheduling 5.1 TAF will recommend, subject to CITY's approval, all scheduling in accordance with Exhibit "A'. 5.2 All requests for use of CITY facilities by TAF sports directors will be channeled through the TAF Coordinator to establish priorities. ARTICLE 6 Concession Stands 6.1 TAF member leagues may operate concession stands at Tamarac Park and Tamarac Sports Complex anytime during any activities subject to Section 15-89(d) of the City Code and in accordance with Exhibit "B". El I Temp, Reso #10859 9/22/05 00:110-111�b ARTICLE 7 Conflict Resolution 7.1 The City Coordinator shall resolve all conflicts between/among member leagues and TAF or TAF and the City. 7.2 The TAF Coordinator and/or President of any league may appeal any decision of the City Coordinator to the Director of Parks and Recreation and if not resolved at that level, to the City Manager whose decision shall be final. ARTICLE 8 General TAF Information 8.1 TAF will file with the DEPARTMENT a list of the Board of Directors of TAF, its officers, and those individuals in charge of TAF's member leagues operation of concession stands. This report shall be filed annually by March 1st of each year. TAF will also file and keep current its constitution, by-laws, and rules and regulations with the DEPARTMENT. Any documents that are changed by TAF Board of Directors must be filed within sixty (60) days with the CITY. TAF and member leagues will file with the DEPARTMENT a copy of its annual report, including all revenues and expenditures, when requested. 8.2 CITY reserves the right to audit those revenues and expenditures at any time. ARTICLE 9 Registration Dates/Registration Fees 9.1 TAF shall recommend, subject to CITY's approval, all registration dates, procedures and fees for all sports activities. 9.2 TAF member leagues will be responsible for establishing the registration dates and procedures for its respective sport in coordination with and approval by TAF Public advertisements for those dates must occur. All registration must take place in a public building or area designated by the DEPARTMENT. Registration dates, procedures and location are subject to the approval of the City Coordinator or designee to prevent conflicts with other user groups. 61 Temp, Reso #10859 9/22/05 EXHIBIT "'I " 9.3 TAF member leagues must obtain approval of those registration dates, fees and procedures from DEPARTMENT before the advertisement of registration dates, locations and fees. a. A non-resident fee of Forty ($40.00) Dollars per participant family per year shall be charged. This fee will be collected by the City. Participant must show proof of fee payment at time of member league registration. b. Tamarac Little League and Challenger nonresident participants shall be Exempt from the nonresident fee. Little League participants shall pay the Nonresident fee when participating in any other Tamarac League. Article 10 Procedure for Disbursement of Sponsorship Funds from the City o Tamarac to Tamarac Athletic Federation 10.1 Tamarac Athletic Federation will apply to the City of Tamarac for sponsorship funds. The sponsorship funds will be distributed so each youth league derives as equal a benefit as possible. If TAF is the recipient of any funds, the purpose of the expenditure must be such as to benefit all the youth leagues. The request for funds must be approved at a TAF meeting and be accompanied by a resolution of the Board of Directors of TAF. The request shall be submitted to the City Coordinator. The request must contain proposed use of the funds, beneficiary of the funds and plan for repayment, if necessary, due to termination of any sponsorship agreement. TAF must provide documentation that funds were disbursed to an individual league within 30 days of City disbursement to TAF. The mandatory TAF annual financial report to the City, due within 30 days of the end of the TAF fiscal year, must contain a separate schedule of the disbursement of funds. Individual leagues must account for funds in the mandatory financial report submitted to the City with 30 days of the end of their season, The City will respond within 30 days to TAF requests. The City reserves the right to deny requests not in the best interest of the City of Tamarac. Article 7, Conflict Resolution of the Agreement between TAF and the City of Tamarac may be used if a conflict arises. 1.1 Temp. Reso #10859 9/22/05 :0:11110-111�h ARTICLE 11 Selection of Coaches and Officials 11.1 TAF will establish guidelines and criteria for the selection of coaches and officials. CITY must approve those guidelines before the assignment of coaches and officials can be made to any team. 11.2 TAF will also submit to DEPARTMENT a list of coaches and officials, participants, as well as addresses for all persons registered for each sport. ARTICLE 12 Boundaries 12.1 TAF shall recommend, subject to CITY's approval, boundaries for all sports on an annualbasis. ARTICLE 13 Board Composition 13.1 The TAF membership will include a President from each league or sports group, each of whom shall have one vote. 13.2 The TAF Executive Board will include four members two of whom shall be residents of Tamarac from the Board, to be composed of the President, VicePresident, Secretary, and Treasurer. ARTICLE 14 Advertising 14.1 TAF shall submit to CITY all items to be advertised three weeks prior to an event or activity, and be subject to DEPARTMENT's approval. 14.2 DEPARTMENT has the right to modify or change the advertising of TAF or any sports league or activities. 7 Temp. Reso #10859 9/22/05 EXHIBIT "'I" ARTICLE 15 Background Checks 15.1 TAF will be responsible for the payment of volunteer background checks. Background checks will be performed on all volunteer coaches, including assistant coaches, all volunteer referees and umpires, all volunteer team parents, and all volunteer league board members. The procedure to conduct background checks will be mutually agreed upon by the CITY and TAF. This procedure may be updated when both parties agree to any proposed changes. ARTICLE 16 Insurance 16.1 GENERAL: TAF shall not commence work under this agreement until it has obtained all the insurance required under this agreement, and such insurance is in a form and amount that has been approved by the CITY's Risk Manager. TAF shall be responsible for delivering to CITY the Certificate of Insurance for approval. TAF shall name the City of Tamarac as an additional named insured on the Certificate of Insurance. TAF's Certificate of Insurance must be attached and included in this agreement. All insurance policies shall be issued by companies duly licensed to write business insurance policies in the State of Florida and shall be rated AVI I or better by A.M. Best's Key Rating Guide. Further, CITY shall be named as an additional named insured on all insurance policies (except Workers'Compensation). Certificates of each policy, together with a statement by the issuing company to the extent that said policy shall not be canceled without sixty (60) days prior written notice received by CITY, and shall be delivered to CITY for review and approval. Insurance coverage specified herein constitutes minimum requirements and said requirements shall in no way lessen or limit the liability of TAF under the terms of this agreement. TAF shall procure and maintain, at its own cost and expense, any additional kinds and amounts of insurance that, in its own judgment, may be necessary for proper protection in the completion of its work. 16.2 WORKERS'COMPENSATION INSURANCE: Statutory 1.1 EXHIBIT "1" 16.3 COMPREHENSIVE LIABILITY INSURANCE: Line of Business/ Coverage Occurrence Commercial General Liability $1,000,000 Including: Premises/Operations Contractual Liability Personal Injury Explosion, Collapse, Underground Hazard Products/Completed Operations Broad Form Property Damage Cross Liability and Severability of Interest Clause Sexual abuse and Spectator liability 16.4 AUTOMOBILE LIABILITY: Automobile Liability $1,000,000 9 Temp. Reso #10859 9/22/05 16.5 SCOPE OF INSURANCE: This insurance required under the above paragraphs shall provide adequate protection for TAF against damage claims which may arise from operations under this agreement, whether such operations be by the insured or by anyone directly or indirectly employed by the insured. City shall be named Additional Named Insured on all of TAPs insurance policies provided for herein (except Worker's Compensation). It is the intent of the parties that TAF's insurance policies shall be primary to any insurance carried by the CITY. ARTICLE 17 Term 17.1 The term of this agreement shall begin on January 1, 2006 and shall expire December 31, 2008. 17.2 RENEWAL TERM: This agreement may be renewed for three (3) year periods by mutual agreement of TAF and CITY. The decision to renew this agreement for an additional term shall be made by TAF and CITY no later than 120 days prior to the end of the current term. Notice shall be provided by CITY to TAF pursuant to Article 17.10. Neither CITY or TAF shall have any obligation to exercise any additional term. ARTICLE 18 Miscellaneous Provisions 18.1 VENUE: This agreement shall be considered consummated in Broward County, Florida. All actions brought hereunder shall be brought exclusively in Broward County, Florida. 18.2 TIME IS OF THE ESSENCE: Time shall be deemed to be of the essence concerning this agreement whenever time limits are imposed herein for the performance of any obligations by any of the parties hereto, or whenever the accrual of any lights to either of the parties hereto depends on the passage of time. 18.3 RIGHT TO REQUIRE PERFORMANCE: The failure of CITY, at anytime, to require performance by TAF of any provisions herein shall in no way affect the rights of CITY thereafter to enforce the same. Nor shall waiver by CITY of any breach of any provisions herein be taken or held to be a waiver of any succeeding breach of such provisions or as a waiver of any provisions itself. 10 Temp. Reso #10859 9/22/05 EXHIBIT "'I " 18.4 INSPECTION OF FIELDS AND FACILITIES:- CITY agrees to provide fields and/or facilities in a usable, maintained condition. TAF agrees to use due diligence in inspecting the fields and/or facilities prior to all events. If any observable hazard to the health, safety and welfare of the participants or spectators is detected, the activity shall immediately cease or not commence unless suitable, co rrective/a I I iterative measures are instituted. TAF shall promptly notify the City Coordinator or his designee of any such deficiencies detected. 18.5 FORCE MAJEURE: Neither TAF nor CITY shall be liable for the failure to perform its duties if such failure is caused by a riot, water, governmental order or regulation, strike, act of God, or other similar or different contingency beyond the reasonable control of TAF and CITY. 18.6 APPROVAL BY CITY COMMISSION: This agreement shall not be considered fully executed or binding or effective on CITY until the same shall be approved and accepted by the City Commission of the City of Tamarac in an open meeting as required by law and approved by TAF executive board and approved by CITY. After such approval and acceptance, CITY shall deliver to TAF a certified copy of the agreement as evidence of the authority of the person authorized to bind CITY to the terms, covenants and provisions of this agreement and to perform the same in accordance herewith. 18.7 COMPLIANCE WITH LAWS: TAF, its officers, agents, volunteers, and contractors, shall abide by and comply with all laws, federal, state, and local. It is agreed and understood that, if CITY calls the attention of TAF to any such violations on the part of TAF, its officers, agents, employees, or subcontractors, then TAF shall immediately desist from and correct such violation. 18.8 EFFECTIVE DATE: This agreement shall be effective upon the execution of this agreement and performance of this agreement shall be on the commencement date set forth herein. 18.9 ENTIRE CONTRACT: This agreement constitutes the entire agreement and understanding between the parties relating to the subject matter, and it shall not be modified, altered, changed, or amended in any respect unless done so in writing and approved by TAF and the CITY. 11 Temp. Box 26806 Tamarac, FL 33320-6806 18.11 GOOD FAITH: CITY and TAF agree to continue to work together in good faith and to coordinate their efforts to maintain and improve the level and quality of organized sports activities. 18.12 MUTUAL CONSENT:. Both parties to this agreement have had full opportunity to review and draft this agreement. Further, both parties have had full opportunity to review this agreement with their respective legal counsel. Both parties have had an opportunity to participate in the finalization of this agreement and all provisions have been agreed to by mutual consent. 12 Temp. Reso #10859 9/22/05 EXHIBIT "'I" 18.13 NON -WAIVER OF POWERS AND REGULATIONS: This agreement shall not be taken or held to imply the relinquishment or waiver by CITY of its power to make other reasonable requirements or regulations pertaining to the subject matter hereof, and CITY hereby expressly reserves the right to make all regulations which may be necessary or proper to secure the health, safety, welfare and accommodation of the public, including but not limited to, the right to adopt and enforce regulations to protect and promote the health and general welfare of the public from danger and inconvenience in the management and operation of adult and youth sports activities detailed herein. Nothing herein contained shall constitute a waiver of any of the requirements of the rules and regulations adopted by CITY, including the right to make such changes and amendments to said rules and regulations as said CITY may deem to be advisable and necessary to protect the public health and general welfare of its inhabitants. 18.14 INDEMNIFICATION: TAF and member leagues agree to indemnify, defend and hold harmless the City, its elected officials, authorized agents, officers, volunteers and employees against any and all claims arising from TAF and member leagues acts or omissions and for any costs or expenses, including attorney's fees incurred by the City as a result of any such claim. 13 Temp. The purpose of these various deadlines is to provide as much advance information as possible to the DEPARTMENT for use of overall scheduling. 1. On the recommendation of TAF, the DEPARTMENT shall set and regulate the number of participants for each league or sports activity. 2. TAF will submit to DEPARTMENT, for each league, a list of the number of teams contemplated playing in that sport. DEPARTMENT shall review and make final determination of TAF's request. 3. Four weeks before the season starts, TAF will submit for the sports league dates and times TAF requests for its games and practices for approval by DEPARTMENT. 4. TAF will submit the actual schedule of its teams and games at the start of each season to DEPARTMENT. 5. CITY may change, or cancel any sports activity or special event, due to inclement weather, conflicting schedules, or maintenance emergencies, or for any reason that is in the best interest of CITY. 24 Temp. TAF member leagues will conform to all local health regulations and will secure all permits and inspections required by health authorities. Nothing will be sold in glass containers at the concession stands. 2. TAF member leagues will obtain and maintain all appropriate licenses and insurance as it relates to cooking or serving open food items. 3. TAF member leagues will be responsible for all repairs of their equipment or as a result of use. 4. If TAF member leagues contracts the concession stand services to a private vendor, CITY requires that the private vendor obtain all necessary state, county and city licenses, permits, and insurance, etc. The CITY reserves the right to approve all assignments. 5. TAF member leagues will provide a list of private vendors to Occupational Licensing 45 days prior to the event, for licensing purposes only. 6. TAF member leagues will file with the DEPARTMENT a list of the Board of Directors, its officers and those individuals in charge of TAF's operations of concession stands. 7. No person will operate a concession, or offer for sale, or donate any service, article or thing, nor will any person station or place on park property any stand, cart, or vehicle for the transportation, sale or display of any such article or thing.
