R-96--& A RESOLUTION OF THE CITY COMMISSION OF THE CITY APPROVING OF MSEAADA LEAPORC 12 DOCUMENTS IN COMPLIANCE WITH STATE LAW REQUIREMENTS OF "NEGOTIATED SALE" FINDINGS; PROVIDING FOR CONFLICTS; PROVIDING FOR EFFECTIVSEVERABIEIDA'TE AND PROVIDING FOR AN WHEREAS, by Resolutions No. R-96-68, R-96-80 and R-96-82, the City Commission has approved the acquisition of certain fire apparatus and rescue vehicles pursuant to a lease -purchase financing arrangement with First Union National Bank of Florida pursuant to an existing Equipment Lease -Purchase Agreement; and WHEREAS, the lease documents and various closing documents have been finalized and are on file with the City Clerk; and WHEREAS, state law requires that certain "negotiated sale" findings be made by the City Commission in connection with this lease transaction; and WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in the best interests of the citizens and residents of the City of Tamarac to approve final lease purchase documents meeting Florida Statute requirements. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution. SECTION 2: The lease documents in substantially the form on file with the City Clerk are hereby approved, and the City Commission hereby authorizes and directs the Mayor and the City Clerk to execute any such documents to which the City is a party together with any additional documents and certificates as are necessary or appropriate to carry out the intent hereof. SECTION 3: Pursuant to Florida Statutes, Section 218.385, the City Commission hereby declares that it is in the best interest of the City that the subject lease be "negotiated" with First Union National Bank of Florida rather than offered for public sale by competitive bid because a public sale would not, in all likelihood, result in more favorable terms due to the size and nature of the lease financing and the fact that the City has solicited and received competitive financial proposals from various financial institutions. Temp Reso. #7430 Revised May 14, 1996 Revised May 16, 1996 C.. I- SECTION 4: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 5: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or application, it shall not affect the validity of the remaining portions or applications of this Resolution.
