R-93 a30 A RESOLUTION APPROVING THE CONTRACT AGREEMENT WITH FOREST RESOURCES MANAGEMENT, INC TO PREPARE A STREET TREE INVENTORY; PROVIDING FOR CONFLICT; PROVIDING FOR SEVERABILITY AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City has received a $7500.00 America The Beautiful Grant to perform a Street Tree Inventory; and WHEREAS, the City has budgeted the required 50% match to the grant; and WHEREAS, the Selection Committee ranked Forest Resources Management, Inc. number one; and WHEREAS, the Negotiating Committee has negotiated with Forest Resources Management, Inc; and WHEREAS, the City of Tamarac desires to obtain a Street Tree Inventory for the City of Tamarac; and WHEREAS; Forest Resources Management, Inc desires to enter into this Agreement in order to provide a Street Tree Inventory for City. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing 'WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution. SECTION 2: That the appropriate City Officials are hereby authorized to execute the attached Agreement with Forest Resources Management, Inc., to prepare a street tree inventory. (Copy attached hereto as Exhibit A). SECTION 3: All Resolutions or parts of Resolutions in conflict herewith are hereby to repealed to the extent of such conflict. SECJJQN 4: If any clause, section, other part of application of this resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part of application, it shall not affect the validity of the remaining portions or applications of this Resolution. RCR A STREET TREE INVENTORY FOR THE CITY OF TAMARAC, FLORIDA Cl ,e- 93- Yo THIS AGREEMENT, made this n day of ,J,gM, 1993, by and between the City of Tamarac, a municipal corporation of the State of Florida, its successors and assigns, (hereinafter "CITY",) and Forest Resources Management, Inc., a Florida corporation duly authorized to do business in the State of Florida, its successors and assigns, (hereinafter "COMPANY"). WITNESSETH WHEREAS, CITY desires to obtain a Street Tree Inventory (hereinafter "INVENTORY") for the City of Tamarac; and WHEREAS, COMPANY desires to enter into this Agreement in order to". provide a Street Tree Inventory for CITY. NOW, THEREFORE, in consideration of the mutual terms and conditions, promises, covenants and payments hereinafter set forth, CITY and COMPANY agree as follows: 1 . The foregoing recitals are true and correct and form part of the consideration of this Agreement. 2. CITY and COMPANY agree that COMPANY shall design and produce for CITY a Street Tree Inventory for the CITY. Both parties agree and understand that this INVENTORY will be used as the basis for further landscape planning for all of the City. 3. The terms of this Contract are exclusive and CITY is under no obligation to use the services of or pay commissions to COMPANY for any further INVENTORIES 4. CITY will furnish COMPANY available street maps. 5 • PAYMENT,OF _RYI ES Payment to COMPANY will be two payments of $7500.00 each. Progress payment may be made upon recommendation of the Community Development Director or representative and by approval of City Manager. Payment one may be made upon receipt by the City of the written 2 report. Payment two will be made upon successful installation of the "Silvibase" 10 Software in the City computer. 0 6. ;�',� DARD QE PERFORMANCE_ In performing its professional services hereunder COMPANY will use that degree of care and skill ordinarily exercised under similar circumstances by reputable members of its profession practicing in the same or similar locality. a). The provisions of this service and the various rates of compensation for the COMPANY provided for elsewhere in this Agreement have been agreed to in anticipation of the orderly and continuous progress of the project through its completion. b) COMPANY shall begin work promptly after receipt of a fully executed copy of this Agreement and will complete the services described in Exhibit A within sixty (60) days. The times for performance established in such schedule shall be extended as necessary for periods of delay resulting from strikes, natural disasters and similar circumstances of which COMPANY has no control. If CITY requests in writing significant modifications in the scope of the project, the time of performance of COMPANY's services shall be adjusted appropriately. The project personnel is included in Exhibit A. The schedule is shown in Exhibit B. c) In addition, if COMPANY services or any required additional services are delayed or suspended in whole or in part, for more than three (3) months, either party may elect to terminate by written notice to the other. d) COMPANY's receipt of a fully executed copy of this Agreement shall constitute written notice for it to proceed with performance of services. 3 8 The schedule of hourly rates 10 and costs effective June 30, 1993, are attached under Exhibit C for the cost of any pre -approved work completed outside of the above goals, area and tasks. 9 COMPANY is an independent contractor under this Agreement. Personal services provided by COMPANY shall be by employees of the COMPANY and subject to supervision by the COMPANY and not as officers, employees or agents of CITY. Personnel policies, tax responsibilities, social security and health insurance, employee benefits, purchasing policies and other similar administrative procedures applicable to services rendered under this Agreement shall be those of COMPANY. 10. AMENDIVIEUTS, CITY or COMPANY may request changes that would increase, decrease or otherwise modify the services to be provided under this Agreement. Such changes must be in accordance wit the provisions of the Tamarac City Code and must be contained in a written amendment executed by the parties thereto, with the same formality and of equal dignity prior to any deviation from the terms of this Agreement, including the initiation of any extra work. 11. MEBGEB. This Agreement constitutes the entire Agreement between COMPANY and CITY and negotiations and oral understandings between the parties are merged herein. 12 • ASSIGNIVIFUL The rights arising under this Agreement may not be sold, transferred, assigned, or otherwise disposed of without the prior written consent of CITY. The Council may grant or deny any request as it deems in the public interest. The Council may impose conditions on any transfer or assignment as it deems to be in the public interest. 13 • IMMIFICAIION, COMPANY shall indemnify the City of Tamarac, its officers, . agents, and employees, from any actions, including costs of defense arising from 4 �_ �3- 90 this Contract, including but not limited to damages resulting from inaccuracy of the base map. Upon demand, COMPANY shall, at its own expense, defend CITY, its officers, agents and employees against all actions herewith mentioned. 14. I aUB6NG COMPANY shall maintain in full force and effect during the life of the Contract, workers' compensation insurance covering all employees in performance of work under the Contract. COMPANY shall submit certificate of insurance in a form and amount acceptable to the City's Risk Manager. COMPANY shall indemnify and save CITY harmless from any damage resulting to them for failure of COMPANY to take out or maintain such insurance. COMPANY shall require insurance companies providing coverage to give CITY thirty (30) days' written notice of its intent to cancel or terminate policy. COMPANY's insurance shall be primary. 15. TE$MINATION. Upon sixty (60) days written notice, CITY shall have the right to cancel this Agreement for cause, or at CITY's option to effect immediate compliance with the Contract on the part of COMPANY. In the event CITY elects to effect compliance with the Contract, then any costs or expenses incurred by CITY to affect compliance shall be paid within ten (10) days of written notice thereof to COMPANY. Nonpayment of any costs and expenses as charged shall be deemed a material breach. 16 • COMPANY warrants that it has not employed or retained any person other than a bona fide employee working solely for COMPANY to solicit or secure this Agreement, and that it has not paid or agreed to pay any person, company, corporation, individual or firm other than a bona fide employee working solely for COMPANY, any fee, commission, percentage, gift or other consideration contingent upon or resulting from the award of making this Agreement. For the breach or violation of this provision, CITY shall have the . right to terminate the Agreement without liability at its discretion, to deduct k, from the Contract price or otherwise recover the full amount of such fee, I* commission, percentage, gift or consideration. LJ 17 COMPANY agrees that in performance of work and services under this Agreement that COMPANY shall comply with any and all federal, state and local laws and regulations now in effect or hereinafter enacted during the term of this Agreement which are applicable to COMPANY, its employees, agents or consultants, if any, with respect to the work and services described herein. 18 COMPANY agrees that it will not discriminate against any of its employees or applicants for employment because of their race, color, religion, sex, or national origin, and to abide by all federal and state laws regarding nondiscrimination. COMPANY further agrees to insert the foregoing provisions in all subcontracts hereunder, except subcontracts for standard commercial supplies or any other materials. Any violation of such provisions shall constitute a material breach of this Agreement. 19. DISPUTES- Disputes concerning any matter referred to herein will be referred to the City Manager of the City of Tamarac or his designee, who shall conduct such investigations and inquiries, including discussions with COMPANY which the City Manager deems appropriate. The City Manager or his designee shall be the sole judge of the merits of this dispute and COMPANY shall abide by the decision of the City Manager. 20• =BSLQ1 E-LL . In the event that this contract is the subject of litigation between COMPANY and CITY, .the parties hereto agree that this contract shall be construed according to the laws of the State of Florida. 21. VENUE. Venue shall be set in Broward County, Florida for any litigation arising under this Agreement. G 22 • SEVERA131LIM Any provision in this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provisions in any other jurisdiction. Also, the nonenforcement of any provision by either party shall not constitute a waiver of that provision nor shall it affect the enforceability of that provision or the remainder of this Agreement. 23 • EQIICE. Whenever either party desires to give notice unto any other party it must be given by written notice sent by registered United States mail, with return receipt requested, addressed to the party for whom it is intended, at the places last specified, and the places for giving of notice shall remain such until they shall have been changed by written notice in compliance with the provisions of this paragraph. We will try to design the inventory database so that it can be related to your existing database. Other database details to be decided will include: tree address handling, control numbering, mapping conventions, and database output needs. This wac accomplished during the contract negotiation stage. Task 2.0 Inventory Field Work This is the actual tree counting and assessment hack. FRDI foresters will complete a pedestrian survey of all city owned trees within the referenced areas. Individual tree data collected will include: all assigned control number, location or address, genus, species, diameter, height, condition and location classes using ISA standards, lap tc six maintenance recommendations, and a work priority rating. Planting spaces are not included. Tree locations and control numbers will be noted on paper maps provided by the City. Once the data is installed, it will be chocked for accuracy, typographic errors, and any missing tree data. Task 4.0 Report Preparation and Data Analysis A final report will be produced which outlines the data collection methodology and provides an analysis of the data. The analysis will focus on the general health, the species distribution, and the size distribution of the trey; population at the time of the inventory. Tree maintenance recommendations will be summarized and explained. The report will include, at a minimum, the followinc; sections: I. Purpose of Report II. Inventory Methodology III. Description of Database IV. Discussion of Results and Summary Tables V. As much of the report as possible will be printed on a luster printer so that good quality reproductions may be made by the city if desired. The database files will be provided on 3 1/2" or 1/4 fist: density disks. The database will be designed so as to be flexible for future inventory needs. Basic reports will L(t available form from the software and data can be exported for word processing or spreadsheet analysis. Reports will include: tree removal and maintenance priorities, and sorting and listing by tree apecies, street., maintenance. recommendation, or tree size.
