RESOLUTION NO. R-2022- 030
A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
TAMARAC, FLORIDA, AUTHORIZING THE APPROPRIATE
CITY OFFICIALS TO APPROVE A PURCHASE AGREEMENT
WITH SYMBIONT SERVICE CORPORATION AS A SOLE
SOURCE PROCUREMENT FOR THE PURCHASE AND
INSTALLATION OF POOL HEATERS AND LAKE PUMP, AT A
COST NOT TO EXCEED $114,047; PLUS A $11,405
CONTINGENCY AMOUNT FOR A TOTAL PROJECT BUDGET
OF $125,452; APPROVING FUNDING FROM THE
APPROPRIATE PARKS AND RECREATION ACCOUNT;
PROVIDING FOR CONFLICTS; PROVIDING FOR
SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Tamarac Aquatic Center has offered a family friendly aquatic
• environment for our residents, employees, and surrounding neighbors for the past 14 years;
and
WHEREAS, the City of Tamarac Aquatic Center currently has four (4) Symbiont
Geothermal pool heaters and lake pump; and
WHEREAS, the age of the existing pool heaters and lake pump is 14 years old, which
has already exceeded their life expectancy and warrantable coverage; and
WHEREAS, pool heaters are essential for maintaining consistent temperatures for
pool users throughout the year in programs such as our Proactive Arthritis Class, swim
lessons, open swim and usage by the TS Aquatics swim team; and
WHEREAS, Symbiont Service Corporation provided a quote for the acquisition and
installation in the amount of $114,047; and a contingency in the amount of $11,405 for a
• total project budget of $125,452 and

WHEREAS, City of Tamarac Code, §6-148(b) allows the Purchasing Manager the
authority to waive purchasing procedures and purchase equipment for a supply, service,
or construction item without competition when the purchasing and contracts manager or
a designee determines in writing that there is only one (1) economically feasible source
for the required supply, service, or construction item, or when requirements for
standardization, warranty, geographic and territorial restrictions, or other factors create a
situation where competition is either not feasible or practicable; and
WHEREAS, evidence of a Sole Source item is attached as Exhibit "2"; and
WHEREAS, the Director of Financial Services and the Director of Parks and •
Recreation and the Purchasing & Contracts Manager recommend the purchase of new pool
heaters and a lake pump as a sole source procurement from Symbiont Service Corporation
in the amount of $114,047; and a contingency in the amount of $11,405 for a total project
budget of $125,452; and
WHEREAS, funding for this purchase is available in the Parks and Recreation
Department budget; and
WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in
the best interests of the citizens and residents of the City of Tamarac to purchase new pool
heaters and a lake pump, as a sole source procurement from Symbiont Service Corporation
in the amount of $114,047; and a contingency in the amount of $11,405 for a total project
budget of $125,452 per the quote attached hereto as Exhibit "1 ". 0

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY
OF TAMARAC, FLORIDA:
SECTION 1: That the foregoing "WHEREAS" clauses are hereby ratified and
confirmed as being true and correct and are hereby made a specific part of this Resolution.
All exhibits referenced herein are incorporated and made a specific part of this resolution.
SECTION 2: The City Commission authorizes the purchase of pool heaters and a
lake pump as a Sole Source procurement in accordance with the provisions of §6-148(b) of
the Tamarac City Code.
• SECTION 3: The appropriate City Officials hereby authorize the purchase of pool
heaters and a lake pump from Symbiont Service Corporation, for a cost not to exceed
SECTION 4: That funding will be available in the appropriate Parks and Recreation
Account.
SECTIONS: All resolutions or parts of resolutions in conflict herewith are hereby
repealed to the extent of such conflict.
SECTION 6: If any clause, section, other part or application of this Resolution is held
by any court of competent jurisdiction to be unconstitutional or invalid, in part or application,
it shall not affect the validity of the remaining portions or applications of this Resolution.
SECTION 7: This Resolution shall become effective immediately upon its passage

Manufacturer's Limited Warranty:
One year Symbiont Service Corp. all parts and labor on the installation.
Five year manufacturer's labor on the new Symbiont units.
Seven year manufacturer's all parts only on the new Symbiont units.
Lifetime parts on titanium tube portion of the condenser and evaporator heat exchangers in new units.
Not responsible for any damage to private or public unmarked underground lines, or repairs of landscape,
painted or finished surfaces. All work done to code. All current discounts and promotions have been applied.
The labor, material and equipment required for this job will be furnished by Symbiont Service Corporation ("Symbiont") for a total of:

Balance Upon Completion
Any alteration or deviation from the above scope of work involving extra costs will become an extra charge in addition to the quoted price based on time
and materials pricing. Symbiont Service maintains all required insurances, certificates are available upon request. This contract consists of this proposal
as well as the terms and conditions, all documents and exhibits referenced therein and the Limited Workmanship Warranty, all of which are hereby
incorporated by reference. This proposal will be subject to withdrawal if not accepted within 30 days. Please make checks payable to "Symbiont Service

SOLE SOURCE JUSTIFICATION
To Be Submitted With A# Requisitions For Sole Source Purchases above $2,500.
POLICY: A contract may be awarded for a supply, service, or construction item without competition when the Purchasing and
Contracts Manager determines in writing that there is only one economically feasible source for the required supply, service, or
construction item, or when requirements for standardization, warranty, geographic and territorial restrictions, or other factors create a
situation where competition is either not feasible or practicable. A City Department requesting sole source procurement of $2,500 or
greater, must submit a written request to the Purchasing and Contracts Manager for approval, which must be accompanied by a written
justification signed by the department head. Sole source requests in excess of $65,000 will require City Commission approval.

Distribution Agreement with Aqua Cal AutoPilot, Inc., (Aqua Cal) for the Symbiont
product line.
AquaCal produces a line of Geothermal Swimming Pool Heat Pumps to SSC
specifications and brands this product line as the "Symbiont".
Symbiont Pool Heaters are manufactured exclusively for Symbiont Service Corp. SSC is
the sole source provider of the Symbiont Geo-Thermal Pool Heater product line.
SSC is the Factory trained and sole Authorized Warranty Service Center for the
Symbiont Geo Thermal product line.
The thirty -four-year relationship between SSC and Aqua Cal has been marked by SSC's
dedication to technical expertise and operating integrity.
