WITNESSETH AND In consideration of the mutual terms and promises, covenants and payments hereinafter set and CONSULTANT agree as follows: 1 11 SECTION 1 : SCOPE OF SERVICES The CONSULTANT's Basic Services shal1 consist of the phases set forth in Exhibit rtAn attached hereto and made a part hereof. .2 The CONSULTANT agrees to meet with CfTY at reason- able times and with reasonable notice. Such changes must be contained in a written amendment, executed by the parties t.hereto, with the same formality and of equal dignity prior to any deviation from the terms of this Agreement, including the initiation of any extra work. SECTION 7 : OWNERSHIP OF DOCUMENTS Drawings, documents, specifications, designs, models, photographs, reports, suls/eys, and other information provided in connection with this Agreement are and sha11 remain the property of the CITY whether the Project for which they are made is executed or noE. 6 I ,, SECTION 8 : TERMINATION This Agreement. may be t.erminated by either party for cause, or by the CITY for convenience, upon fourteen (14) days written notice by Ehe termina- ting party to the ot.her parEy of such termination in which event the CONSULTANT sha1l be paid her compensation for seryices performed t.o termination date. A11 finished or unfinished documents, data, studies, drawings, models, photographs and reports prepared by CONSULTANT shal1 become the property of CITY and sha11 be delivered by CONSULTANT TO CITY.
