RADI O EOUIPMENT This is an Agreement between the City of Tamarac, a Florida municipal corporation (,,Ci.ty,') , and Motorola Communicatj.ons & Equipment, Incorporated a Florida corporation, it's successors and assigns (,'MotoroIa" ) W I T N E S S E T H: WHEREAS, the City of Tamarac has determined that it nrust purchase nine (9) Remote Terminal Unj-ts to provide information from various collection system pump stations to the main Utilities Telemetering Computer Center and; WHEREAS, the City has determined. that these Remote Terminal Units must be of a type and frequency compatlble with that which the city has had assigned by the F.c.c. for it's use and that these units were items of an agreement under Contract No. Gs00K8gAGs0656 reflecting c.s.A. pricj-ng levers, the units certj-fied as functional and acceptable for use as a Radio-wave Based Communication System, andi WHEREAS, Section 9-39 of the City of Tamarac Code of ordj-nances requj-res that sore source purchases j-n an amount over two thousand ($2,000.00) dollars be the subject of a formal wrltten contract approved by the City Council. NOW, THEREFORE, fN CONSIDERATION of the mutual terms and conditions, promises, covenants and, payment herej-nafter set forth "City" and "Motorola,, agree as follows: 1 The made above recitals are j-ncorporated herein and are a part of this Agreement. Parts, including crystals and channel elements, will be replaced lree ol charge for the lull warranty period bul the labor to replace delective parts within the original shipped pro- ducts plus travel costs lor work on non-movable installed equipment will only be provided lor One Hundred Twenty (120) days from the date ol shipment. After said 120 days, Buyer must pay lor the labor involved in repairing the product or replacing the parts at the prevailing rates together with any travel or transportation charges to or lrom the place where warranty service is provided. This express warranty is extended by Motorola Com. munications and Electronics, lnc., 1301 E. Algonquin Road, Schaumburg, Illinois 60196, to the original buyer only, and only to those purchasing lor purpose ol leasing or solely for commercial, induslrial, or governmental use. THIS WARRANW IS GIVEN IN LIEU OF ALL OTHER WARRANTIES EXPRESS OR IMPLIED WHICH ARE SPECIFICALLY EXCLUDED, IN. CLUDING WARRANTIES OR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL MOTOROLA BE LIABLE FOR INCIDENTAL OR CONSEOUENTIAL DAMAGES TO THE FULL EXTENT SUCH MAY BE DISCLAIMED BY LAW. ln the event ol a defect, malfunction or lailure to conlorm to specilications estabtished by Seller, or il appropriale, to specilications accepted by Seller in wriling, during the applicable periods stated above, Seller, at its option, will either repair or replace the pro- duct or relund the purchase price thereof, and such action on the part ol Seller shall be the lull extent ol Seller's liability hereunder, and Buyer's exclusive remedy. This warranty shall automatically terminate il:a. the product is used in other than its normal and customary manner;b. the product has been subject to misuse, accident, neglect or damage;c. improper alterations or repairs have been made, or il nonconlorming parts are used in the product unless done by a service lacility authorized by Seller to perform warranty service. This warranty extends only to individual products; lreguency sensitive components, towers, vidicon tubes, test equipment, and batteries are excluded but carry their own separate limited warranty. Because each radio system is unique, Seller disclaims liability lor range, coverage, or operalion ol the system as a whole under this warranty except by a separate written agreement signed by an olficer ol Seller. Non-Motorola manulactured products are excluded lrom this warranty (unless bearing a Molorola Part Number in the form of an "alpha.numeric number"; i.e. TDE6030B) but such products are subject to the warranty provided by their manufacturers, a copy ol which will be supplied to Buyer on specilic written request. Any claim lor breach ol this warranty shall be waived unless Buyer notilies Seller's salesperson or Seller at the above address, Attention: Quality Assurance Department, wilhin the applicable warranty period.
