A RESOLUTION OF THE CITY COMMISSION OF
THE CITY OF TAMARAC, FLORIDA, RATIFYING
THE CITY MANAGER'S EXECUTION OF THE
AGREEMENT AND AMENDMENT NUMBER ONE
(1) BETWEEN THE CITY OF TAMARAC AND TSC
ASSOCIATES, INC AND APPROVING A SECOND
AMENDMENT TO THE AGREEMENT TO PROVIDE
HOME INSPECTOR, SPECIFICATION WRITER AND
CONSTRUCTION LIAISON SERVICES IN THE
AMOUNT OF $175,000 FROM NOVEMBER 21, 2016
THROUGH NOVEMBER 21, 2019 WHICH
INCLUDES ALL POTENTIAL RENEWAL OPTIONS;
AUTHORIZING THE APPROPRIATE CITY
OFFICIALS TO EXECUTE AMENDMENT NUMBER
TWO (2) ATTACHED HERETO AS EXHIBIT 1" AND
INCORPORATED HEREIN; PROVIDING FOR
RENEWALS; PROVIDING FOR CONFLICTS;
PROVIDING FOR SEVERABILITY; AND PROVIDING
AN EFFECTIVE DATE.
WHEREAS, the City of Tamarac currently utilizes TSC Associates, Inc. as
the City's Home Inspector, Specification Writer and Construction Liaison for the
implementation of the City's various housing programs; and
WHEREAS, the City issued Request for Quotation #17-02Q for a Home
Inspector, Specification Writer, & Construction Liaison for the Community
Development Housing Rehabilitation Programs on October 19, 2017; and
WHEREAS, the City received three (3) responses to this Request for
Quotation from TSC Associates, Inc., SOFI Corporation and Housing and
Assistive Technology, Inc.; and
WHEREAS, the quotation submitted by TSC Associates, Inc. was
determined to be the lowest responsive and responsible quotation based on unit
prices contained within the successful proposer's response; and

WHEREAS, on November 21, 2016, the City Manager entered into a one-
year agreement with two one-year renewal options with TSC Associates, Inc. to
provide Home Inspector, Specification Writer and Construction Liaison services
("Agreement") for the various housing programs administered by the Community
Development Department for a contract amount not to exceed $65,000 annually
consistent with Section 6-145 (b) (4) of the Tamarac Procurement Code; and
WHEREAS, the City and TSC Associates, Inc. entered into Agreement
Amendment #1 on November 22, 2017 to exercise the first renewal option for the
period of November 22, 2017 through November 21, 2018; and
WHEREAS, as a result of the programmatic changes under the Hurricane
Loss Mitigation Program (HLMP), the number of homes inspected by TSC
Associates, Inc. has increased, changing the value of the Agreement; and
WHEREAS, the new not to exceed value of $175,000 for the entire term of
the Agreement is above the City Manager's authorization and requires City
Commission approval; and
WHEREAS, a subsequent one-year renewal option beyond November 21,
2018 may be permitted under the Agreement at the option of the City subject to
mutual agreement and subject to successful performance by TSA Associates Inc.,
and
WHEREAS, there are funds available in the CDBG, HOME, SHIP and
HLMP programs to cover all costs associated with the performance of the home
inspector, specification writer and construction liaison services provided by TSC
Associates, Inc; and

WHEREAS, it is the recommendation of the Community Development
Director and the Purchasing and Contracts Manager to amend the Agreement to
increase the contract value to cover the additional services under the housing
programs for a contract price not to exceed $175,000-1 and
WHEREAS, furthermore, it is the recommendation of the Community
Development Director and the Purchasing and Contracts Manager that the City
Manager be authorized to execute a subsequent renewal option for the period of
November 21, 2018 through November 21, 2019 subject to mutual agreement and
successful performance by TSC Associates, Inc.; and
WHEREAS, the City Commission of the City of Tamarac, Florida, deems it
to be in the best interest of the citizens and residents of the City of Tamarac to
ratify the City Manager's execution of the Agreement and Amendment #1 to the
Agreement and approve Agreement Amendment #2, increasing the contract value
for the entire term of the Agreement to a not to exceed $175,000.00, a copy of
said Agreement Amendment #2 is included herein as Exhibit " 1 " (attached hereto,
incorporated herein, and made a specific part thereof); and
WHEREAS, the City Commission of the City of Tamarac, Florida further
deems it to be in the best interest of the citizens and residents of the City of
Tamarac to authorize the City Manager to execute a subsequent renewal option
for the period of November 21, 2018 through November 21, 2019 subject to
mutual agreement and successful performance by TSC Associates, Inc.,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA:

SECTION 1: The foregoing "WHEREAS" clauses are HEREBY ratified and
confirmed as being true and correct and are hereby made a specific part of this
Resolution upon adoption hereof and all exhibits referenced and attached hereto
are incorporated herein and made a specific part of this resolution.
SECTION 2: The City Manager's execution of the Agreement between the
City and TSC Associates, Inc, dated November 21, 2016 and the subsequent
Agreement Amendment #1 dated November 22, 2017 is hereby ratified.
SECTION 3: The appropriate City officials are hereby authorized to
execute Agreement Amendment #2 with TSC Associates, Inc. to continue to serve
as the City's Home Inspector, Specification Writer and Construction Liaison, a
copy of said Agreement Amendment is attached hereto as Exhibit 1".
SECTION 4: The City Commission ratifies and validates this Agreement,
and authorized expenditures under the Agreement for an amount not to exceed
$175,000 total.
SECTION 5: The City Manager is authorized to execute a subsequent
renewal option for the period of November 21, 2018 through November 21, 2019
subject to mutual agreement and successful performance by TSC Associates, Inc.

SECTION 6: All Resolutions or parts of Resolutions in conflict herewith
are hereby repealed to the extent of such conflict.
SECTION 7: If any clause, section, other part or application of this
Resolution is held by any court of competent jurisdiction to be unconstitutional or
invalid, in part or application, it shall not affect the validity of the remaining
portions or applications of this Resolution.
SECTION 8: This Resolution shall become effective immediately upon its
passage and adoption.

BETWEEN THE CITY OF TAMARAC
AND
TSC ASSOCIATES, INC.
The City of Tamarac, a municipal corporation with principal offices located at 7525
N.W. 88th Ave., Tamarac, FL 33321 (the "CITY") and TSC ASSOCIATES, INC., a
Florida corporation with principal offices located at PO Box 120487 Ft. Lauderdale, FL
33312 (the "Contractor') agree to amend the original Agreement for "Home Inspector,
Specification Writer & Construction Liaison for Community Development
Department Housing Rehabilitation Programs" as follows
Amend Article 4 — CONTRACT SUM of the original Agreement to read as
follows:

The Contract Pricing sheet shall be as shown in Exhibit A, and shall not

3. All other provisions of the original agreement remain in effect as written.

IN WITNESS WHEREOF, the parties hereby have made and executed this
Agreement Amendment #2 on the respective dates under each signature, the City of
Tamarac as authorized by its Mayor and City Commission and signing through its City
Manager, and TSC Associates, Inc., signing by and through its President, duly authorized
to execute same.
