A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA, AUTHORIZING
APPROPRIATE CITY OFFICIALS TO EXECUTE A
LETTER OF INTENT (LOI), AUTHORIZING
SOFTWARE HOUSE INTERNATIONAL, CORP. (SHI)
TO ACT ON BEHALF OF THE CITY OF TAMARAC,
TO PLACE AN ORDER WITH MICROSOFT
CORPORATION TO RENEW THE CITY'S
MICROSOFT ENTERPRISE LICENSING, SOFTWARE
ASSURANCE FOR A THREE (3) YEAR TOTAL COST
AND EXPENDITURE OF $359,179.86; AUTHORIZING
EXECUTION OF ASSOCIATED CONTRACT,
AUTHORIZING BUDGET AMENDMENTS FOR
PROPER ACCOUNTING PURPOSES, PROVIDING
FOR CONFLICTS; PROVIDING FOR SEVERABILITY;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, a Microsoft Enterprise Agreement is a volume licensing package,
providing licensing and software assurance for Microsoft software and subscriptions; and
WHEREAS, a Microsoft Enterprise Licensing Agreement provides many benefits to
the City, as further described in Exhibit 1 and Exhibit 2; and
WHEREAS, the Software Assurance Program enables the continuity of the City's
access to all licensed Microsoft products at no charge as they become available; and
WHEREAS, on October 13, 2010, the City of Tamarac City Commission approved
Resolution R-2011-127, authorizing the execution of a Microsoft Enterprise Licensing
Agreement, with an effective date of November 1, 2010, and an expiration date of October
31, 2013, at a cost of $430,766.16, to purchase software licenses along with Software
Assurance Program (maintenance contract); and

WHEREAS, on October 9, 2013, the City of Tamarac City Commission approved
Resolution R-2013-107, authorizing the renewal of the Microsoft Enterprise Licensing
Agreement, with an effective date of November 1, 2013, and an expiration date of October
31, 2016, at a cost of $268,391.37, to renew the Microsoft Software Assurance Program
(maintenance contract) for the City of Tamarac's licensing as well as, per the terms of the
City of Tamarac's ILA with the Town of Southwest Ranches approved by Resolution R-
2013-45, to include Microsoft software licensing for the Town of Southwest Ranches; and
WHEREAS, the proposed Microsoft Enterprise Licensing Agreement renewal
includes the cost of licenses and software assurance, in the amount of $32,453.73
allocated to the Town of Southwest Ranches per the terms of the ILA, Software Assurance
for the City of Tamarac's existing Microsoft licensing, and, in addition, the new Microsoft
Office 365 subscriptions, for a total cost of $359,179.86; and
WHEREAS, Microsoft Enterprise Licensing is available through the State of
Florida Contract Number43230000-15-02, effective February 1, 2016, through January
31, 2019, thereby waiving competitive purchasing requirements as provided under
Section 6-148(e) and Section 6-148(i) of the City of Tamarac Code; and
WHEREAS, SHI International Corp. is the contractor on record for State of
Florida Contract Number 43230000-15-02, and is the provider of Microsoft Enterprise
Licensing for the State of Florida; and
WHEREAS, SHI International Corp. has provided a quote for the Microsoft
Enterprise Licensing at the most competitive cost, attached hereto as Exhibit 3; and
WHEREAS, in order to avoid and interruption of service, it is appropriate to
execute a Letter of Intent (LOI), as attached in Exhibit 4, authorizing the purchase of the

necessary licensing, software assurance and subscriptions at this time; and
WHEREAS, it is the recommendation of the Director of Information Technology that
the appropriate City Officials be authorized to execute the Letter of Intent (LOI) attached as
Exhibit 4 authorizing SHI International Corp. (SHI) to act on behalf of the City of Tamarac
to place an order with Microsoft Corporation for the purchase of Microsoft licensing,
software assurance and subscriptions, for the items and amount as specified in the
Microsoft Enterprise Licensing Renewal Proposal attached as Exhibit 3, and to execute the
related contract subject to any revisions as may be agreed to by City staff and Microsoft
and as approved by the City Manager and the City Attorney effective November 1, 2016;
and
WHEREAS, funding for Microsoft Enterprise Licensing is available in the Information
Technology Service Contracts account and in the Town of Southwest Ranches Expense
account; and
WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in
the best interest of the citizens and residents of the City of Tamarac to execute a Letter of
Intent (LOI) to authorize the purchase of said Microsoft Enterprise licensing, software
assurance and subscriptions.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF TAMARAC, FLORIDA:
SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and
confirmed as being true and correct and are hereby made a specific part of this Resolution.
All exhibits attached hereto are incorporated here and made a specific part of this
Resolution.

SECTION 2: That the appropriate City Officials be authorized to execute the
Letter of Intent (LOI) attached as Exhibit 4 authorizing SHI International Corp. (SHI) to act
on behalf of the City of Tamarac to place an order with Microsoft Corporation for the
purchase of Microsoft licensing, software assurance and subscriptions, for the items and
amount as specified in the Microsoft Enterprise Licensing Renewal Proposal attached as
Exhibit 3, and to execute the related contract subject to any revisions as may be agreed to
by City staff and Microsoft and as approved by the City Manager and the City Attorney
effective November 1, 2016; and
SECTION 3: Funding is available for the purchase of a Microsoft Enterprise
Licensing Agreement from the appropriate accounts at a total amount of $359,179.86.
SECTION 4: All resolutions or parts of resolutions in conflict herewith are
hereby repealed to the extent of such conflict.
SECTION 5: If any clause, section, other part or application of this Resolution
is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or
application, it shall not affect the validity of the remaining portions or applications of this
Resolution.

Enterprise Agreement Summary
Microsoft offers a perpetual and a subscription license model for their Enterprise Agreements.
The EA was designed for organizations that wish to standardize on a primary suite of Microsoft products
and can manage and procure their software in a centralized manner while at a discount. The Enterprise
Agreement is a three-year agreement available for clients with 250 or more desktops. The agreement
incorporates maintenance (Software Assurance) which is highlighted below. The licenses purchased
over the term of the contract are perpetual and remain under the ownership of the company post the
contract term. If you wish to renew after the 3rd year the contract costs are for Software Assurance which
allow upgrades and other benefits, without Software Assurance you would not have the rights to upgrade.
The rights below remain in effect until the contract renews for another term. The Master Enterprise
Agreement signed by the Department of Management Services and State Technology office is a blanket
contract for the State of Florida in which agencies and other government entities have the rights to
purchase Microsoft licensing at a discount.

ENTERPRISE AGREEMENT LICENSING BENEFITS
Business Value of an Enterprise Agreement: Microsoft Enterprise Agreement creates value by
supporting a business in these fundamental ways:
Lower Total Cost of Ownership. By standardizing on the enterprise platform and receiving Software
Assurance Benefits, your total cost of ownership (TCO) for technology assets is reduced and your
workplace productivity increases.
■ Flexible choices — Components; Platforms and additional products
■ Additional 15% to 30% discounts on the already discounted Select prices
■ "SHI is the sole reseller for Microsoft products, including the Microsoft EA" under state
contract 252-001-09-1. This contract will provide State agencies, local and county
government entities the best available pricing"
• Access to Most Recent Versions of the Microsoft Products. The right to the current version of the
products is built into the price of the products. Your organization can reduce its overall costs by 10%
to 15% percent by implementing technology standardization (this is in addition to the 15%-28% cost
savings in software purchases by using the EA vehicle). In addition, the Enterprise Agreement
facilitates information sharing and communication across an organization and provides a consistent
platform upon which to build and deploy custom applications.
• Simplified License Tracking. There is no need to track license usage or software versions for
enterprise products during the agreement term, which reduces the overhead normally associated with
ongoing license tracking and administration.
• Reduced Risks of License Noncompliance Costs. All desktops are considered in compliance with
respect to the chosen enterprise products during the term of your enrollment.
• Minimize Security Risks. Piracy and counterfeit software can seriously impact the security and
service levels of any organization. Procurement through a Microsoft Volume license agreement

• Forecast Purchases up to 3 years. Historically, Microsoft Product Releases include a 5%-15%
increase of cost. Unlike the Select Agreement, where the purchase price is not locked in, the

Reduced Total Cost of Ownership (TCO)
TCO studies continue to reflect the high costs of maintaining and operating a large enterprise using a
variety of versions of Windows and Microsoft Office. While the easy solution to this dilemma is to
purchase new personal computers with the latest software installed for all employees — such a solution is
impractical and unachievable given today's budget constraints. Taking the opposite extreme of not

Consistent Budgeting
The Microsoft Enterprise Agreement solves that budgeting dilemma by providing a fixed price for every
personal computer covered for a three year period. Not only does this provide a clearly defined budget
cost for the three year period, it also locks in today's prices for that same period — eliminating the need to
pay for product cost increases during the EA enrollment. Microsoft has a "True Up" process that allows
the organization to know in advance what the second and third year costs would be for such additions.

RE: Letter of Intent (LOI) — Microsoft Enterprise Agreement (EA)
To Whom It May Concern:
The City of Tamarac requests SHI to act on its behalf and place an order with Microsoft
Corporation based on a commitment that SHI will receive a valid Purchase Order no later
than November 17, 2016. The City of Tamarac agrees that its obligations to pay the
amounts set forth in SHI Quote # 12202002 are absolute and unconditional and payment
fees are listed in the quote. There are no conditions where non-payment of the full
amount specified in SHI Quote # 12202002 would be accepted unless Microsoft
Corporation provides SHI a corresponding credit and termination of Agreement
documentation.
If valid purchase orders are not submitted by November 17, 2016 and payment is delayed
past the payment terms additional charges may apply.
