R-2012 - A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO TAKE THE NECESSARY STEPS TO SUBMIT A NON-PROFIT APPLICATION TO THE APPROPRIATE STATE AND FEDERAL AGENCIES ON BEHALF OF THE CITY MANAGER'S OFFICE TO CREATE A NOT -FOR -PROFIT CORPORATION KNOWN AS THE TAMARAC HISTORICAL SOCIETY, INC.; DESIGNATING THE TAMARAC HISTORICAL SOCIETY AS AN ENTITY SEPARATE FROM THE CITY OF TAMARAC; DESIGNATING THAT FUNDS RAISED BY THE TAMARAC HISTORICAL SOCIETY, INC. BE USED TO ACHIEVE THE SOCIETY'S STATED MISSION TO RESEARCH, COLLECT, PRESERVE AND EXHIBIT THE HISTORY OF TAMARAC WITH GOALS OF ENLIGHTENING THE COMMUNITY ABOUT THE CITY'S HERITAGE AND PASSING ON AN ENDURING LEGACY FOR FUTURE GENERATIONS; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the Tamarac Historical Society has been in existence since July 2009 and is not a Board or Committee officially recognized under the City of Tamarac's Charter; and WHEREAS, the Tamarac Historical Society is a group of volunteers who have dedicated themselves to their mission: The City of Tamarac's Historical Society will research, collect, preserve and exhibit the history of the Tamarac with goals of enlightening the community about our heritage and passing on an enduring legacy for future generations. WHEREAS, in seeking alternative funding sources the Tamarac Historical Society has determined that a need exists to apply for grants in the area of historical preservation; and Temp. Reso. #12189 — March 21, 2012 Page 2 WHEREAS, the Tamarac Historical Society, from time to time, is offered donations, and would like to more formally solicit donations; and WHERES, donors, and potential donors, would receive a tax benefit if the Tamarac Historical Society were an official non-profit organization; and WHEREAS, the Tamarac Historical Society intends to utilize said grants and donations for programs and events related to the Society's stated mission and the advancement of the Society itself; and WHEREAS, the City of Tamarac wishes to assist the Tamarac Historical Society in its efforts to become a non-profit organization so that it can further preserve the City's history through the solicitation and administration of funds; and WHEREAS, it is the recommendation of the Assistant City Manager and the Public Information and Media Specialist for the City of Tamarac to create a non-profit foundation known as the Tamarac Historical Society, Inc. to solicit and administer funds resulting in the preservation of the history of the City of Tamarac, and WHEREAS, the City Commission of the City of Tamarac, Florida, deems it to be in the best interest of the citizens and residents of the City of Tamarac to create a non-profit foundation known as the Tamarac Historical Society, Inc. to administer funds resulting in the preservation of the history of the City of Tamarac. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing Whereas clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this resolution upon adoption hereof. All exhibits attached hereto are hereby incorporated herein by this reference. SECTION 2: The appropriate City officials are hereby authorized to take the Temp. Reso. #12189 — March 21, 2012 Page 3 necessary steps to submit a non-profit application to the appropriate State and Federal agencies on behalf of the Parks and Recreation Department to create a not -for -profit corporation known as the Tamarac Historical Society, Inc. SECTION 3: That the Tamarac Historical Society, Inc. shall be an entity that is separate, independent and autonomous from the City of Tamarac and is not intended to exist or be construed as an agency or arm of the City of Tamarac. SECTION 4: That funds raised by the Tamarac Historical Society, Inc. are intended to be used to encourage the preservation of the City of Tamarac's history. SECTION 5: All Resolutions or parts of Resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 6: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or application, it shall not affect the validity of the remaining portions or applications of this Resolution.
