R- 2012 - A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA AUTHORIZING THE PURCHASE OF TWO (2) 2012 HORTON MODEL 623 AMBULANCE BUILT ON A 2013 INTERNATIONAL 430OLP CREW CAB CHASSIS, HORTON EMERGENCY VEHICLES COMPANY, FROM HALL -MARK FIRE APPARATUS, INC., UNDER THE FLORIDA FIRE CHIEFS' ASSOCIATION, FLORIDA SHERIFFS' ASSOCIATION & FLORIDA ASSOCIATION OF COUNTIES BID AWARD ANNOUNCEMENT NO. #11-10- 1202, SPECIFICATION 02, AT A TOTAL COST NOT TO EXCEED $531,230; AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXECUTE A SCHEDULE OF PROPERTY AND ASSOCIATED EXHIBITS RELATED TO THE MASTER LEASE/PURCHASE AGREEMENT WITH THE BANC OF AMERICA PUBLIC CAPITAL CORPORATION IN THE PRINCIPAL AMOUNT OF $531,230 TO FINANCE THE COST OF THE EQUIPMENT DESCRIBED HEREIN UPON ACCEPTANCE OF SAID EQUIPMENT BY THE CITY AT A RATE NOT TO EXCEED THREE AND ONE-HALF PERCENT (3.5%) WITHOUT FURTHER AUTHORIZATION AND APPROVAL BY THE CITY COMMISSION; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Tamarac desires to maintain the highest possible level of emergency medical services transportation; and WHEREAS, the purchase of two new advanced life support rescue vehicles will greatly assist the Tamarac Fire Rescue Department in maintaining apparatus reliability, response times and meeting the desired level of service for our citizens, businesses and visitors; and WHEREAS, Tamarac Fire Rescue formed a cross functional committee that conducted a needs assessment and established criteria to determine the type of rescue that best meets our community's needs; and T R 12220 Page 2 June 27, 2012 WHEREAS, the committee designed a rescue vehicle that is very safe, functional and reflective of the requirements for Fire Rescue, attached hereto as "Exhibits Al (proposal drawings) and A2 (Horton selected feature list)", and Fleet Management, attached hereto as "Exhibit B (International vehicle specifications)"; and WHEREAS, Horton Emergency Vehicles through Hall -Mark Fire Apparatus has provided the City of Tamarac a quotation, attached hereto as "Exhibit C (quote)" based on Florida Fire Chiefs' Association, Florida Sheriff's Association and the Florida Association of Counties Bid Award Announcement No. #11-10-1202 Specification #02, attached hereto as "Exhibit D (Florida Sheriff bid document)" with Fire Rescue and Fleet Specific options, attached hereto as "Exhibit E (Florida Sheriff Association Contract 11-10-1202 final proposal);" and WHEREAS, the Fire Chief and the Director of Financial Services find it to be in the best interest of the City to acquire these rescue vehicles through a financial lease arrangement; and WHEREAS, funding for the rescue vehicles was approved in the biennial FY12-13 budget; and WHEREAS, the Fire Chief and the Purchasing and Contracts Manager recommend the purchase of two Horton rescue vehicles through Hall -Mark Fire Apparatus, Inc. in the amount not to exceed $531,230; and WHEREAS, City Code §6-156 allows the Purchasing Officer the authority to utilize contract prices from other governmental agencies; and WHEREAS, the City Commission of the City of Tamarac deems it to be in the best interest of the citizens and residents of the City of Tamarac to acquire the two Horton rescue vehicles through Hall -Mark Fire Apparatus, Inc. in an amount not to exceed $531,230 through the use of a financial lease; and T R 12220 Page 3 June 27, 2012 WHEREAS, the City approved Resolution 2011-123 authorizing the City to enter into a Master Lease Agreement with Banc of America Public Capital Corporation on October 26, 2011; and WHEREAS, lease rates are subject to change with market conditions; and WHEREAS, the term of the lease will be for five (5) years; and WHEREAS, the lease rate is estimated rate of interest not to exceed 3.5% without additional authorization and approval by the City Commission. NOW THEREFORE BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: Section 1: The foregoing "WHEREAS" clauses are HEREBY ratified and confirmed as being true and correct and are HEREBY made a specific part of this Resolution. All Exhibits attached hereto are incorporated herein and made a specific part hereof. Section 2: The appropriate City Officials are HEREBY authorized to approve the purchase of two (2) advanced life support rescue vehicles utilizing the Florida Fire Chiefs' Association, Florida Sheriff's Association and the Florida Association of Counties Bid Award Announcement 11-10-1202 Specification #02, through the use of a financial lease arrangement, with subsequent Agreements if necessary, pending legal review and approval between the City of Tamarac and Hall -Mark Fire Apparatus, Inc. in an amount not to exceed $531 7230. Section 3: That the appropriate City Officials are hereby authorized to execute a Schedule of Property and all associated exhibits related to the Master Lease/Purchase Agreement with Banc of America Public Capital Corporation in the principal amount of $531,230 for the equipment described herein upon acceptance of the equipment by the City from the manufacture for a lease term of five (5) years at a lease rate not to exceed three and on -half percent (3.5%) without further authorization and approval of the City Commission. Section 4: T R 12220 Page 4 June 27, 2012 All Resolutions or parts of Resolutions in conflict herewith are HEREBY repealed to the extent of such conflict. Section 5: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or in application, it shall not affect the validity of the remaining portions or applications of this Resolution. Section 6: This Resolution shall become effective immediately upon its passage and adoption.
