RESOLUTION NO. R-2010- .
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA, APPROVING THE
ACQUISITION OF A THREE (3) YEAR MICROSOFT
ENTERPRISE AGREEMENT PAID ANNUALLY TO BE
PURCHASED FROM SHI INTERNATIONAL CORP.;
AUTHORIZING BUDGET AMENDMENTS FOR
PROPER ACCOUNTING PURPOSES; AUTHORIZING
AN EXPENDITURE OF $430,766.16, PROVIDING
FOR CONFLICTS; PROVIDING FOR SEVERABILITY;
AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Microsoft software currently in use at the City is at or near the end of its
lifecycle and will need to be replaced .or upgraded; and
WHEREAS, a Microsoft Enterprise Agreement will allow for the City's Information
Technology infrastructure to adapt and grow with the organization's evolving needs, and to
standardize on the latest Microsoft technology at a substantial savings; and
WHEREAS, a Microsoft Enterprise Agreement offers a perpetual and subscription
license model for software licensing of Microsoft products; and
WHEREAS, a Microsoft Enterprise Agreement will provide many benefits to the City,
as further described in Exhibit 1 and Exhibit 2; and

WHEREAS, a Microsoft Enterprise Agreement is necessary to continue to
implement technology as an enabler, encouraging productivity and efficiency, while also
reducing overall licensing and support costs; and
WHEREAS, Microsoft Enterprise Licensing is available through the State of
Florida Contract Number 252-001-09-1, effective April 4, 2009, through March 31,
2012, thereby waiving competitive purchasing requirements as provided under Section
6-155 of the City of Tamarac Code; and
WHEREAS, SHI International Corp. is the contractor on record for State of
Florida Contract Number 252-001-09-1, and is the provider of Microsoft Enterprise
Licensing for the State of Florida; and
WHEREAS, SHI International Corp. has provided a proposal for Microsoft
Enterprise Licensing at the most competitive cost, attached hereto as Exhibit 3; and
WHEREAS, it is the recommendation of the Director of Information Technology,
the Director of Financial Services and the Purchasing/Contracts Manager that the City
purchase a Microsoft Enterprise Licensing Agreement through SHI International Corp.
for a three (3) year term at a total cost of $430,766.16, and that the appropriate City
Officials be authorized to execute the respective Microsoft Enterprise Licensing

Agreements with SHI International Corp. and Microsoft Licensing, G.P., a copy of
said
Agreements is attached as Exhibit 4; and
WHEREAS, funding for Microsoft Enterprise Licensing is available in the Information
Technology Service Contracts account; and
WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in
the best interest of the citizens and residents of the City of Tamarac to execute a three (3)
year Microsoft Enterprise Agreement with Microsoft Licensing, G.P. and purchase such
agreement through SHI International Corp.; and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA:
SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and
confirmed as being true and correct and are hereby made a specific part of this Resolution.
All exhibits attached hereto are incorporated here and made a specific part of this
Resolution.

SECTION 2: The appropriate City Officials are hereby authorized to purchase
a three (3) year Microsoft Enterprise Agreement with Microsoft Licensing, G.P. through SHI
International Corp., providing for an annual payment of $143,588.72, for a total amount of
$430, 766.16.
SECTION 3: Funding is available for the purchase of a Microsoft Enterprise
Agreement from the appropriate account at a total amount of $430,766.16.
SECTION 4: All resolutions or parts of resolutions in conflict herewith are
hereby repealed to the extent of such conflict.
SECTION 5: If any clause, section, other part or application of this Resolution
is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or
application, it shall not affect the validity of the remaining portions or applications of this
Resolution.

Enterprise Agreement Summary
Microsoft offers a perpetual and a subscription license model for their Enterprise Agreements.
The EA was designed for organizations that wish to standardize on a primary suite of Microsoft products
and can manage and procure their software in a centralized manner while at a discount. The Enterprise
Agreement is a three-year agreement available for clients with 250 or more desktops. The agreement
incorporates maintenance (Software Assurance) which is highlighted below. The licenses purchased
over the term of the contract are perpetual and remain under the ownership of the company post the
contract term. If you wish to renew after the 3r' year the contract costs are for Software Assurance which
allow upgrades and other benefits, without Software Assurance you would not have the rights to upgrade.
The rights below remain in effect until the contract renews for another term. The Master Enterprise
Agreement signed by the Department of Management Services and State Technology office is a blanket
contract for the State of Florida in which agencies and other government entities have the rights to
purchase Microsoft licensing at a discount.

ENTERPRISE AGREEMENT LICENSING BENEFITS
Business Value of an Enterprise Agreement: Microsoft Enterprise Agreement creates value by
supporting a business in these fundamental ways:
Lower Total Cost of Ownership. By standardizing on the enterprise platform and receiving Software
Assurance Benefits, your total cost of ownership (TCO) for technology assets is reduced and your
workplace productivity increases.
■ Flexible choices — Components; Platforms and additional products
■ Additional 15% to 30% discounts on the already discounted Select prices
■ "SHI is the sole reseller for Microsoft products, including the Microsoft EA" under state
contract 252-001-09-1. This contract will provide State agencies, local and county

Access to Most Recent Versions of the Microsoft Products. The right to the current version of the
products is built into the price of the products. Your organization can reduce its overall costs by 10%
to 15% percent by implementing technology standardization (this is in addition to the 15%-28% cost
savings in software purchases by using the EA vehicle). In addition, the Enterprise Agreement
facilitates information sharing and communication across an organization and provides a consistent
platform upon which to build and deploy custom applications.
• Simplified License Tracking. There is no need to track license usage or software versions for
enterprise products during the agreement term, which reduces the overhead normally associated with
ongoing license tracking and administration.
• Reduced Risks of License Noncompliance Costs. All desktops are considered in compliance with

• Minimize Security Risks. Piracy and counterfeit software can seriously impact the security and

Reduced Total Cost of Ownership (TCO)
TCO studies continue to reflect the high costs of maintaining and operating a large enterprise using a
variety of versions of Windows and Microsoft Office. While the easy solution to this dilemma is to

This Microsoft Enterprise Enrollment is entered into between the following entities signing, as of the
effective date identified below.
Definitions. When used in this enrollment, "you" refers to the entity that signs this enrollment with us,
and "we" or "us" refers to the Microsoft entity that signs this enrollment.
"Qualifying Enrollment," means (1) an enterprise enrollment under a separate Microsoft Select Master
Agreement or Microsoft Enterprise Agreement; (ii) any enterprise subscription enrollment entered into
under a separate Microsoft Enterprise Subscription Agreement; or (III) any other enrollment submitted
under the Microsoft Enterprise Agreement identified on the cover page.
All other definitions in the Microsoft Enterprise Agreement identified above apply here.
Effective date. If you are renewing Software Assurance from one or more previous "Qualifying
Enrollments" then the effective date will be the day after the first Enrollment expires.
Otherwise the effective date will be the date this enrollment is signed by us. Where a previous Qualifying
Enrollment is being used, your reseller will require that enrollment number and end date to complete the
applicable boxes above.
Term. This enrollment will expire 36 full calendar months from the effective date. It could be terminated
earlier or renewed as provided in the Microsoft Enterprise Agreement. We will advise you of your renewal
options before it expires.
Representations and warranties. By signing this enrollment, the parties agree to be bound by the
terms of this enrollment, and you represent and warrant that: (i) you have read and understand the
Microsoft Business Agreement identified above (if any) and the Microsoft Enterprise Agreement, including
all documents it incorporates by reference and any amendments to those documents, and agree to be
bound by those terms; and (ii) you are either the entity that signed the Microsoft Enterprise Agreement or
its affiliate.
Non -exclusivity. This enrollment is non-exclusive. Nothing contained in it requires you to license, use or
promote Microsoft software or services exclusively. You may, if you choose, enter into agreements with
other parties to license, use or promote non -Microsoft software or services.

7, Enterprise product orders.
Your reseller will provide you with your product pricing and order. Your prices and payment
terms for all products ordered will be determined by agreement between you and your reseller.
Your reseller will provide us with your order separately from this enrollment.
We will invoice your reseller in three equal annual installments for the enterprise products covered by
your initial order. The first installment will be invoiced to your reseller upon our acceptance of this
enrollment; the remaining installments will be invoiced at the next two anniversaries of the enrollment
effective date. We will invoice your reseller for the enterprise products covered by any true up orders in
total upon our acceptance of each true up order.
Select the enterprise products to be covered by your initial order. If you select the Core CAL, you must

We will invoice your reseller for each additional product covered by your initial order in three equal annual
installments. The first installment will be invoiced to your reseller upon our acceptance of this enrollment;
the remaining installments will be invoiced at the next two anniversaries of the enrollment effective date.
We will invoice your reseller for any new additional product not initially included in your enrollment in total
upon our acceptance of your order. We will invoice your reseller for additional products initially included in
your enrollment and covered by any true up order submitted during the initial term in total upon our
acceptance of your true up order.
9. Qualifying systems licenses.
All desktop operating system licenses provided under this program are upgrade Licenses. No full
operating system licenses are available under this program. Therefore, if you select the Windows
Desktop Operating System Upgrade & Software Assurance, all qualified desktops on which you will run
the Windows Desktop Operating System Upgrade must be licensed to run one of the qualifying operating
systems identified in the Product List at http://www.microsoft.com/licensing. Note that the list of operating
systems that qualify for the Windows Desktop Operating System Upgrade varies with the circumstances
of your order. That list is more extensive at the time of your initial order than it is for some subsequent
true ups and system refreshes during the term of your enrollment.
10. Renewal orders.
For any 36-month renewal, your renewal order will be invoiced to your reseller in three annual
installments. The first installment will be invoiced upon our acceptance of the renewal order; the
remaining installments will be invoiced at the next two anniversaries of the effective date of that renewal
term. For any 12-month renewal and for any true up orders, we will invoice your reseller in total upon our
acceptance of your order.
