R-2008= tr A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXERCISE THE OPTION TO RENEW THE AGREEMENT FOR AN ADDITIONAL FIVE (5) YEAR PERIOD BETWEEN THE CITY OF TAMARAC AND MARTIN OUTDOOR MEDIA, INC. TO FURNISH BUS BENCHES FOR THE CITY OF TAMARAC BEGINNING JULY 16, 2008; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the current agreement for bus benches expires on July 15, 2008; and WHEREAS, the City entered into an agreement with Martin Outdoor Media, Inc. on July 9, 2003, via Resolution No. R-2003-169, for a five year period with an option to renew for an additional five (5) year period, a copy of said Agreement is attached hereto as Exhibit 1; and WHEREAS, Martin Outdoor Media, Inc. has satisfactorily performed its contractual services for the City of Tamarac and has agreed to extend the term of the Agreement through July 15, 2013, via the Agreement Amendment #1 between the City of Tamarac and Martin Outdoor Media, Inc., attached hereto as Exhibit 2; and WHEREAS, it is the recommendation of the City Building Official and the Purchasing and Contracts Manager that the city renew the agreement between the City of Tamarac and Martin Outdoor Media, Inc. providing bus benches; and Temp Reso # 11426 Page 2 June 4, 2008 WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in the best interest of the citizens and residents of the City of Tamarac to contract with Martin Outdoor Media, Inc. for bus benches. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, THAT: SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution upon adoption hereof. SECTION 2: The appropriate City Officials are hereby authorized to execute an Agreement Amendment #1 for bus benches with Martin Outdoor Media, Inc. SECTION 3: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 4: If any provision of this Resolution or the application thereof to any person or circumstance is held invalid, such invalidity shall not affect other provisions or application, and to this end the provisions of this Resolution are declared to be severable. Put -chasing Division The City of Tamarac, a municipal corporation, with principal offices located at 7525 NW 88th Avenue, Tamarac FL 33321 (CITY), and Martin Outdoor Media, Inc., a Florida corporation with principal offices located at 19501 NE 10th Ave., Bay H, North Miami Beach, FL 33169 (the "CONTRACTOR") agree to amend the original Agreement dated July 9, 2003 to provide for Bus Bench Design, Construction, Installation and Maintenance, pursuant to RFP No. 03-1 OR. 1. Pursuant to the terms of Section 2, Term of the original Agreement dated July 9, 2003, between the City and Martin Outdoor Advertising, Inc., and in recognition of satisfactory performance under the current term of the Agreement, the CITY hereby exercises its rights to renew the Agreement pursuant to the five (5) year renewal option for the term July 16, 2008 through July 15, 2013, and Contractor agrees to such renewal. 2. Amend Section 15, Payment as follows: In consideration of the right, privilege and license to display advertising on transit bus benches throughout the CITY, CONTRACTOR agrees to pay CITY a guaranteed rate of: Year 1-3 $50 per bench per year Year 4 $100 per bench per year Year 5 $160 per bench per year Year 6 $160 per bench per year Year 7 $164.80 per bench per year ($160 x 1.03 or +3%) Year 8 $169.74 per bench per year ($164.80 x 1.03 or +3%) Year 9 $174.83 per bench per year ($169.74 x, 1.03 or +3%) Year 10 $180.07 per bench per year ($174.83 x 1.03 or +3%) All other provisions of the original agreement remain in effect as written.
