RESOLUTION NO. R-2002-40
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA, AUTHORIZING THE
CITY MANAGER TO NEGOTIATE AND EXECUTE AN
AGREEMENT BETWEEN THE CITY OF TAMARAC
AND THE SELECTED FIRM TO CONDUCT AN
EXECUTIVE SEARCH FOR FINANCE DIRECTOR, FOR
AN AMOUNT NOT TO EXCEED $20,000; APPROVING
THE APPROPRIATE BUDGETARY TRANSFER OF
FUNDS; PROVIDING FOR CONFLICTS; PROVIDING
FOR SEVERABILITY; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the City Manager desires to contract with a qualified firm to
conduct an executive search for Finance Director; and
WHEREAS, Request for Proposal Number 02-18R was issued on January
4, 2002 (Attached hereto as Exhibit "1 "); and
WHEREAS, proposals were received on January 18, 2002 from the
following six firms:
1. Bennett Associates
2. DMG Maximus
3. Gerald Plock Associates
4. Mercer Group, Inc.
5. Rachlin Cohen & Holtz
6. Slavin Management Consultants
WHEREAS, the proposals were evaluated by the Director of Personnel
and Purchasing and Contracts Manager based upon the criteria established in
the RFP: Project organization, technical qualifications and capability of the

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF TAMARAC, FLORIDA:
SECTION 1: The foregoing "WHEREAS" clauses are hereby
ratified and confirmed as being true and correct and are hereby made a specific
part of this Resolution.
SECTION 2: The City Manager is hereby authorized to negotiate
and execute an agreement in substantially the same form as attached hereto in
Exhibit 2, subject to any revisions consistent with the executive search services
for the position of finance director as negotiated by and between City staff and
the selected firm and approved by the City Manager and the City Attorney and for
an amount not to exceed $20,000.
SECTION 3: That the appropriate City officials are authorized to
enact any appropriate budget transfers as needed for this purpose.
SECTION 4: All resolutions or parts of resolutions in conflict
herewith are hereby repealed to the extent of such conflict.
SECTION 5: If any clause, section, other part or application of this
Resolution is held by any court of competent jurisdiction to be unconstitutional or
invalid, in part or application, it shall not affect the validity of the remaining
portions or applications of this Resolution.

The City of Tamarac, Florida, is soliciting proposals from qualified firms to conduct a
nationwide search to fill the executive position of Finance Director for the City of
Tamarac. Please submit Qualifications Statement and Proposal Forms included herein
and any other information relative to the experience, expertise, or proficiency of the
Proposer, to the office of the Purchasing and Contracts Manager, City Hall, 7525 NW 88
Avenue, Tamarac, Florida 33321.
Proposals must be received no later than 4:00 p.m. local time on Friday, January 18,
2002.
CITY reserves the right to reject any or all Proposals, to waive any or all Proposals
received, to re -advertise for Proposals, to award in whole or in part to one or more
Proposers, or take any other such actions that may be deemed to be in the best interest
of the CITY.

I. SCOPE OF SERVICES
RFP 02-18R
Conduct Executive Search for Finance Director
The City desires to issue a contract to a single qualified executive search firm to
conduct a nationwide search to fill the Director of Finance position.
The executive search firm should provide, at a minimum, the services listed below:
Develop the ideal profile for the Director of Finance by meeting with the City
Manager and/or designees to obtain information regarding the issues and
challenges facing the Finance Department and the City of Tamarac; clarify the
desired education, experience, and background of the candidate; and identify the
management skills and style that is appropriate for the position.
2. Create and implement a strategy for the recruitment process that will include
developing an advertising campaign, submitting (via hard copy and electronically)
a list of various publications in which the position will be advertised, and the
actual placing of the advertisements.
3. Identify potential contacts through personal outreach to encourage applicants
from diverse backgrounds to apply.
4. Screen and review resumes and City of Tamarac applications for background
and qualifications; arrange telephone or in -person interviews (whichever is
agreed to by the City) to clarify each applicant's experience and credentials; and
prepare a written summary of between ten (10) and fifteen (15) candidates with
the most promising qualifications.
5. Evaluate candidates for serious consideration by conducting in-depth reference
checks with individuals who are or have been in the position to evaluate the
candidate's performance on the job. A short list of between ten (10) and fifteen
(15) candidates shall be presented to the City Manager.
In the event that sensitive or potentially embarrassing issues arise in the
candidates' background, conduct thorough interviews with principal parties to
clarify these issues.
6. Recommend and finalize a process for conducting interviews and coordinating
candidates' participation in said interviews with the City Manager and/or
designee.
7. Debrief the City Manager after interviews and identify additional candidates, if
necessary.
8. Verify selected candidates' educational and employment background, financial
and credit history; conduct newspaper research; and coordinate criminal and civil
litigation checks.
9. Notify candidates that were not selected.
10. Assist in structuring the job offer, compensation package and relocation
requirements (if applicable) with finalist.
11. Provide regular written status reports and keep candidates apprised of their
status.
12. Conduct meetings with the City Manager and/or designees as necessary and
appropriate.
13. Provide examples of recruitment literature (i.e. brochure or recruitment marketing
pamphlets) successfully used by the search firm in other executive searches.
14. Initiate, coordinate and facilitate additional searches, at no additional charge to
the City, if successful candidate resigns or is terminated, with or without cause,
within one year of placement.
II. SUBMISSION REQUIREMENTS
The Proposal shall be signed by a representative who is authorized to
contractually bind the Proposer. Each Proposal shall be prepared simply and
economically, providing a straightforward, concise delineation of the Proposer's
capabilities to satisfy the requirements of the RFP. The emphasis in each Proposal
must be on completeness and clarity of content. In order to expedite the evaluation of
Proposals, it is essential that Proposer follow the format and instructions contained
herein. If the Proposer so wishes, the Proposal may be accompanied with brochures,
promotional materials, or displays properly identified. However, Proposal Submission
Requirements as listed herein must be followed. All Proposals must be submitted as
specified on the Proposal pages that follow. Any attachments must be clearly identified.
The Proposal shall be considered an offer on the part of the Proposer, which offer shall
be deemed accepted upon approval of the City Commission of the City of Tamarac, and
in case of default the City of Tamarac reserves the right to accept or reject any or all
Proposals, to waive irregularities and technicalities, and request new Proposals. The
City also reserves the right to award any resulting agreement as it deems will best serve
the interests of the City.
One (1) original and three (3) copies of the submittals shall be mailed or hand delivered

III. FORMAT
1. Title Page
Show the request for Proposal subject, the name of your firm, address, telephone
number, name of contact person and date.
2. Table of Contents
Clearly identify the material by section and page number.
3. Letter of Transmittal
Limit to one (1) or two (2) printed pages.
a. Briefly state your firm's understanding of the work to be done and provide a
positive commitment to perform the work.
b. Give the names of the persons who will be authorized to make representations
for your firm, their titles, addresses and telephone numbers.
4. Profile of Proposer
a. State whether your organization is national, regional or local.
b. State the location of the office from which your work is to be performed.
c. Describe the firm, including the size, range of activities, etc. Particular emphasis
should be given as to how the firm -wide experience and expertise in the area
addressed by this Request for Proposal will be brought to bear on the proposed
work.
d. Provide a list and description of similar municipal engagements satisfactorily
performed within the past five (5) years. For each engagement listed, include the
name and telephone number of a representative for whom the engagement was
undertaken who can verify satisfactory performance.
e. Have you been involved in litigation within the last five (5) years or is there any
pending litigation arising out of your performance?
5. Summary of Proposer's Qualifications
a. Identify the project manager and each individual who will work as part of the
engagement. Include resumes for each person to be assigned. The resumes
may be included as an appendix.
b. Describe the experience in conducting similar projects for each of the consultants
assigned to the engagement. Describe the relevant educational background of
each individual.
c. Describe the organization of the proposed project team, detailing the level of
involvement, field of expertise and estimated hours for each member of the team.
d. Describe what municipal staff support you anticipate for the project.

IV. SELECTION/NEGOTIATION PROCESS
A Selection/Negotiation Committee has been appointed by the City Manager and will be
responsible for selecting the most qualified firm and negotiating a contract.
Each firm should submit documents that provide evidence of capability to provide the
services required for the committee's review for short -listing purposes. The short listed
firms may be contacted via telephone and a follow-up letter to prepare for a
presentation to the committee so that a final firm can be selected. The committee will
then attempt to negotiate an agreement, which will be recommended to the Tamarac
City Commission for award.
V. EVALUATION CRITERIA
Proposals will be evaluated using the criteria listed below to ascertain which Proposal
best meets the requirements of the City. The Items to be considered during the
evaluation and the associated point values are as follows:
1. Cost 15%
2. Project Organization, Technical 25%
Qualifications and Capability of the
Persons Assigned to the Project
3. Project Understanding, Proposed 25%
Approach and Methodology
4. Experience, references and 35%
successfully completed similar projects
MAXIMUM TECHNICAL POINTS 100%
These weighted criteria are provided to assist the Proposers in the allocation of their
time and efforts during the submission process. The criterion also guides the
Evaluation Committee during the short -listing and final ranking of Proposers by
establishing a general framework for those deliberations.
Short-listed proposals may be selected for an interview prior to a recommendation being
presented to the City Commission. As the best interest of the CITY may require, the
right is reserved to reject any and all proposals or waive any minor irregularity or
technicality in proposals received. Proposers are cautioned to make no assumptions
unless their proposal has been evaluated as being responsive. Additional information
may be required of the proposer during the review and selection process to clarify the
Proposers presented information.
VI. RIGHT TO REJECT PROPOSALS
Submission of a proposal indicates acceptance by the firm of the conditions contained
in the request for proposals unless clearly and specifically noted in the proposal
submitted and confirmed in the contract between the City of Tamarac and the firm

selected. The City of Tamarac reserves the right without prejudice to reject any of all
proposals.
VII. QUESTIONS ABOUT THE RFP
Questions regarding the project or the proposal process shall be directed in writing to

CONTACT WITH PERSONNEL OF THE CITY OF TAMARAC OTHER THAN THE
PURCHASING AND CONTRACTS MANAGER OR DESIGNATED
REPRESENTATIVE REGARDING THIS REQUEST FOR PROPOSAL MAY BE
GROUNDS FOR ELIMINATION FROM THE SELECTION PROCESS.
VIII. INSURANCE REQUIREMENTS
Consultant agrees to, in the performance of work and services under this Agreement,
comply with all Federal, State and Local laws and regulations now in effect, or
hereinafter enacted during the term of this Agreement that are applicable to Consultant,
its employees, agents or subcontractors, if any, with respect to the work and services
described herein.
Consultant shall obtain at Consultant's expense all necessary insurance in such form
and amount as required by the City's Risk & Safety Officer before beginning work under
this Agreement including, but not limited to, Workers' Compensation, Commercial
General Liability, and all other insurance as required by the City, including Professional
Liability when appropriate. Consultant shall maintain such insurance in full force and
effect during the life of this Agreement. Consultant shall provide to the City's Risk &
Safety Officer certificates of all insurances required under this section prior to beginning
any work under this Agreement. The Consultant will ensure that all sub Consultants
comply with the above guidelines and will retain all necessary insurance in force
throughout the term of this agreement.
Consultant shall indemnify and hold the City harmless for any damages resulting from
failure of the Consultant to take out and maintain such insurance. Consultant's Liability
Insurance policies shall be endorsed to add the City as an additional insured.
Consultant shall be responsible for payment of all deductibles and self-insurance
retentions on Consultant's Liability Insurance policies.
Consultant shall maintain in full force and effect during the life of the contract, Workers'
Compensation insurance covering all employees in performance of work under the
contract. Consultant shall make this same requirement of any of its subcontractors.
The following are required types and minimum limits of insurance coverage, which the
Consultant agrees to maintain during the term of this contract:

Neither Consultant nor any subcontractor shall commence work under this contract until
they have obtained all insurance required under this section and have supplied owner
with evidence of such coverage in the form of a Certificate of Insurance and
endorsement. The City shall approve such certificates.
ALL INSURANCE COMPANIES PROVIDED SHALL: Be rated at least A VII per Best's
Key Rating Guide; be licensed to do business in Florida.
All policies provided shall be Occurrence not Claims Made forms. The Consultant's
insurance policies shall be endorsed to add the City of Tamarac as an Additional
Insured. The Consultant shall be responsible for all deductibles.
All of the policies of insurance so required to be purchased and maintained shall contain
a provision or endorsement that the coverage afforded shall not be canceled, materially
changed or renewal refused until at least thirty (30) calendar days written notice has
been given to the City by certified mail.
GOVERNING LAW:
INTERESTED CONSULTANTS WILL AGREE THAT CONTRACTS SHALL BE
GOVERNED BY THE LAWS OF THE STATE OF FLORIDA. VENUE WILL BE
BROWARD COUNTY.
IX. PUBLIC ENTITY CRIMES STATEMENT
A person or affiliate as defined in 287.133, Florida Statutes, who has been placed on the
convicted vendor list maintained by the Florida Department of Management Services following
a conviction for a public entity crime, may not submit a bid on a contract to provide any goods
or services to the City of Tamarac, may not submit a bid on a contract with the City of
Tamarac for the construction or repair of any public building or public Work, may not submit
bids on leases of real property with the City of Tamarac, may not be awarded to perform Work
as a contractor, Supplier, sub -contractor, or consultant under a contract with the City of
Tamarac, and may not transact business with the City of Tamarac in an amount set forth in
287.017, Florida Statutes, for Category Two for a period of thirty-six (36) months from the
date of being placed on the convicted vendor list. In compliance with Florida State Statute
Section 287.133(3)(a), Public Entity Crimes, the form incorporated into this bid package must
be returned signed and notarized.

SAMPLE AGREEMENT
BETWEEN THE CITY OF TAMARAC
AND
THIS AGREEMENT is made and entered into this 13 day of 4�_ b . , 2002 by and
between the City of Tamarac, a municipal corporation with principal offices located at 7525
N.W. 88th Ave., Tamarac, FL 33321 (the "City") and , a (fill in state)
corporation with principal offices located at (the "Consultant") to provide for
Now therefore, in consideration of the mutual covenants hereinafter set forth, the City and
Consultant agree as follows:
1) The Contract Documents
The contract documents consist of this Agreement, conditions of the contract (General,
Supplementary and other Conditions), drawings, specifications, all addenda issued prior to,
and all modifications issued after execution of this Agreement. These contract documents
form the Agreement, and all are as fully a part of the Agreement if attached to this
Agreement or repeated therein.
2) The Work
Working in consultation and conjunction with the City Manager and/or designee, the
following are areas of general responsibility:
Develop the ideal profile for the Director of Finance by meeting with the City
Manager and/or designees to obtain information regarding the issues and
challenges facing the Finance Department and the City of Tamarac; clarify the
desired education, experience, and background of the candidate; and identify the

3) Insurance
Consultant shall obtain at Consultant's expense all necessary insurance in such form and
amount as required by the City's Risk and Safety Officer before beginning work under this
Agreement including, but not limited to, Workers' Compensation, Commercial General
Liability, and all other insurance as required by the City, including Professional Liability
when appropriate. Consultant shall maintain such insurance in full force and effect during
the life of this Agreement. Consultant shall provide to the City's Risk and Safety Officer
certificates of all insurances required under this section prior to beginning any work under
this Agreement. The Consultant will ensure that all subconsultants comply with the above

guidelines and will retain all necessary insurance in force throughout the term of this
agreement.
Consultant shall indemnify and hold the City harmless for any damages resulting from
failure of the Consultant to take out and maintain such insurance. Consultant's Liability
Insurance policies shall be endorsed to add the City as an additional insured. Consultant
shall be responsible for payment of all deductibles and self-insurance retentions on
Consultant's Liability Insurance policies.
4) Time of Commencement and Substantial Completion
The term of this Agreement is for a period of (x) years, beginning the first day
following execution by the City and ending on date . Upon expiration of the (x)
year term, the parties may choose to terminate this Agreement, or renew the Agreement by
written agreement signed by the parties hereto for a term to be set in the renewal
agreement.
5) Contract Sum
The Contract Sum for the above work is Dollars and cents ($XXXX.xx).
6) Payments
Payment will be made monthly upon completion, delivery, and acceptance by the City of
the written report as detailed in Paragraph 2 and submission of an invoice for said report.
Consultant shall not incur costs for performance of services under this Agreement in
excess of said amount without the prior written authorization of the City Manager or
designee.
7) Indemnification
The Consultant shall indemnify and hold harmless the City, its elected and appointed
officials, employees, and agents from any and all claims, suits, actions, damages, liability,
and expenses (including attorneys' fees) in connection with the work performed by the
Consultant or its officers, employees, agents, subconsultants, or independent Consultants,
excepting only such damage solely attributable to the gross negligence or willful
misconduct of the City or its elected or appointed officials and employees. The above
provisions shall survive the termination of this Agreement and shall pertain to any
occurrence during the term of this Agreement, even though the claim may be made after
the termination hereof.
Nothing contained herein is intended nor shall be construed to waive City's rights and
immunities under the common law or Florida Statutes 768.28, as amended from time to
time.

8) Non -Discrimination
The Consultant agrees that it shall not discriminate against any of its employees or
applicants for employment because of their age, handicap, race, color, religion, sex, or
national origin, and to abide by all federal and State laws regarding non-discrimination.
The Consultant further agrees to insert the foregoing provisions in all subcontracts
hereunder except subcontracts for standard commercial supplies or raw materials. Any
violation of such provisions shall constitute a material breach of this Agreement.
9) Independent Contractor
Consultant is an independent Contractor under this Agreement. Personal services
provided by the Consultant shall be by employees of the Consultant and subject to
supervision by the Consultant, and not as officers, employees, or agents of the City.
Personnel policies, tax responsibilities, social security and health insurance, employee
benefits, purchasing policies and other similar administrative procedures applicable to
services rendered under this Agreement shall be those of the Consultant.
10) Assignment and Subcontracting
Consultant shall not transferor assign the performance required by this Agreement without
the prior consent of the City. This Agreement, or any portion thereof, shall not be
subcontracted without the prior written consent of the city.
11) Notice
Whenever either party desires or is required under this Agreement to give notice to any
other party, it must be given by written notice, sent by registered United States mail, with
return receipt requested, addressed to the party for whom it is intended at the following
addresses.

12) Termination
This Agreement may be terminated by City or Consultant for cause or by the City for
convenience, upon (XX) days of written notice by the terminating party to the other
party for such termination in which event the Consultant shall be paid its compensation for
services performed to termination date, including services reasonably related to
termination. In the event that the Consultant abandons this Agreement or causes it to be
terminated, Consultant shall indemnify the city against loss pertaining to this termination.
Default by Consultant: In addition to all other remedies available to the City, this Agreement
shall be subject to cancellation by the CITY should the Consultant neglect or fail to perform
or observe any of the terms, provisions, conditions, or requirements herein contained, if
such neglect or failure shall continue for a period of (XX) days after receipt by
Consultant of written notice of such neglect or failure.
13) Agreement Subject to Funding
This agreement shall remain in full force and effect only as long as the expenditures
provided for in the Agreement have been appropriated by the City Commission of the City
of Tamarac in the annual budget for each fiscal year of this Agreement, and is subject to
termination based on lack of funding.
14) Venue
This Agreement shall be governed by the laws of the State of Florida as now and hereafter
in force. The venue for actions arising out of this agreement is fixed in Broward County,
Florida.
15) Signatory Authority
The Consultant shall provide the City with copies of requisite documentation evidencing
that the signatory for Consultant has the authority to enter into this Agreement.
16) Severability; Waiver of Provisions
Any provision in this Agreement that is prohibited or unenforceable in any jurisdiction shall,
as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability
without invalidating the remaining provisions hereof or affecting the validity or enforceability
of such provisions in any other jurisdiction. The nonenforcement of any provision by either
party shall not constitute a waiver of that provision nor shall it affect the enforceability of
that provision or of the remainder of this Agreement.
17) Merger; Amendment
This Agreement constitutes the entire Agreement between the Consultant and the City,
and negotiations and oral understandings between the parties are merged herein. This
Agreement can be supplemented and/or amended only by a written document executed by
both the Consultant and the City.
IN WITNESS WHEREOF, the parties have made and executed this Agreement on
the respective dates under each signature. City of Tamarac, through its Mayor

persons assigned to the project; project understanding, proposed approach and
methodology; experience, references and successfully completed similar
projects; and cost; and
WHEREAS, the Personnel Director and Purchasing and Contracts
Manager conducted extensive evaluations and reference checks and short
listed the following highest ranked firms as follows:
1. Gerald Plock Associates
2. Bennett Associates
3. Mercer Group, Inc.
WHEREAS, the three firms have been invited to make presentations to
the City Manager on February 14, 2002; and
WHEREAS, in order to expedite the project and begin the recruitment
process as soon as possible, it is necessary to obtain authority to immediately
move forward with negotiation and execution of the agreement with the selected
firm following presentations and completion of final reference and background
checks of said firm; and
WHEREAS, the City Commission of the City of Tamarac, Florida, deems it
to be in the best interest of the citizens and residents of the City of Tamarac to
authorize the City Manager to negotiate and execute an agreement between the
City of Tamarac and the selected firm for executive search services for the
position of finance director for an amount not to exceed $20,000.
