R-98-cZ/ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, AUTHORIZING THE APPROPRIATE OFFICIALS TO EXECUTE AN ADDENDUM TO THE EXISTING AGREEMENT BETWEEN THE CITY OF TAMARAC AND MADSEN, SAPP, MENA, RODRIGUEZ & CO., P.A., CERTIFIED PUBLIC ACCOUNTANTS AND CONSULTANTS, EXERCISING THE OPTION TO EXTEND AUDITING SERVICES FOR AN ADDITIONAL TWO YEARS; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE. 1 WHEREAS, the City Charter section, 7.09, states that the Commission shall provide for an independent annual audit of all City accounts made by a Certified Public Accountant and/or firm of such accountants; and WHEREAS, the City has contracted with Madsen, Sapp, Mena, Rodriguez & Co., P.A., Certified Public Accountants and Consultants, for the past three years to perform the City's independent annual audit; and WHEREAS, the agreement authorized per Resolution R-95-147 allows the City to renew the contract for an additional two years; and r Temp. Reso. #8317 July 1, 1998 Revision #1 7/13/98 Revision #2 7/14/98 Revision #3 7/15/98 2 WHEREAS, Madsen, Sapp, Mena, Rodriguez & Co., P.A., has provided qualitative auditing services in accordance with the terms of the agreement; and WHEREAS, The City Manager recommends that the agreement with Madsen, Sapp, Mena, Rodriguez & Co., P.A. be extended an additional two years to provide annual auditing services; and WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in the best interests of the citizens and residents of the City of Tamarac to extend the contract between the City of Tamarac, Florida and Madsen, Sapp, Mena, Rodriguez & Co., P.A. for a period of two years as the City's external Auditor. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and is hereby made a specific part of this Resolution. SECTION 2: The appropriate City officials are hereby authorized to accept and execute the Addendum to the June 28, 1995 Agreement Between the City of Tamarac, Florida and Madsen, Sapp, Mena, Rodriguez & Co., P.A. Providing For Auditing Services. (Attached hereto as EXHIBIT 1) SECTION 3: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. I Temp. PROVIDING FOR AUDITING SERVICES WHEREAS, this addendum to the agreement dated June 28, 1995 between the City of Tamarac, Florida and Madsen, Sapp, Mena, Rodriguez & Co., P.A., providing for auditing services is entered into on the day of July, 1998 by and between the City of Tamarac, a Municipal Corporation of the State of Florida, hereinafter referred to as the CITY, and Madsen, Sapp, Mena, Rodriguez & Co., P.A., a local public accounting firm authorized to do business in the State of Florida with its principal office located at 7080 N.W. Fourth Street, Plantation, Florida 33317, hereinafter referred to as the AUDITOR, who is licensed and registered under license number #AC-0033178. NOW, THEREFORE, in consideration of the mutual agreements herein, the CITY and the AUDITOR agree to the Scope of Work and the Terms and Conditions as stated in the City of Tamarac Request for Proposal Number 95-03 for Auditing Services and to the following amendments as specified in Sections 1.0-3.0 below: -1- Mi TEMP. RESO. #8317 EXHIBIT 1 Revision #1 7/14/98 Revision #2 7/15/98 1.0 TERM AND AUDIT PERIOD As specified in the Agreement Between the City of Tamarac, Florida and Madsen, Sapp, Mena, Rodriguez & Co., P.A. Providing for Auditing Services, the City has opted to renew for an additional two years covering the fiscal years ending September 30, 1998 and 1999. This addendum covers the two fiscal years ended September 30, 1998 and 1999. 220 COMPENSATION The basic audit fee for the services defined in RFP 95-03, Article II entitled Nature of Services Required, shall be based on the lesser of (a) the actual time required at the AUDITOR's quoted billing rates for the level of personnel providing the service or (b) $49,500 for year of 1998, and $51,000 for year 1999. These fees include the expanded services required as a result of the single audit requirements for these years. Out of pocket costs, such as travel, per diem, telephone, etc. shall not be billable to the CITY as part of category (b) unless incurred at the specific request of the CITY. 3_0 All other terms and conditions shall remain in effect as outlined in sections 2.0 through 15.0 of the Agreement Between the City of Tamarac, Florida and Madsen, Sapp, Mena, Rodriguez & Co., P.A.
