RESOLUTION NO. R-98 -3m?
A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF TAMARAC, FLORIDA, AUTHORIZING THE
APPROPRIATE CITY OFFICIALS TO EXECUTE A
MAINTENANCE AGREEMENT BETWEEN THE CITY OF
TAMARAC AND PHYSIO-CONTROL, INC., TO PROVIDE
MAINTENANCE FOR THE LIFE PAK 12'S AT A COST OF
ONE THOUSAND SEVEN HUNDRED TWENTY EIGHT
DOLLARS ($1,728.00), FOR A TWO YEAR PERIOD
COMMENCING JUNE 7, 1998 AND ENDING JUNE 6, 2000;
PROVIDING FOR CONFLICTS; PROVIDING FOR
SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE
DATE.
WHEREAS, the City of Tamarac has purchased 2 Physio-Control Life Pak
12's to provide for defibrillation of Advanced Life Support patients suffering from
cardiac arrest; and
WHEREAS, regular maintenance of the Life Pak 12's are recommended
for proper operation and the maintenance of the warranty; and
WHEREAS, Physio-Control is the only vendor who can perform this
service and they will provide maintenance for a period of two years beginning
June 7,1998 and ending June 6, 2000 for one thousand seven hundred twenty
eight dollars ($1,728.00); and
WHEREAS, available funds exist in the Fire Rescue Fund budget for said
purpose; and

WHEREAS, it is the recommendation of the Fire Chief and the Purchasing
and Contracts Manager that Tamarac enter into the maintenance agreement with
Physio —Control, Inc.; and
WHEREAS, the City Commission of the City of Tamarac, Florida deems it
to be in the best interest of the citizens and residents of the City of Tamarac to
enter into an agreement with Physio-Control for the maintenance of the Life Pak
12's for the period beginning June 7, 1998 and ending June 6, 2000, at a total
cost of one thousand seven hundred twenty eight dollars ($1,728.00).
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
THE CITY OF TAMARAC, FLORIDA:
SECTION 1: The foregoing "WHEREAS" clauses are hereby ratified and
confirmed as being true and correct and are hereby made a specific part of this
Resolution.
SECTION 2: The City Manager is hereby authorized to execute the
Maintenance Agreement between Physio-Control, Inc. and the City of Tamarac
at a total cost of one thousand seven hundred twenty eight dollars ($1,728.00) for
a term of two years commencing 6/7/98 and ending 6/6/00 (attached hereto as
Exhibit A).
SECTION 3: All resolutions or parts of resolutions in conflict herewith are
hereby repealed to the extent of such conflict.
SECTION 4: If any clause, section, other part or application of this
Resolution is held by any court of competent jurisdiction to be unconstitutional or

invalid, in part or application, it shall not affect the validity of the remaining
portions or applications of this Resolution.
SECTION 5: This Resolution shall become effective immediately upon its
passage and adoption.

subject to the Terms and Conditions on the reverse side of this document and any Schedule B, if attached.
If any Data Management Support and Upgrade Service is included on Schedule A then this
Service Order is also subject to Physio-Control Corporation's Data Management Support and Upgrade
Service Terms and Conditions, rev 5/98-1.

INSPECTION ONLY SERVICES
. If the customer requests that repairs be made as determined necessary by the Physio- Control Service Representative
after completion of the inspection, such repairs will be made at Physio-Control's then current labor rate less 10%.
Parts required for such repairs will be made available at 15% less than the then current list price for such parts.
• Customer retains the responsibility to perform the battery maintenance and evaluation procedures outlined in the
service manual and to replace batteries that do not pass the conditions outlined under "Discarding/Recycling Batteries."
Batteries failing to meet battery performance tests should be removed from service and properly discarded (recycled).
• Physio-Control shall replace the number of Physio-Control Battery Paks specified on schedule A, based on the customer
providing evidence that the battery fails to meet the performance tests noted above, and/or battery age exceeds 2 years.
To assist in proper recycling and removal of low capacity batteries, replaced batteries become the property of
Physio-Control and must be returned at the time of exchange.
. Inspections are performed Monday thru Friday Sam to 5pm (excluding holidays)

• Battery Support System 2 included when listed on equipment inventory (Schedule A).
• AC Power Adapter included when listed on equipment inventory (Schedule A).
• DC Power Adapter included when listed on equipment inventory (Schedule A).
• Defibrillator paddle repairs are included (excludes internal, sterilizable and pediatric paddles).
• Communications and Patient cables are excluded.
• PCMCIA Modems are excluded.
• Therapy cables are excluded.
• Sp02 Sensors are excluded.
• Case Changes are excluded.
P1 YSIO-CONTROL FASTPAK®, FASTPAK 2 and LIFEPAK SLA BATTERY
Customer retains the responsibility to perform the battery maintenance and evaluation procedures outlined in the
operating instruction manual and to replace batteries that do not pass the conditions outlined under

Physio-Control shall replace up to 4 Physio-Control Battery Paks, (like for like) battery i.e. FASTPAK for FASTPAK,
FASTPAK 2 for FASTPAK 2 ,or LIFEPAK SLA for LIFEPAK SLA, per year per LIFEPAK129defibrillator/monitor (listed on
schedule A) based on the customer providing evidence that the battery fails to meet the performance tests noted above
