R-96 -- A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA, AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO ACCEPT AND EXECUTE AN EASEMENT AGREEMENT WITH PULTE HOME CORPORATION FOR THE CITY'S SOLE USE TO UTILIZE A 1.302-ACRE AREA IN THE PLUM BAY -PLUM HARBOR PRIVATE LAKE TO CREATE WETLANDS TO MITIGATE OFFSITE CONSTRUCTION; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, The City Engineer has conditionally permitted Pulte Home Corporation to construct a Littoral/Mitigation Area in the Plum Bay -Plum Harbor private lake at its sole cost ; and WHEREAS, Pulte Home Corporation has provided the City with an Easement Agreement which meets all of the conditions required by the City Engineer, for the City's exclusive use of the Littoral/Mitigation Area at its discretion; and WHEREAS, the Public Works Director and City Engineer recommend that the appropriate City Officials be authorized to execute the Easement Agreement, and WHEREAS, the City Commission of the City of Tamarac, Florida deems it to be in the best interest of the citizens and residents of the City of Tamarac to authorize the appropriate City Officials to execute the Easement Agreement. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: The foregoing "WHEREAS" clauses are confirmed as being true and correct and are hereby made a specific part of this Resolution upon adoption hereof. SECTION 2: That the appropriate City Officials are hereby authorized to execute the Easement Agreement, a copy of which is attached hereto as "Exhibit I". 1 1 1 Temp. Reso. #7586 Page 2 October 23, 1996 SECTION 3: That if any clause, section, or part of application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or application, it shall not affect the validity of the remaining portion or application of this Resolution. SECTION 4: That all Resolutions or parts of Resolutions in conflict herewith are Hereby Repealed to the extent of such conflict. SECTION 5: That this Resolution shall become effective immediately upon its passage and adoption. 'GOLDBERG & YOUNG, P.A. 1630 North Federal Highway Fort Lauderdale, FL 33305 EASEMENT AGREEMENT This Easement Agreement ("Agreement") is made by and between the CITY OF TAMARAC, a municipal corporation (hereinafter referred to as "City"), PULTE HOME CORPORATION, a Michigan corporation (hereinafter referred to as "Pulte"), and THE PLUMS MASTER ASSOCIATION, INC., a Florida corporation not -for -profit (hereinafter referred to as "Association"). RECITALS: WHEREAS, Pulte is developing a residential community located within the City of Tamarac known as The Plums; WHEREAS, Pulte has subjected the residential community to a Master Declaration of Covenants, Restrictions and Easements for The Plums dated February 23, 1994, and recorded February 28, 1994, in Official Records Book 21808, Page 1, of the Public Records of Broward County, Florida (hereinafter referred to as "Declaration"); WHEREAS, Pulte has conveyed to the Association as Master Common Properties (as that term is defined within the Declaration) the Lake located at The Plums, which is more particularly described, on Exhibit "A" attached hereto and made a part hereof ("Lake"); WHEREAS, the City desires to have the right to locate 1.302 acres of mitigation improvements ("Mitigation Improvements"), at a later date, within a portion of the Lake more particularly described on Exhibit "B" attached hereto and made a part hereof ("Littoral/Mitigation Area"); WHEREAS, the Association will allow the City the right to construct, create, install, maintain and monitor the City's Mitigation Improvements within the Littoral/Mitigation Area at a later date; WHEREAS, in the event the City decides to construct and create a Mitigation Improvements within the Littoral/Mitigation Area, the City shall be responsible for the maintenance and monitoring of the Littoral/Mitigation Area in accordance with the applicable governmental authorities, licenses and permits; ,°,(_Rag TEMP. -RESO. No.% WHEREAS, Association shall provide the City with an easement over the Littoral/Mitigation Area, in the event the City elects to locate, construct, create, install, monitor and maintain Mitigation Improvements within the Littoral/Mitigation Area; and WHEREAS, the Association shall at all times continue to own the Lake as well as the Littoral/Mitigation Area (even if and when the Mitigation Improvements are created), located within the Lake. NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, as well as the mutual covenants herein contained, the parties hereto agree as follows: 1. The above recitals are true and correct and are incorporated herein. 2. The Association does hereby grant the City the right to elect to construct, create, maintain and monitor Mitigation Improvements within the Littoral/Mitigation Area, at a later date. 3. The Association shall maintain the entire Lake until the City elects to construct, create, install, maintain and monitor Mitigation Improvements within the Littoral/Mitigation Area, at which time the City shall be responsible for the maintenance of the Littoral/Mitigation Area during the monitoring period and any extension of the monitoring period, and until such time that the City is released from its monitoring and maintenance requirements of the Mitigation Improvements from all applicable governmental and quasi -governmental authorities. The Association shall not be responsible for the maintenance nor monitoring of the Mitigation Improvements located within the Mitigation Area during the City's required monitoring period or for any extensions of the monitoring period for the Mitigation Improvements. 4. The City shall, in it sole discretion, determine when and if the City will construct, create and/or install the Mitigation Improvements within the Littoral/Mitigation Area. The City shall provide Pulte and the Association with sixty (60) days written notice of the City's election to construct and create the Mitigation Improvements within the Littoral/Mitigation Area prior to the City's commencement of any construction, creation and installation of Mitigation Improvements. The City shall provide Pulte and the Association with copies of the plans, monitoring plan and proposed maintenance program for the Mitigation Improvements which will be located within the Littoral/Mitigation Area, along with the City's notice of election to construct, create and/or install Mitigation Improvements. 5. upon the City's election to construct, create and/or install the Mitigation Improvements within the Littoral/Mitigation 2 L-9G-a3 9 TEMP. No, r Area, the Association shall grant a non-exclusive conservation easement to the City for the construction, creation, installation, maintenance and monitoring of Mitigation Improvements within the Littoral/Mitigation Area. 6. In the event the City elects to construct and create the Mitigation Improvements within the Littoral/Mitigation Area, the City, at its sole cost and expense, shall be responsible for the construction, creation, installation, maintenance and monitoring of the Mitigation Improvements in accordance with the terms and conditions of, or as outlined in any required, county, state and/or federal and/or quasi -governmental agency, permits or licenses, including but not limited to any and all monitoring reports, the hiring of experts, replanting of desirable plant species and the removal of exotic species (as may be necessary), for the term of the monitoring period and any extension thereof, and until such time that the City is released from its monitoring and maintenance requirements of the Mitigation Improvements from all applicable governmental and quasi -governmental authorities. 7. Notwithstanding the foregoing, the Association will have the right, but not the obligation, to maintain the Mitigation Improvements within the Littoral/Mitigation Area subject to the requirements of the controlling governmental authorities. 8. The City must provide Pulte and the Association with isnotice and documentation from the applicable governmental and quasi -governmental authorities evidencing that the City has been released from the City's monitoring requirements of the Mitigation Improvements within the Littoral/Mitigation Area, and until such time, the City shall continue to monitor and maintain the Mitigation Improvements within the Mitigation Area. 9. The City shall take all necessary precautions and use its best efforts to prevent any and all loss, damage, cost or expense arising out of injury or damage to persons or property, at all times during the installation, construction, creation, maintenance and monitoring of the Mitigation Improvements. 10. The City shall indemnify and hold Pulte and the Association harmless from any and all costs and/or obligations to maintain, monitor and/or restore the Mitigation Improvements. Nothing contained herein shall be construed to waive the City's sovereign immunity. 11. The City shall indemnify and hold Pulte and the Association harmless from any and all claims made for any loss, injury or damage, including but not limited to attorney's fees, arising out of the City's installation, construction, creation, maintenance and monitoring of the Mitigation Improvements. Nothing contained herein shall be construed to waive the City's sovereign immunity. 3 TEMP. -RESO. No. 12. Upon the City's successful completion of its monitoring program, the Association shall resume the maintenance of the Littoral/Mitigation Area. 13. This Agreement shall be construed and enforced in accordance with the laws of the State of Florida and shall be binding upon the heirs, successors and assigns.
