R-94 e-2, A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF TAMARAC, FLORIDA, AUTHORIZING THE CITY MANAGER OF THE CITY OF TAMARAC, FLORIDA, ON BEHALF OF THE CITY, TO EXECUTE AND TO ENTER INTO THE ATTACHED TERMINATION, ASSIGNMENT AND DISTRIBUTION AGREEMENT WITH REGARD TO THE JOINT RECYCLING PROGRAM ADMINISTRATION INTERLOCAL AGREEMENT ENTERED INTO BY AND BETWEEN THE CITIES OF COCONUT CREEK, LAUDERHILL, MARGATE, NORTH LAUDERDALE AND TAMARAC, PREVIOUSLY APPROVED BY THE CITY COUNCIL ON THE 18TH DAY OF DECEMBER, 1989, AS AMENDED; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO CARRY OUT THE AIMS OF THIS RESOLUTION, AND ATTACHED TERMINATION, ASSIGNMENT AND DISTRIBUTION AGREEMENT; PROVIDING FOR CONFLICTS; PROVIDING FOR SEVERABILITY; AND PROVIDING FOR AN EFFECTIVE DAIL WHEREAS, the Joint Recycling Group Cities have met, conferred and concluded that it is in the best interests of the individual municipalities and the Joint Recycling Group Cities to terminate the original Agreement, assign certain rights and responsibilities, and to distribute certain assets, in accordance with the attached Termination, Assignment and Distribution Agreement; and 1 2 Temp. Reso. #6820 WHEREAS, the Joint Recycling Group Cities intend to implement the terms, conditions and provisions of the Termination, Assignment and Distribution Agreement, consistent with the best interests of the citizens and residents of each of the five (5) Joint Recycling Group Cities; and WHEREAS, the City Manager recommends approval of this action; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Resolution upon adoption hereof. SECTION 2: That the Joint Recycling Program Termination, Assignment and Distribution Agreement, attached hereto as Exhibit "A" and incorporated herein as specifically as if set forth herein, be and the same is hereby accepted by the City Council of the City of Tamarac, Florida, and the City Manager of the City is hereby authorized, on behalf of the City of Tamarac, Florida, to execute and otherwise enter into the attached Joint Recycling Progam Termination, Assignment and Distribution Agreement by and between the Cities of Coconut Creek, Lauderhill, Margate, North Lauderdale and Tamarac subject to the City of Tamarac"s award and approval of a bid for recycling services to be awarded to All Service Refuse Company. SEQIIQN • That the City Manager of the City of Tamarac, Florida, be and the same is hereby authorized to do all things necessary to carry out 1 1 1 1 91 Temp. SECTION 4: All resolutions or parts of resolutions in conflict herewith are hereby repealed to the extent of such conflict. SECTION 5: If any clause, section, other part or application of this Resolution is held by any court of competent jurisdiction to be unconstitutional or invalid, in part or application, it shall not affect the validity of the remaining portions or applications of this Resolution. This Agreement provides for the termination, assignment and distribution of assets under the existing Agreement entered into by the parties hereto in December • 1989, as amended. The parties to this Agreement shall be known collectively as the "Joint Recycling Group Cities". WITN_ESSETH: WHEREAS, the Joint` Recycling Group Cities entered into the Joint Recycling Program Administration Interlocal Agreement (the "Original Agreement") on or about the 18th day of December 1989 for the purposes of complying with the solid Waste Management Act of 1988; and WHEREAS, the Joint Recycling Group Cities have acted in an efficient and economic fashion since the inception of the Original Agreement to the benefit of the citizens and residents of all cities participating as Joint Recycling Group Cities; and WHEREAS, the Joint Recycling Group Cities have previously a entered into agreements with Southern Sanitation Service, a division 2 of Waste Management, Inc. of Florida, All Service Refuse Company, Inc., and Broward County, Florida, a political subdivision of the State of Florida-, providing among other things for the collection and disposal of recyclable materials; and WHEREAS, based upon current market conditions and a comprehensive, independent and collective review of recently received responses from prospective bidders for continuing recycling activities of the Joint Recycling Group Cities, the parties hereto have agreed to terminate the Original Agreement, assign the award of bids received for recycling services, assign/lease existing motor vehicles associated with the recycling program, and distribute such remaining assets, consistent with the Original Agreement; NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable considerations, the parties hereto covenant and agree as follows: Section 1. The foregoing "WHEREAS" clauses are hereby ratified and confirmed as being true and correct and are hereby made a specific part of this Agreement. Section - 2. Upon the approval of this Agreement by each of the Joint Recycling Group Cities, the parties hereto covenant and agree each with the other, as follows: Section 2.1: That certain "Requests for Bids Joint Group Cities Recycling Program for Bid No. 6-20-94-10, were considered and accepted by the Joint Recycling Group Cities. 3 x-DJ5�- ifC7— S-ection 3, The Joint Recycling Group Cities hereby AWARD bids to the following entities for each of the following cities, subject to the award and approval by each individual municipality within the Joint Recycling Group Cities: A. COCONUT CREEK awarded to no one; B. LAUDERHILL awarded to no one; C. MARGATE awarded to no one; D. NORTH LAUDERDALE awarded to Southern Sanitation E. TAMARAC awarded to All Service Refuse Section 4. To each of the Joint Recycling Group Cities, the cities hereby lease/assign the use and operation of the following motor vehicles respectively: OjuJ�TO,,,R VEHICLE A. Termination_._ Upon the effectuation of each of the terms, conditions and provisions of this Agreement, the Joint Recycling Program Administration Interlocal Agreement shall terminate with the respective rights, duties and responsibilities set forth in this Agreement, hereby irrevocably transferred and assigned to the individual municipalities described herein and as set forth in this Agreement. Section 7. Governing. Law-. This Agreement shall be governed and enforced pursuant to the laws of the State of Florida, any litigation shall be commenced in Broward County, Florida. Section_8. Titles of Sections, Section headings inserted herein are for convenience only, and are not intended to be used as aids to interpretation and are not binding on the parties. Section 9. Amen-dments This Agreement may be modified or amended only by a written Agreement duly executed by the parties hereto or their representatives. Section 1 Q. Severability. Should any court or competent jurisdiction determine that the phrases, sentences, clauses or Sections contained in this Agreement are unconstitutional or invalid, it shall not affect the validity of the remaining portion of the Agreement so long as the material purposes of this agreement can be determined and effectuated. 5 Section 11. This Agreement shall be binding upon the parties hereto, their successors and assigns. Sgrtion 12. EBtirety_ This Agreement and any Exhibits attached hereto contain the entire Agreement between the parties as to the matters contained herein. Any oral representatives or modifications concerning this Agreement shall be of no force and effect.
