A RESOLUTION OF THE CITY COUNCIL OF THE
CITY OF TAMARAC, FLORIDA, APPROVING AN
AGREEMENT BETWEEN THE CITY OF TAMARAC AND
DAVID M. GRIFFITH & ASSOCIATES, LTD., FOR
AUDITING THE CONTINENTAL CABLE TELEVISION
FRANCHISE WITHIN THE CITY OF TAMARAC;
PROVIDING FOR CONFLICTS; PROVIDING FOR
SEVERABILITY; AND PROVIDING AN EFFECTIVE
WHEREAS, the City Council is desirous of entering into
an Agreement with David M. Griffith & Associates, Ltd., to
audit the Continental Cable Television Franchise within the
City of Tamarac.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF TAMARAC, FLORIDA:
SECTION 1: That the appropriate City officials are
hereby authorized to execute an Agreement with David M.
Griffith & Associates, Ltd., to audit the Continental Cable
Television Franchise within the City of Tamarac, a copy of
the Agreement is attached hereto as "Exhibit All and made a
part hereof.
SECTION 2* All resolutions or parts of resolutions in
conflict herewith are hereby repealed to the extent of such
conflict .
SECTION 3: If any clause, section, other part or
application of this. Resolution is held by any court of
competent jurisdiction to be unconstitutional or invalid, in
part or application, it shall not affect the validity of the
remaining portions or applications of this Resolution.

THIS AGREEMENT, entered into this e" day of u , 1992, and effec-
tive immediate) b and between David M. Griffith & Associated hereinafter re-
ferred to as the "Consultant") and City of Tamarac, State of Florida (hereinafter referred
to as the "City"), WITNESSETH THAT:
WHEREAS, the City desires the Consultant to provide professional services related
to an audit of its cable franchise agreement; and,
NOW THEREFORE, the parties hereto mutually agree as follows:
1. Employment �Lf Consultant. The City agrees to engage the Consultant and
the Consultant hereby agrees to perform the services as describe in "Attach-
ment A" and Attachment "B".
2. Scope of Services. The Consultant shall do, perform and carry out in a good
and professional manner the Scope of Services as described in "Attachment
A".
3. Time of Performance. The services to be performed hereunder by the
Consultant shall be undertaken and completed in such sequence as to assure
their ex editious completion and best carry out the purposes of the agree-
ment. The project will be started within thirty (30) days of notice to proceed
and a draft will be delivered to the City within ninety (90) days of project
initiation
4. Compensation, The City agrees to pay the Consultant a sum of Fourteen
Thousand, One Hundred and Ten Dollars ($14,110) for all services required
in the completion of the engagement, plus a maximum of Two Thousand,
Five Hundred Dollars ($2,500) for travel and other related expenses for a
Total Not -To -Exceed Fee of Sixteen Thousand, Six Hundred and Ten Dol-
lars ($16,610).

• S. Changes, The City may, from time to time, require changes in the scope of
the services of the Consultant to be performed hereunder. Such changes,
which are mutually agreed upon by and between the City and the Consultant,
shall be incorporated in written amendment to this agreement.

6. &rvin__dMaterials IQ Dg Furnish fd by the City, The City shall locally
furnish the Consultant with all available necessary information, data, and
material pertinent to the execution of this agreement. The City shall cooper-
ate with the Consultant in carrying out the work herein and shall provide
adequate staff for liaison with the Consultant and other agencies of City
government.
7. Termination Q Agreement for -Cause, The City shall have the right to termi-
nate this agreement by giving written notice to the Consultant to such termi-
nation and specifying the effective date thereof. The Consultant shall be
entitled to payment for services rendered to and accepted by the City through
the effective date of the termination.
8. InfQrmation and Reports. The Consultant shall, at such time and in such
form as the City may require, furnish such periodic reports concerning the
status of the project, such statements, certificates, approvals and copies of
proposed and executed plans and claims and other information relative to
the project as may be requested by the City.
9. Payment for Serviggs, The Consultant will invoice the City on a monthly
basis as follows: 1) sixty percent (60%) in thirty (30) days; (2) thirty percent
(30%) in sixty (60) days; and (3) ten percent (10%) upon project completion.

10. This Agreement constitutes the entire Agreement between CONSULTANT
and CITY, and negotiations and all understandings between the parties are
merged herein. This Agreement can be supplemented and/or amended only
by a written document executed by CONSULTANT and CITY.
11. Any provision in this Agreement that is prohibited or unenforceable in any
jurisdiction shall as to such jurisdiction be ineffective to the extent of such
prohibition or unenforceabihty without invalidating the remaining provisions
hereof or affecting the validity or enforceability of such provisions in any
other jurisdiction. Also, the non -enforcement of any provision by either
party shall not constitute a waiver of that provision, nor shall it affect the
enforceability of that provision for the remainder of this Agreement.

12. Whenever either party desires to give notice unto any other party, it must be
given by written notice, sent by registered, United States mail, with return
receipt requested, addressed to the party for whom it is intended, at the
places last specified, and the places for giving notice shall remain such until
they shall have been changed by written notice in compfiance with the provi-
sions of this paragraph. For the present, the parties designate the following
as their respective places for giving of notice, to wit:

13. In the event that this Agreement is. the subject to litigation of dispute be-
tween CONSULTANT and CITY, the parties hereto agree that this Agree-

venue of such litigation shall be Broward County, Florida.
14. This Agreement or any interest herein shall not be assigned, transferred, or
otherwise encumbered under any circumstance by CONSULTANT without
the prior consent of CITY.

Dear Mayor Bender:
David M. Griffith & Associates, Ltd. (DMG) is pleased to submit this revised Price
Quotation to assist the City of Tamarac in performing an audit of its Cable Franchise
Agreement To minimize the cost to the City, we have specifically focused our efforts and
attention on the audit itself.
In order to provide the most effective auditing personnel, DMG and Municipal
Administrative Services, Inc. (N1AS) have formed a Consulting Team to respond to the City
of Tamarac's request. This same Consulting Team is currently under contract with the City
of Coral Springs. Our local knowledge and expertise will enable us to provide the most
cost-effective product possible.
The Work Plan below is supplemental to the information (which outlines the. Con-
sulting Team's experience in detail) already provided to the City. As you can see, our ef-
forts are focused only on the City's Cable Franchise Agreement. The tasks and hour;
required for successful project completion are as follows:

The above hours and price quotation are based on our knowledge of similar organi-
zations, normal availability of appropriate statistics, and our understanding of your re-
quirements. Our fee therefore, is normally a function of our hourly estimate and our
standard billing rates of the appropriate staff. In the case of the City of Tamarac, however,
adjustments have been made to the standard rate, reflecting our desire to establish a long-
standing relationship with the City.

Method of Payment
DMG will bill at the following intervals: (1) 60% in 30 days; (2) 30% in 60 days; and
(3) 10% upon project completion.
In closing, the Consultin& Team can be on site within ten (10) days after Notice -To -
Proceed, and complete the project within ninety (90) days of project initiation. The Con-
sulting Team will approach this project from the standpoint of maximizing efficiency, while
minimizing the cost to the City.
As always, it is a pleasure to work with the City of Tamarac. We look forward to the
commencement of this important engagement. Please contact me if I may be of further
assistance.
