R-90- /44/ A RESOLUTION APPROVING A THREE-YEAR RENEWAL TO THE AGREEMENT WITH BESTWAY ARCHIVAL SERVICES FOR STORAGE OF THE CITY'S VITAL RECORDSi PROVIDING FOR FEES AND CHARGES; AND PROVIDING AN EFFECTIVE DATE: WHEREAS, on May 14, 1986, the City Council, by adoption of Resolution R-86-169, approved the bid of Bestway Archival Services for the storage of the City's vital records] and WHEREAS, upon recommendation of the City Clerk, the City Council renewed the agreement with Bestway Archival Services for one additional year by the adoption of Resolution R-89-123 on May 24, 19891 and WHEREAS, the City Council wishes to extend the agreement with Bestway Archival Services, NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the City Council hereby approves a three- year renewal of the agreement with Bestway Archival Services in lieu of going to bid for storage of the City's vital records. SECTION 2: That the fees shall remain the same as those now in effect with Bestway Archival Services, a copy of which is attached hereto as "Exhibit 1". Rates for transportation, labor, and material may be changed upon thirty (30) days' notice to Depositors. Receipts: No deposits will be accepted for storage unless accompanied by a properly executed Bestway Archival Services Records Transmittal List. Transmittal lists issued by BAS are non-negotiable, non -assignable, and subject to the terms and conditions hereof. Deposits, and/or information contained in deposits, shall be delivered only to Depositor, unless otherwise directed in writing, and only upon payment of all charges. 2. Transportation: BAS is not and shall not be deemed a contract or common carrier. Additional charges for hoisting, lowering and labor may be added to transportation costs if deposits cannot be transported in the customary manner by stairs or elevator. 3. Valuation: Depositor declares that the maximum value of all deposits, in case of loss or damage for any cause whatsoever, shall be the sum of $1.00 for each carton of deposits. 4. Liabilities: The liability of BAS to Depositor shall be limited to damages or loss caused by its negligence in amounts set forth in paragraph 3 hereof. Without limiting the foregoing, BAS shall not be liable for any damages due to vermin, gradual deterioration, acts of God, or the public enemy, labor disputes, riots, or any cause beyond its control. Any claims against BAS must be made in writing and delivered to BAS by registered mail not later than ten (10) days after return of deposits to Depositor. 3. Lain: BAS shall have alien upon all deposits of Depositor for charges and advances hereunder. Any expenses incurred in the cost of collecting arrears, including reasonable attorney's fees, shall be added to the arrears. 6. Non -Payment: If Depositor fails to pay the charges of BAS for a period of thirty (30) days, BAS may, after giving ten (10) days' notice by registered mail, at its option: (a) redeliver the deposits to Depositor at his address herein; (b) refuse access to deposits; (c) sell any of all the deposits and containers at public or private sale and apply the proceeds thereof to the arrears; and/or (d) destroy the deposits; all without liability to the Depositor. (Nothing herein shall preclude BAS from recourse to other remedies by statute or otherwise.) 7. Duration: This agreement shall automatically be renewed for successive terms of one year until either party shall cancel if by giving the other written notice of its election to cancel, at least sixty (60) days prior to the expiration of the then existing term. Depositor acknowledges that BAS, pursuant to its agreement, must reserve space for storage of its deposits in its Records Centers. 8. Destruction of Records: Upon written instructions from Depositor, BAS may destroy deposits. Depositor releases BAS form any liability by reason of destruction of such deposits pursuant to such authority 9. Arbitration: Any dispute hereunder "I by arbitration pursuant to the rules of the American Arbitration Association. 10. Addresses: Any notice or delivery of deposits hereunder may be given or made at the addresses set out above until written notice of change of address has been delivered. 11. Modification: This agreement binds the heirs, executors, administrators, successors and assigns of the respective parties and cannot be changed orally.
