R-90 A RESOLUTION AUTHORIZING PROPERTY SYSTEMS INC (PSI) AND THE TAMARAC JAYCEES TO PROMOTE A "CARNIVAL", AT MIDWAY PLAZA, OCTOBER 25 TO OCTOBER 28, 1990; PROVIDING THAT AUTHORIZA- TION TO CONDUCT THE CARNIVAL IS CONTINGENT UPON THE EXECUTION OF A HOLD HARMLESS AGREE- MENT AND PROVIDING PROOF OF INSURANCE; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, Property Systems Inc., (PSI) and the Tamarac Jaycees wishes to promote a "Carnival" to benefit the Diabetes Research Institute and other worthy causes; and WHEREAS, the City Council of the City of Tamarac has determined that the "Carnival" at Midway Plaza, is in the public interest; and WHEREAS, Property Systems Inc., (PSI) and the Tamarac Jaycees has requested to conduct the "Carnival" on vacant property property located at Midway Plaza, 5800 N. University Drive, South of Bay Street Restaurant, adjacent to and on the west side of University Drive, as shown in Exhibit "C". WHEREAS, Property Systems Inc., (PSI) and the Tamarac Jaycees has agreed to hold the City harmless of any claims whatsoever arising from the location, sale and operation of the Carnival". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1-: That the approval of the "Carnival" at Midway Plaza, by City Council, is herein contingent upon the City receiving an executed Hold Harmless Agreement from Property Systems Inc., (PSI) and the Tamarac Jaycees, for any claim or act which may arise as a result of the activities permitted by this Resolution, as shown is Exhibit "A". SECTION 2 : That proper insurance coverage be provided to the City in connection with the operation of the "Carnival", as shown in Exhibit "B". That approval for the "Carnival" is for vacant property located at Midway Plaza, 5800 N. University Drive, South of Bay Street Restaurant, adjacent to and on the West side of University Drive, as shown in Exhibit "C". SECTION 5 . That cleanup of the property is to be provided by Property Systems Inc., (PSI) and the Tamarac Jaycees and shall be continuous during the "Carnival" time period, October 25 through October 28, 1990. Gm C T Sd WoN j i5 : E 06, 81 -inf �� - � 0 - c�,?"3 's— HOLD HARMLESS AGREEMENT This agreement is entered into on the 25' day of IF 1990, between the CITY OF TAMARAC a municipal corporation hereinafter "CITY"; TnE- TAMARAC ,JAYCEES hereinafter "JAYCEES" and PROPERTY SYSTEMS INC. hereinafter "PSI"$ and AMUSEMENTS OF AMERICA; hereinafter "AMUSEMENTS". W I T N E S S E T H: WHEREAS, The JAYCEES , PSI and "AMUSEMENTS" wishes to promote an CARNIVAL at MIDWAY PLAZA to benefit IIIABETES RESEARCH INSTITUTE and other worthy causes; and WHEREAS, THE JAYCEES , PSI and "AMUSEMENTS" wishes to conduct the CIRCUS on VACANT PROPERTY at MIDWAY PLAZA, S. of Bay Street on OCT.25 to OCT. 28, 1990. NOW, THEREFORE, in consideration of the sum of one dollar ($1.00) and other good and valuable consideration received from THE JAYCEES., PSI and "AMUSEMENTS" , and in consideration of the mutual covenants contained herein, the parties agree as follows: SECTION 1 : That THE JAYCEES , PSI and ";AMSEMENTS" shall hold the CITY harmless from any and all claims, causes of action, damages, costs, expenses and attorney fees which the CITY shall suffer by virtue of the defense of, or response to, any claim being made against it in connection with the CARNIVAL promoted by THE JAYCEES and PSI, and "AMUSEMENTS". on OCT. 25 TO OCT. 28, 1990, or any act or omission by THE JAYCEES, PSI, and "AMUSEMENTS" their agents, employees, members, or the general public in connection therewith. SECTION 2 . The above provisions shall survive the termination of this Agreement and shall pertain to any occurrence during the term of the Agreement, even though the claim may be made after the termination hereof. SECTION 3 : That THE JAYCEES , PSI and "AMUSEMENTS" shall provide to the City Risk Manager all necessary Certificates of Insurance in such form and amounts as required by the Risk Manager. SECTION 4 : THE JAYCEES, PSI and "AMUSEMENTS" shall keep such policies of insurance in full force and effect during the term of this Agreement and shall provide to the City Risk Manager proof of payment of the required premiums. SECTION 5 : JAYCEES,,- flSI & AMUSEMENTS shall provide the City Risk Manager the requisite document evidencing that the signatory of J,YCWs;,-PSI V-'-41M has the authority to enter into this Agreement. SECTION 6 This Agreement shall not be assigned by without receiving City Council approval.
