SUTTE FOR A PROPOSED PROJECT ON N.W. 57TH STREET AT THE S-CURVE AND COMMERCIAL BOULEVARD: AND PROVIDING AN EFFECTIVE DATE BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the Developers Agreement (with Coven- ants and Restrictions) offered by Michael A. Shiff and Donald T. Sutte, for a proposed project on N.W. 57th Street, at the S-Curve and Commercial Boulevard, is hereby approved and accepted, a copy of said Agreement being attached hereto as Exhibit "A". !$ECTION__2: That the City Clerk is hereby authorized and directed to record said Agreement in the public records of Broward County, Florida. SNIFF ("SHIFF"), DONALD T. SUTTE, JR. ("SUTTE"), and the CITY OF TAMARAC ("TAMARAC"), a municipal corporation organized and existing under the laws of the State of Florida. W I T N E S S E T H: WHEREAS, SHIFF is the contract vendee pertaining to the purchase and sale of that certain real property described upon Exhibit A. attached hereto and made a part hereof ("SHIFF Property"), and WHEREAS, SUTTE is the owner of that real property described upon Exhibit B, attached hereto and made a part hereof ("SUTTE Property"), and WHEREAS, SHIFF has made application to TAMARAC seeking the vacation of a portion of Northwest 57th Street, as such portion is described upon Exhibit C, attached hereto and made apart hereof ("Area To Be Vacated"), and WHEREAS, the Area To Be Vacated is a portion of Northwest 57th Street, which street was dedicated to TAMARAC for road right-of-way purposes pursuant to that certain Warranty Deed from Behring Properties, Inc., a Florida corporation to TAMARAC dated the 31st day of March, 1969, recorded on the 30th day of April, 1969, in Official Records Book 3918, Pages 854-855 of the Public Records of Broward County, Florida, and WHEREAS, the Area To Be Vacated lies between the SHIFF Property and the SUTTE Property, and WHEREAS, in connection with the processing of the application for vacation, TAMARAC has asked for certain assurances from SHIFF and SUTTE in anticipation of the development of the SHIFF Property, the Area To Be Vacated and the SUTTE Property, and WHEREAS, the parties are desirous of setting forth certain agreements attending to the approval of the application for vacation of the Area To Be Vacated, NOW, THEREFORE, in consideration of the mutual covenants herein set forth and the benefits which will flow among and benefit each of the parties hereto, they do hereby agree as follows: JCB /b 1405h Rev. 11 /11/85 1 Section 1. RATIFICATION OF PRIOR DEED RESTRICTIONS: SUTTE does hereby ratify and reimpose those certain restrictions as more specifically set forth in the Declaration of. Covenants and Restrictions recorded In Official Records Book 12741, Page 553 of the Public Records of Broward County, Florida, as to the SUTTE Property. Section 2. RESTRICTIONS PERTAINING TO THE SHIFF PROPERTY: The following restrictions shall pertain to the SHIFF Property and shall constitute covenants running with the land, and the same shall be binding upon SHIFF and upon all persons deriving or taking title through SHIFF. These restrictions, during their lifetime, shall be for the benefit of TAMARAC. These covenants and restrictions are to run with the land and shall be binding for a period of ninety-nine (99) years from the date these covenants are recorded in the Public Records of Broward County, Florida. Therefore, the SHIFF Property shall be subject to the following covenants and restrictions: (a) There shall be no pedestrian or vehicular or construction ingress or egress onto or from Northwest 57th Street at or along the northerly border of the Property. There shall be a rigid six (6) foot high solid wall, without openings, constructed parallel to the northerly border of the SHIFF Property; provided, however, that the wall may have one maintenance door opening which shall be provided with a locking device and which shall be kept closed and locked except for the purpose of allowing maintenance workers and equipment access to the rear five foot landscaped area for maintenance purposes. The wall shall be constructed on the mid -line of the required 10-foot landscaping setback so as to provide approximately five feet of landscaping on the northerly side of the wall and five feet of .landscaping on the southerly side of the wall. (b) SHIFF shall redesign and reconstruct a cul-de-sac at the terminus of Northwest 57th Street immediately to the north of the northerly boundary line of the SHIFF Property prior to requesting a certificate of occupancy for any part of the development of the SHIFF Property, and such redesign and reconstruction shall be in accordance with the City's standards. (c) The SHIFF Property shall be limited to the uses permitted under City of Tamarac Zoning District B-1, as the same may be in effect on the date of the approval of this Agreement. (d) Notwithstanding the applicable zoning district regulations, the following uses shall be prohibited: JCB /b 1405h Rev. 11/11/85 Auto Tag Agency and License Bureau Bondsmen Bottled Gas, outside storage Churches, Places of Worship, Sunday Schools, Convents, Parish Houses Cocktail Lounges, without restaurants Engines, diesel or gasoline, sales and service Funeral Homes Ice Distributing Depots Video Games 7-11, Little General, Farm Store, or similar type convenience store J 2 is Section 3. RESTRICTIONS PERTAINING TO THE SHIFF PROPERTY AND THE SUITE PROPERTY: The following restrictions shall pertain to the SHIFF Property and the SUTTE Property and shall constitute covenants running with the land and the same shall be binding upon SHIFF and SUTTE and upon all persons deriving or taking title through SHIFF and SUTTE. These restrictions, during their lifetime, shall be for the benefit of TAMARAC. These covenants and restrictions are to run with the land and sliall be binding for a period of ninety-nine (99) years from the date these covenants are recorded in the Public Records of Broward County, Florida. Therefore, the SHIFF Property and the SUTTE Property shall be subject to the following covenants and restrictions: (a) There shall be no point of public ingress and egress except at the Area To Be Vacated as the same is extended to the northerly right-of-way line of Commercial Boulevard. (b) SHIFF and SUTTE shall develop the SHIFF Property and the SUTTE Property with a single ingress and egress point at the Area To Be Vacated as extended to the northerly right-of-way line of Commercial Boulevard, opposite the existing median opening, and shall provide a recorded ingress/egress easement(s) concerning the joint use of such access point for the benefit of both the SHIFF Property and the SUTTE Property. (c) SHIFF and SUTTE shall provide a cross -parking easement(s) and record same in order to provide parking to serve both the SHIFF Property and the SUTTE Property. Section 4. RESTRICTIONS PERTAINING TO THE AREA TO BE VACATED: The following restrictions shall pertain to the Area To Be Vacated and shall constitute covenants running with the land and the same shall be binding upon SHIFF and SUTTE and upon all persons deriving or taking title through SHIFF and SUTTE. These restrictions, during their lifetime, shall be for the benefit of TAMARAC. These covenants and restrictions are to run with the land and shall be binding for a period of ninety-nine (99) years from the date these covenants are recorded in the Public Records of Broward County, Florida. Therefore, the Area To Be Vacated shall be subject to the following covenants and restrictions: (a) The Area To Be Vacated shall be included in the plat of the SHIFF and SUTTE Properties which shall be recorded in the Public Records of Broward County prior to final site plan approval. (b) The Area To Be Vacated shall be developed in such a way as to provide access and parking areas for the benefit of the SHIFF Property and the SUTTE Property, and SHIFF and SUTTE shall provide recorded ingress and egress easements and cross -parking easements in order to serve such purpose. (c) There shall be no pedestrian or vehicular or construction ingress or egress onto or from Northwest 57th Street at or along the northerly border of the Property. (g) At the time of the site planning of the SHIFF and SUTTE Properties, with the Area To Be Vacated, SHIFF and SUTTE shall include, as a part of the site plan approval process, all engineering and design drawings regarding the redesign and reconstruction of the cul-de-sac as required by Section Z(c) of this Agreement, and such engineering and design drawings shall be subject to the approval of the City Council as a prerequisite condition to the approval of the subject site plan. Section 5. SITE PLAN: There shall be one composite site plan indicating the improvements of and to the SHIFF Property, the SUTTE Property and Area to be Vacated. Section 6. TRAFFIC LIGHT FUND: SHIFF and SUTTE will pay to TAMARAC 440,000.00 to be used at the sole discretion of TAMARAC for the purpose of resolving traffic problems caused by the proposed development or otherwise. Such sum shall be paid not later than the time of the final. approval of the composite site plan relative to the development of the Properties and the completion of the conveyance of the Area To Be Vacated to SHIFF and SUTTE, it being the intention of the parties that such events occur simultaneously. In the event of non-payment of such sutra, this Agreement, at the option of TAMARAC, shall be voided. TAMARAC will cooperate with SHIFF and SUTTE in obtaining appropriate credits from Broward County for development impact fees in connection with the platting of the respective Properties. TREE REMOVAL; PLACEMENT: The parties acknowledge that there exists at the southerly terminus of the cul-de-sac of Northwest 57th Street, on the berm of the Area To Be Vacated, eight (8) trees. SHIFF and SUTTE shall cause such trees to be removed and to be replanted at "Veteran's Park" in TAMARAC at such locations that the City shall designate in writing within ninety (90) days after the approval of t'zis Agreement; provided, however, that if SHIFF and SUTTE shall determine that it is or shall be economically unrealistic to remove such trees, transport them and replant them at Veteran's Park, SHIFF and SUTTE shall have the option to substitute a like number of the same species of tree of the approximate same caliper and height. Section 8. EFFECTIVENESS: This Agreement shall not be of any effect unless and until SHIFF's application for vacating a portion of Northwest 57th Street (Area To Be Vacated) shall have been granted and good and marketable title to the Area to Be Vacated shall have been conveyed to SHIFF and SUTTE by TAMARAC. In the event that no site plan shall have been approved and no conveyance made of the Area To Be Vacated to SUTTE and SHIFF on or before the 18th month from the date of the execution hereof, this Agreement shall be null and void and of no further force or effect. This Agreement shall not be recorded in the Public Records of Broward County, Florida, until the same shall have become effective in accordance with the terms herein. Section 9. AUTHORITY TO EXECUTE DOCUMENTS: The appropriate City officials are hereby authorized and directed to execute such documents, including warranty deeds, as shall be necessary and appropriate to effectuate the terms hereof. For such purpose, the appropriate City officials are hereby provided with all appropriate and necessary administrative power to carry out the terms hereof. Section 10. NOTIFICATION OF COUNTY ENGINEERING DEPARTMENT: At the time of the vacation of the Area To Be Vacated and the transfer of title thereto to SHIFF and SUTTE, SHIFF and SUTTE shall notify the Broward County Traffic Engineering Department of the vacation of such area. Such notification will be in writing and shall request that the County of Broward delete the Area To Be Vacated from the County's traff icway plan. Section 11. NON-SEVERABILITY: The invalidation of any one portion of this agreement by judgment or court order shall void this Agreement in its entirety. Section 1.2. NON ABROGATION PROVISION: Except as specifically set forth herein, the terms hereof shall not be deemed to abrogate the ordinances, rules and regulations otherwise applicable to the SHIFF Property, the SUTTE Property and Area To Be Vacated, and the same shall be deemed to have continuing full force and effect. AMENDMENT: This agreement may not be amended in whole or in part except by an instrument in writing executed with the same formality as this agreement is executed.
