R-85- 1 A RESOLUTION APPROVING AND ACCEPTING GRANT OF EASEMENTS FOR CANAL MAINTENANCE, SIDEWALK AND DRAINAGE PURPOSES AND AGREEMENT TO GRANT EASE- MENTS FOR UTILITIES PURPOSES OFFERED BY MCNAB ASSOCIATES, LTD., FOR TAMARAC SQUARE WEST, AND PROVIDING AN EFFECTIVE DATE. BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the grant of easements for canal maintenance, sidewalk and drainage purposes and agreement to grant easements for utilities purposes offered by McNab Associates, Ltd., for Tamarac Square West project is HEREBY APPROVED and accepted, a copy of said document being attached hereto as Exhibit "An. SECTION 2: The appropriate City officials are hereby authorized to execute said document on behalf of the City. SECTION 3: The City Clerk is hereby authorized and directed to record said document in the public records of Broward County, Florida. WITNESSETH: WHEREAS, the Developer is the owner of that certain parcel of larC ("Property") located in Broward County, Florida within the incorGorate, territorial limits of the City, more particularly described in Exhibit attached hereto and made a part hereof; and WHEREAS, the City has requested, as a condition of site plan approval for the development of a portion the terms andond hr�t conditions hereafter set forth; Developer f certain easements to the City upon NOW THEREFORE, in consideration Develo hereby agrees asefollows.and the mutual covenants contained herein Per 1. Canal Maintenance Easement. The Developer hereby grants to City a perpetual nonexclusive easement over that portion of the Property along the Property's western boundary, more particularly described in Exhibit "E" attached hereto and made a part hereof, for the purposes of the City's maintenance of the existing canal ("Canal Maintenance Easement") adjacent to the Property's western boundary. Nothing contained herein shall be construed as imposing an obligatiuon on Developer to maintain said existing canal. 2. Sidewalk Easement. The Developer hereby grants to City, for the benefit of the public, a perpetual nonexclusive easement for pedestrian acccesss to, over and across those portions of the Property improved, or o be improved, as sidewalks ("Sidewalk Easement"), all as more particularly � described in Exhibit C"attached hereto and made a part hereof. 3. Flowage Easement. The Developer hereby grants to City a perpetual nonexclusive easement over and across the Property ("Flowage Easement") for the purposes providing drainage for those portions of McCat Road andledge. that th Avenue (Pine Island Road) adjacent to the Property. y Developer intends to develop and improve the Property, and City accordingly recognizes that the Flowage Easement hereby granted shall be limited, upon Developer's actual improvement of the Property, to those portions of the Property upon which no structures or buildings have been erected. City shall, upon request of Developer, execute and deliver a written instrument prepared by Developer, in recordable form reasonably acceptable to City, evidencing the fact that the Flowage mEasement granted hereunder mlt ions and oftnat the except for such actual Flowa9e Eaementall other applicable portions Property are released from the effect of this Paragraph 3. 4. Agreement to Grant Easements for Utilit Purposes. The Develophe hereby agrees to grant those easements over, across, under, or through Property for the purposes of water, sewer, and electrical utility services ("Utility Easements"). The Utility Easements contemplated hereby shall be granted by Developer to the respective utility companies providing utility sevices by the recordation of documents containing specific legal 0124J description(s) of those portions of the Property upon which construction or installation of any such utilities is actually accomplished during development of the Property. The City shall, upon request of the Developer, execute and deliver a written instrument prepared by Developer, in recordable form reasonably acceptable to City, evidencing the fact that the Utility Easements to to granted r,ereunder are so limited, and that except for such actual Utility Easements, all other applicable portions of the Property are released from the effect of this Paragraph 4. Indemnification. The City hereby agrees to indemnify and hold the Developer, its grantees, successors or assigns harmless from any ar,d 811 claims, causes of action, damages or costs arising from the City's c,r the public's use of the Canal Maintenance Easement of the Flowage Easement hereby granted; including but not limited to any and all court costs and attorneys fees incurred in settlement, trial, or appeal of any such claims or causes of action. Amendment and Maintenance of Sidewalk Easement. Notwithstanding anything to the contrary herein containts or he ed, the Developer expressly retains the right to amend, redesign and/or modify the sidewalk improvenhowever Sidewalk Easement, from time to time, with City's approval;provided, that the Developer's amendment or reconfiguration of the sidewalk improvements or Sidewalk Easement shall be designed, developed,constructed in any such conformance with all applicable laws. City's approval and amendment(s) shall be evidenced by City's execution of the recorded instrument by which the Sidewalk Easement is amended of record. In the event of such redesignation or modification, Developer agrees to grant to City any new or additional easements for sidmaa�tainurPoeesidewalk may improvementsred and Sidewalk Developer hereby agrees to Easement at its sole expense. 7. Easements Runninj With The Land. The easements granted herein, or to be granted hereunder, are intended to be and shall be construed as running with the land, binding upon, inuring n9 successors the o benefit assigns, gnsnd uponthebterms and le by the parties hereto, their respect provisions contained herein. 8. Governing Law. The easements granted, or to be granted herein, shall by, construed under, enforced according to the laws of the State be governed of Florida. Venue for any litigation hereunder shall be Broward County, Florida. g. Assignability Neither the rights or obligations under the easements granted, -or to be granted herein, of Developer, assigned grabtees, City successors,the expressed prior written consent assigns. 10.
