AND SABAL PALM GOLF CLUB, INC. WHEREAS, the City of Tamarac has entered into negotiations to settle litigation between the City of Tamarac, Plaintiff and Leadership Housing, Inc., and Sabal Palm Golf Club, Inc. defendents, and WHEREAS, all parties have agreed to certain conditions included in the proposed stipulated settlement, and NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the City Attorney is hereby authorized to execute a stipulated settlement of the litigation between the City of Tamarac and Leadership Housing, Inc.and Sabal Palm Golf Club, Inc, Case No. 74-13970 in the Circuit Court of the 17th Judicial Circuit, in and for Broward County, Florida, a copy of which is attached hereto as "Exhibit A". GENERAL CIVIL DIVISION NO. 74-13970 "J" FARRINGTONT S T I P U L A T I O N IT IS HEREBY STIPULATED by and between the parties hereto through their undersigned counsel, as follows: 1. Annexed hereto as Exhibit "A" are certain plans and specifications prepared by Craven -Thompson & Associates, Inc., and dated September 1, 1976, and revised March 31, 1977, which plans and specifications reflect certain additional work which the'CITY OF TAMARAC and LEADERSHIP HOUSING, INC. agree constitute the balance of the work required to satisfactorily complete the canals and drainage ditches forming the subject matter of this cause. The work described upon Exhibit "A" annexed hereto, the construction of Rip -Rap Headwalls on each outfall shown (excepting numbers 10, 13 and 1S), the removal of accumulated weeds and loose, inorganic debris from the drainage ditches and such work as is required to construct a reinforced concrete bulkhead and retaining wall to stabilize the roadway along the easterly side of SOth Avenue from the northerly side of Lot One to the southerly side of Lot Three of Block 107 o.e the Mainlands of Tamarac Lakes Unit 6A subdivision together with a 20'(±) bulkhead retaining wall along the north- east end of the drainage ditch will be hereinafter referred to as "the Additional Work". The typical cross-section shown on said Exhibit "A" shall be the maximum required new excavation depth and width of the drainage ditches except where other cross -sections are indicated at specific locations on the exhibit. 2. The Defendant, LEADERSHIP HOUSING, INC., agrees to perform or cause to be performed the Additional Work as described in Exhibit "A" with due diligence. 3. The Plaintiff, CITY OF TAMARAC, agrees that promptly upon completion of the Additional Work and submission of As -Built drawings for the sections of said Additional Work, the CITY OF TAMARAC will inspect such Additional Work and promptly after such inspection notify the Defendants, LEADERSHIP HOUSING, INC., and SABAL PALMS GOLF CLUB, INC., that said Additional Work has been satisfactorily completed or if such work has not been satisfactorily completed, the CITY OF TAMARAC will promptly notify LEADERSHIP HOUSING, INC., and SABAL PALMS GOLF CLUB, INC., with specificity of any items not satisfactorily completed with a description of any remaining defects. 4. Annexed hereto as Exhibit "B" are legal descriptions of various easements labeled Descriptions A, B, C, D, F, G and H (there being no Description E) required by Plaintiff to properly maintain the canals and drainage ditches forming the subject matter of this cause. Said easements are over lands currently owned by the Defendant, LEADERSHIP HOUSING, INC., of which the Defendant, SABAL PALMS GOLF CLUB, INC., is the Lessee with an option to purchase. Both LEADERSHIP HOUSING, INC., and SABAL PALMS GOLF CLUB, INC., agree to execute and deliver to the CITY OF TAMARAC instruments duly executed, and in recordable form which grant unto the CITY OF TAMARAC such easements for the purpose of maintenance of the subject canals and drainage ditches; and the CITY OF TAMARAC agrees that after the Additional Work is completed, it will thereafter maintain said canals and drainage ditches until such time as it is mutually agreed that all or parts of them may be abandoned at no cost to LEADERSHIP HOUSING, INC., and SABAL PALMS GOLF CLUB, INC., their successors and assigns. 5. The Defendant, SABAL PALMS GOLF CLUB, INC., agrees to grant LEADERSHIP HOUSING, INC., its agents, employees, and subcontractors, such access on or after the 10th day of June, 1977, over the lands leased by it as may be necessary for the Defendant, LEADERSHIP HOUSING, INC., to perform the Additional Work, and LEADERSHIP HOUSING, INC., agrees to restore the leased lands to their previously existing condition after completion of the Additional Work, but in no case later than the first day of September, 1977. It is agreed between the parties hereto that time is of the essence and in the event the work contemplated is not completed then the unfinished portion of any work to be completed shall be completed at a mutually agreed upon time. Those areas above the water levels in the drainage ditches and all areas of the golf course fairways damaged by the performance of the indicated work or ancilliary operations shall be re -sodded to the satisfaction of the SABAL PALMS GOLF CLUB, INC. 6. It is recognized, understood and agreed that SABAL PALMS GOLF CLUB, INC., operates and maintains a golf course for profit on the lands over which the easements as reflected on the Exhibits attached hereto are herein granted. As a con- sequence, it is agreed that all work performed and to be per- formed upon the canals and over the easements shown on said Exhibits, or otherwise, shall be performed only after reasonable notice to SABAL PALMS GOLF CLUB, INC., its successors and assigns, as to the dates, times and methods for such work and only after receipt of consent thereto by SABAL PALMS GOLF CLUB, INC., which consent shall not be unreasonably withheld. It is however understood and agreed between the parties hereto, that the CITY OF TAMARAC, shall have the right, without consent, in the event of an emergency, to enter upon said lands and operate the flood gates to allievate the emergency condition. The City shall be the sole determinator as to when an emergency 1 1 11 shall exist. Such work shall in all events be coordinated with SABAL PALMS GOLF CLUB, INC., its successors and assigns so that the business activities of SABAL PALA,4S GOLF CLUB, INC., its successors and assigns, shall not be interrupted by said work. It is further agreed by all parties hereto that following any and all work upon the canals, whether for main- tenance, repair or otherwise, the ground shall be restored to its condition which existed prior to the performance of such work at no cost or expense to SABAL PALMS GOLF CLUB, INC., its successors and assigns. 7. The CITY OF TAMARAC agrees hereby to continue to provide annually to SABAL PALMS GOLF CLUB, INC., and its successors and assigns, for application by the latter all necessary and adequate chemicals to control aquatic weed growth in the canals shown on the exhibits attached hereto. However, the cost to the CITY OF TAMARAC for said chemicals ,shall not exceed five thousand dollars per annum. It is anticipated that aquatic weed control systems may change and that the costs of chemicals will change.' Therefore, it is further agreed by the parties hereto that the CITY OF TAMARAC agrees to reconsider the limit of the contributions as part of the CITY OF TAMARAC'S annual budget determination, at which time adjustments may be made. 8. Plaintiff agrees that upon completion of the Additional Work as certified by the City Engineer of the CITY OF TAMARAC, Plaintiff will promptly dismiss this cause with prejudice.
