A RESOLUTION OF THE CITY OF TAMARAC, FLORIDA
AUTHORIZING OFICIALS TO EXECUTE AN AGREEMENT
BETWEEN THE CITY OF TAMARAC AND WOODLANDS
GOLF ASSOCIATION, INC., A FLORIDA, NOT -FOR
PROFIT, CORPORATION, (DOING BUSINESS AS
WOODLANDS COUNTRY CLUB) RELATING TO THE
CURBING AND LANDSCAPING OF WOODLANDS BOULE-
VARD IN THE WOODLANDS OF TAMARAC; AND
PROVIDING AN EFFECTIVE DATE,
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE
CITY OF TAMARAC, FLORIDA:
SECTION 1 : That the appropriate City officials
are hereby authorized to execute an agreement between
the City of Tamarac and Woodlands Golf Association,
Inc., a Florida, not -for -profit, corporation, (doing
business as Woodlands Country Club) relating to the
curbing and landscaping of Woodlands Boulevard in the
Woodlands of Tamarac is attached hereto and made a part
of this Resolution as "Exhibit 1".
SECTION 2 : This Resolution shall become
effective immediately upon adoption.

AGREEMENT BETWEEN
CITY OF TAMARAC
AND
WOODLANDS GOLF ASSOCIATION, INC.
A FLORIDA, NOT -FOR -PROFIT, CORPORATION,
(DOING BUSINESS AS WOODLANDS COUNTRY CLUB)
RELATING TO THE
CURBING AND LANDSCAPING OF WOODLANDS BOULEVARD
WOODLANDS OF TAMARAC

WHEREAS, THE CITY OF TAMARAC (hereinafter "City") has
agreed to install concrete curbing for Woodlands Boulevard in
the the Woodlands of Tamarac; and
WHEREAS, the Woodlands Golf Association, Inc. (herein-
after "Country Club") has agreed to upgrade landscaping and
maintain the above -referenced medians; and
WHEREAS, the City and Country Club wish to enter into
this Agreement outlining their understanding in regards to
the above -referenced medians;
NOW, THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:
In consideration of the mutual terms, conditions,
promises, covenants and payments hereinafter set forth, City
• and Country Club agree as follows:
1. The City agrees to install 9,940+ linear feet of
concrete curbing for the medians and fountain area
of Woodlands Boulevard in accordance with the plans
which are attached hereto as Exhibit "A".
2. The Country Club shall maintain the curbing along
Woodlands Boulevard.
3. The Country Club agrees to upgrade the existing
landscaping in the Woodlands Boulevard medians.
This landscaping shall. include but not be limited
to:
a) resodding areas that are in need of repair;
b) providing an appropriate ground cover
2k c) general upgrading pursuant to plan attached as
Exhibit "A"

4. The Country Club agrees to purchase allbeautifica-
tion materials required by this Agreement. Addi-
tionally, Country Club agrees to maintain the land-
scaping within the Woodlands Boulevard medians.
This required maintenance shall. include, but not be
limited to, installation and maintenance of an
appropriate irrigation system, landscape trimming,
sodding, chemical treatment, fertilizing, litter
removal, grass cutting and mowing, removal and
replacement of all, dead or damaged trees after the
landscaping and upgrading is completed.
5. The City and Country Club agree that the land-
scaping plan for the Woodlands Boulevard has been
reviewed by the Department of Planning and Commun-
ity Development of the City of Tamarac, and the
City has no objection to proceeding with the
• improvement. A copy of the landscaping plan for
Woodlands Boulevard is attached hereto as Exhibit
"Au.
6. The City and Country Club agree that if at any time
the Country Club fails to provide the landscaping
or landscaping maintenance provided for in this
Agreement, then the City, through its staff, may
perform the necessary landscaping and landscape
maintenance or, at its option, the City may con-
tract with an independent contractor to perform
such necessary landscaping. The City and Country
Club agree that the Country Club shall, be respon-
sible for any costs the City incurs or is required
to pay to an independent contractor for the
required landscaping or maintenance thereof.
7. The City and Country Club agree that this Agreement
shall remain in effect for a period of twenty (20)
years from the date of its execution. At the end

of that twenty (20) year period, this Agreement may
be renewed by the City and Country Club under terms
that are mutually acceptable to both parties.
8. The Country Club covenants and agrees to defend,
indemnify and hold harmless the City of Tamarac
against any claim or suit which may be brought
against the City due to the obligations for land-
scape upgrading and maintenance set forth above.
The Country Club agrees to provide the City with a
copy of its Certificate of Insurance, reflecting
limits of not less than 5 million dollars and
naming the City as an additional insured, on an
annual basis.
IN WITNESS WHEREOF, the parties hereto have made and
executed this Agreement on the respective dates under each
signature: CITY OF TAMARAC through its CITY COUNCIL, signing
by and through its MAYOR AND CITY MANAGER, authorized to
execute same by CITY COUNCIL, on the 12._ day of 1991,
and WOODLANDS GOLF ASSOCIATION, INC. by signing by and
through its duly authorized to execute same.
