R-91- 1.7_1__ A RESOLUTION AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXECUTE AN AGREEMENT WITH SUSAN TILLMAN PERTAINING TO CONSULTANT SERVICES IN THE AREA OF RISK MANAGEMENT, ASSET PROTECTION, SAFETY, INSURANCE AND EMPLOYEE BENEFITS; AND PROVIDING AN EFFECTIVE DATE. BE IT RESOLVED BY THE COUNCIL OF'THE CITY OF TAMARAC, FLORIDA: SECTION l: That the appropriate City Officials are hereby authorized to execute an Agreement with Susan Tillman pertaining t consultant services in the area of risk management, asset protecti safety, insurance and employee benefits, at an hourly rate of $45.00 up to an annual maximum of $43,200.00. Inclusive dates of this agreement are October 1, 1991 to September 30, 1992. A copy said agreement is attached hereto as "Exhibit 1". SECTION 2: This Resolution shall become effective upon adoption. TILLMAN FOR CONSULTANT SERVICES IN THE AREAS OF RISK MANAGEMENT, ASSET PROTECTION, SAFETY, INSURANCE & EMPLOYEE BENEFITS • FOR THE CITY OF TAMARAC, FLORIDA C� 11 SUSAN M. TILLMAN, "CONSULTANT". 1( g _9 /-III" 2 AND an individual, hereinafter referred to as W I T N E S S E T W In consideration of the mutual terms and conditions, promises, covenants and payments hereinafter set forth, CITY and CONSULTANT agree as follows: SECTION 1 : SCOPE OF SERVICES J.1 The CONSULTANT's Basic! Services shall consist of the phases set forth in Exhibit "A" attached hereto and made a part thereof. 1.2 The CONSULTANT agrees to provide her services to the CITY at reasonable times and with reasonable notice, but not more ar less than twenty (20) hours per week for forty-eight (48) weeks. 1.3 The CONSULTANT agrees to attend and represent the CITY at various seminars- conferences and workshops .pertaining to her area of expertise. Such attendance shall be as the need and opportunity arises for the exclusive benefit of the CITY and requiring prior written a_pproval of the Personnel Director._ She shall not be compensated for time in attendance at any seminar, conference or workshop. Any expenses she incurs incident to such attendance will be reimbursed to her upon presentation of properly executed receipts and from budgeted items designated for such expenses. n V J� r? SgEC' 1 N 2 : T1MP FRAME CONSULTANT's work will commence immediately upon execution of this contract by both parties and continue until September 30, 1992. Inclusive dates of this contract are October 1, 1991 to September 30, 199:2, SECTION 3 : FEE Fee due CONSULTANT for services outlined above shall be at the hourly rate of forty-five dollars ($45.00) per hour up to an annual maximum of $43,200. Payment shall be made bi-weekly upon presentation of an invoice approved by the Personnel Director. . SECTION 4 : ALL PRIOR AGREEMENTS SUPERSEDED 4.1 This document incorporates and includes all prior negotiations, correspondence, conversations, agreements or understandings applicable to the matters contained herein and the parties agree that there are no commitments, agreements or understandings concerning the subject matter of this Agreement that are not contained in this document. Accordingly, it is agreed that no deviation from the terms hereof shall be Predicated upon any prior representations or agreements whether oral or written. C� N . 4 4.2 it is further agreed that no modification, amendment or alteration in the terms or conditions contained herein shall be effective unless contained in a written document executed with the same formality and of equal dignity herewith. SECTION_5 : NOTICES Whenever either party desires to give notice unto the other, it must be given by written notice, sent by registered United States mail, with return receipt requested, addressed to the party for whom it is intended, at the place last specified, and the place for giving of notice in compliance with the provisions of this paragraph. Tillman 10758 N.W. 17th Street Coral Springs, Florida 33071 C �' 5 SECTION 6 : ADDITIONAL SERVICES AND CHANGES IN SCOPE OF' WORK CITY or CONSULTANT may request changes that would increase, decrease, or otherwise modify the Scope of Services to be Provided under this Agreement. Such changes must be contained in a written amendment, executed by the parties thereto, with the same formality and of equal dignity prior to any deviation from the terms of this Agreement. SECTION 7 : OWNERSHIP OF DOCUMENTS Drawings, documents, specifications, designs, models, photo- graphs, reports, surveys, and other information provided in connection with this Agreement are and shall remain the property . of the CITY whether the Project for which they are made is executed or not. SECTION 8 : TERMINATION This Agreement may be terminated by either party for cause, or by the CITY for convenience, upon fourteen (14) days written notice by the terminating party to the other party of such termination in which event the CONSULTANT shall be compensated for services performed to termination date. Al finished or unfinished documents, data, studies, drawings, models, photographs and reports prepared by CONSULTANT shall become the property of CITY and shall be delivered'by CONSULTANT to CITY. 0 E 0 IN WITNESS WHEREOF, the parties hereto have made and executed this Agreement on signature. Recommend alternatives if deemed necessary. ., Monitor all in -place insurance, safety, and benefit programs. .. Meet, as deemed mutually necessary with City Manager, City Attorney and other gity officials to discuss programs. •. Submit reports on recommendations and findings to the City. .. Attend and represent the CITY at various seminars,_ conferences and workshops pertaining to insurance, safety, Workers, Compensation and benefits. 0 0 ,,/�_ y/_ `-7 / " • FINANCIAL IMPACT STATEMENT Attendance at any seminar, workshop, conference, etc. shall be charged to Account #504-704-596-401 (MEETINGS & SEMINARS) Travel to and from any seminar, workshop, conference, etc. shall be charged to Account #504-704-596-402 (TRAVEL -OTHER) Account #504-704-596-540 (BOOKS & PUBLICATIONS) shall be opened. Any books or publications, etc. shall be charged to this Account as the need arises. ANTICIPATED FISCAL YEAR EXPENSE: $500.00. 0
