R-89-lzlo A RESOLUTION AUTHORIZING THE APPROPRIATE CITY OFFICIALS TO EXECUTE AN AGREEMENT WITH THE CITY OF COCONUT CREEK PERTAINING TO PROVIDING MUTUAL COMPUTER BACK --UP AID; AND PROVIDING AN EFFECTIVE DATE. BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC, FLORIDA: SECTION 1: That the appropriate City officials are hereby authorized to execute an Agreement with the City of Coconut Creek pertaining to providing mutual computer back-up aid, a copy of said agreement being attached hereto as "Exhibit 1". COCO110T C11EEK, a Florida Municipal Corpora- tion, its successors and assigns, (hereinafter "COCONUT CREEK") •r W I T r; E S S E T H: 0 WHEREAS, 'T'ANARAC and COCOP7UT CREEK wish to provide a viable back-up computE�z site should either have the need to request assistance from the other in the event of a computer disaster, and WHEREAS, both TAMARAC and COCONUT CREEK have determined that this back-up computer capability can be provided by entering into this Agreement; NOW THEREFORE, 2 0 In consideration of the mutual terms and conditions, Promisss, covenants, and payments hereinafter set forth, TAMARAC and COCONUT CREEK agree as follows: 1. Definitions: For the purpose of this Agreement, the following terms and conditions are defined; COOP - Continuity of Operations Plan - A plan as outlined in Exhibit "A" which provides the sequence Of events that both parties agree will occur, if one computer site is out of service and will • require computer time on the other party's computer System. I* BACKUP COMPUTER - Both parties agree that under the COOP, each party will provide reasonable accommod- ations for computer operations to the other. in the event one sites computer is out of service for the immediate Period after a computer disaster. COMPUTER SITE - Provider and Receiver - The parties agree that the computer system that is out of 3 R g9-a83 . service shall be referred to as the Receiver computer site, and the site providing an opera- tional computer system, shall be referred to as the Provider computer site. 2. The parties hereby agree to follow and adhere to the continuity of operations plan (COOP) as out- lined in Exhibit "A" attached hereto. It is realized that the detail plan of actions for each participating computer site may vary depending upon management desires and the size of each computer site. However, it shall be the responsibility of the computer site manager to document and update subject plans as a • ppropriate. 3. TAMARAC and COCONUT CREEK mutually agree that in the event that a computer disaster occurs to either party that the functioning party will supply a back-up computer site to the party who has lost its capacity to operate its computer system. The parties hereby agree to provide a computer site profile and provide annual profile updates as outlined in Exhibit "B" attached hereto. 4 0 9- 8'9-aY3 C� EXHIBIT "B" This page depicts the following information pertaining to the computer site of the CITY OF COCONUT CREEK. 1. Address, management and key personnel. 2. Installed computer configuration. 3. Personnel support and ADP supplies available. 4. Address, management and key personnel. 2. Installed computer configuration. 3. Personnel support and ADP supplies available. 4. Computer systems/applications and priority. 0 14 The parties agree that in the event a back-up computer site is required, the receiver computer site manager shall notify the provider computer site manager as far in advance as possible. 4. The parties agree to provide computer operations support (equipment) on a non-chargable basis. However, computer operations support and supplies will be charged on a reimbursement basis for costs incurred by the providing computer site. It is realized that personnel support will require overtime by the providing computer site and shall be reimbursed by the receiving computer site within a 30 day period. 5. The parties agree to indemnify and save each other harmless, its agents, servants and employees from and against any claim, demand or cause of action of whatsoever kind or nature arising out of error, omission or negligent act of either party, its agents, servants or employees in the performance of services under this Agreement. Nothing, however, 6 E in this Agreement affects the rights and privileges as contained Section 768.28.. 6. Termination: This Agreement may be terminated by either party, upon thirty (30) days written notice to the City Manager of the other party. 7. Computer projected to be down (in operable) for unknown period of time. (In excess of 48 hours) 2. Notify City Manager/Mayor of backup requirements. 3. Assemble personnel required for backup team, Data Processing Department and functional users. 4. Determine backup requirements. Assign priority for processing. Estimate processing time. 5. Notify provider backup site manager. Coordinate backup requirements to assure availability of equipment, supplies, personnel, etc. `1 6. Collect material needed at receiver site. Operating system, backup tapes, programs, supplies and input data. Prepare a cost estimate. 7. Arrange transportation to/from provider site. 8. Proceed to provider site. 9. Coordinate requirements with provider site manager. Provide site manager with estimated time of processing requirements. 10. Process priority jobs as coordinated and prearranged with provider site manager, file save should be per- formed by receiver site after all processing completed. 11. Gather -processed output products (reports, etc.) material and supplies carried to provider site. 12. Thank provider site manager and personnel for assist- ance. Depart provider site for home computer site. 13. Arrival at home computer site. Provide functional users with processed output products (reports, checks, etc.) 2-8'1 0783 14. Evaluate the effectiveness of your COOP. Were you prepared to go to the backup site? Was provider site prepared for your visit? Is there a need for an alter- nate provider backup site. 15. Provide copy of coop evaluation to City Manager/Mayor, provider site Manager and participating personnel. Follow up with a thank you letter as appropriate. 12
