RESOLUTION NO. R-87- �46
A RESOLUTION APPROVING AND AUTHORIZING
AN AGREEMENT WITH THOMAS W. RUFF AND
COMPANY OF FLORIDA PERTAINING TO
SUPPLYING AND INSTALLING OFFICE FURNI-
TURE FOR THE TAMARAC MUNICIPAL COMPLEX/
CITY HALL PROJECT; AND PROVIDING AN
EFFECTIVE DATE.
BE IT RESOLVED BY THE COUNCIL OF THE CITY OF TAMARAC,
FLORIDA:
SECTION 1: That the Agreement with Thomas W. Ruff and
Company of Florida pertaining to supplying and installing
office furniture for the Tamarac Municipal Complex/City Hall
project in the amount of $251,987.26, is HEREBY APPROVED AND
ACCEPTED, a copy of said agreement being attached hereto as
"Exhibit 1".
SECTION 2: That the appropriate City officials are
hereby authorized to execute said agreement on behalf of the
City.
SECTION 3: That the City Clerk is hereby authorized and
directed to record said agreement in the public records of
Broward County, Florida.
SECTION 4: This Resolution shall become effective upon
adoption.

This agreement made and entered into and effective this Z3
day of 1987 by and between:
The CITY of Tamarac a municipal corporation, created pursuant
to the Laws of the State of Florida, hereinafter "CITY"
and
Thomas W. Ruff and Company of Florida herein called "SELLER"
WITNESSETH
Whereas, CITY requires the supply and installation of Furni-
ture to the Municipal Complex/City Ha11f and whereas, SELLER,
desires to supply and install certain furniture as designed
and specified by Miller, Meier, Kenyon, Cooper Architects &
Engineers, Inc.
Whereas, CITY desires to engage SELLER upon the terms and
conditions set forth below, and SELLER is willing to accept
such engagement upon such terms and conditions;
Now, Therefore, in consideration of the mutual premises and
intending to be legally bound hereby, the parties agree as
follows:
1. Definitions:
A. "CITY" - CITY OF TAMARAC, FLORIDA
B. "DESIGNER/ARCHITECT" - Miller, Meier, Kenyon, Cooper
Architects & Engineers, Inc.
C. "CITY REPRESENTATIVE" - Construction Management
Services (CMS)
D. "SELLER" - Thomas W. Ruff and Company
2. SCOPE OF WORK
CITY hereby engages SELLER as an independent contractor
to perform these services and SELLER hereby agrees to
perform said work upon the terms and conditions
hereinafter set forth.
3. PLACEMENT OF ORDERS
A. The SELLER shall be responsible for placing purchase
orders, expediting same, and keeping necessary
parties informed. "Expediting" shall include a
maximum effort on the part of the SELLER to assure
that merchandise will arrive by the specified
installation dates. Regular checks should be made on
manufacturer's acknowledgments and a ledger showing
anticipated delivery dates shall be maintained.

3. B. Requests of manufacturer needing additional informa-
tion and approval of samples, finishes, and fabric
cuttings will be forwarded immediately via mail to
MILLER, MEIER, KENYON, COOPER, ARCHITECTS &
ENGINEERS, INC. ATTN: IRIS DATES.
C. All panel's shall be leveled and panel runs are to be
aligned. Hardware, such a panel to panel
connections, wall starters, dual height panel
connectors, base raceways and wire management devices
shall be in place and secure. If a panel run appears
to be unstable, SELLER shall be responsible for
installing the additional necessary support. The
SELLER in conjunction with OWNER'S REPRESENTATIVE
shall be responsible for coordinating with the data
and communications installation to assure efficient
and proper routing of'data and phone lines through
panel raceways to equipment. This will include
concealment of cords, through the use of verticals
and horizontal wire management components, from task
lights and desk top equipment to power receptacles in
the raceways.
D. All hanging components shall be securely attached to
the panels according to the Manufacturer's printed
instructions, using manufacturer's recommended parts.
Doors, locks, lights shall be inspected for smooth
operation, with interior options set in place.
4. INSTALLATION AND DELIVERY
A. All furniture will be shipped directly to the job
site. The SELLER will be responsible to unload and
store the materials in the designated storing areas.
Installation of the furniture will be done by the
SELLER during normal working hours Monday - Friday
8:00 A.M. - 5:00 P.M. The SELLER will also be
responsible for removing any debris as a result of
cartoned furniture.
B. The CITY shall be responsible for providing the
services of a certified electrician to hardwire base
feeds and power poles to the building's power source.
SELLER shall be responsible for all power feed
connections to panel runs, panel to panel power
connections, and shall circuit receptacles correctly
to control circuit loading and assure proper
distribution of power, as designated by the
panel/power plan. A final inspection of power
locations shall be conducted to assure that all
receptacles are operable.

4. C. During installation, the SELLER shall provide
adequate supervision of the movers so that the items
will -be installed in accurate position in that
location according to the specifications and floor
plan provided by DESIGNER/ARCHITECT and as per
manufacturer's instructions.
5-0 PAYMENTS
Payment terms will be net (10) ten days from date of
invoice. All payments will be 100 percent, less 10
percent retainage. The retainage will be withheld until
all materials are properly installed and accepted by the
CITY at which time the retainage will be released after
complete final inspection and sign -off by the CITY and
DESIGNER/ARCHITECT.
6. ACCEPTANCE OF MATERIAL
The material delivered and staged as a result of this
proposal, shall become the property of the CITY. The
CITY does have builder risk insurance on the site and
therefore all materials are insured against Acts of God,
theft and vandalism. When actual installation begins any
item(s) supplied to the CITY is/are found to be
defective, or does/do not conform to specifications, the
SELLER reserves the right to repair or replace, to the
CITY'S satisfaction said product at SELLER'S expense.
7. COPYRIGHTS AND PATENT RIGHTS
SELLER warrants that there has been no violation of
copyrights or patent rights in manufacturing, producing
or selling the item(s) ordered or shipped as a result of
this proposal, and the SELLER agrees to hold the CITY
harmless from any and all liability, loss or expense by
any such violation.
8. LAW AND REGULATIONS
All applicable laws and regulations of the Federal Govern-
ment, State of Florida and Ordinances of the CITY of
Tamarac will apply as a result of this proposal.
All Occupational Safety and Health Administration
(O.S.H.A.) rules and/or regulations will apply to any
item(s) of equipment or materials supplied as a result of
this proposal.
9. TAXE S
The CITY of Tamarac is exempt from any taxes imposed by
the State and/or Federal Government. Exemption certifi-
cate identification number will be provided to the SELLER
upon confirmation of this proposal.

10. WARRANTIES
All manufactured goods supplied and installed as a result
of this proposal shall be warranted for a minimum period is
of (1) one year against defective materials and workman-
ship. Warranty period will commence from full completion
of all materials and installation referred to therein.
11. A. INSURANCE
The SELLER will provide to the CITY a copy of their
certificate of insurance upon execution of this agree-
ment. SELLER shall indemnify and save harmless and
defend CITY, its agents, servants and employees from
and against any claim, demand or cause of action of
whatsoever kind or nature arising out of error,
omission or negligent act of SELLER, its agents,
servants or employees in the performance of services
under this Agreement. SELLER further agrees to
indemnify, save harmless and defend CITY, its agents,
servants and employees from and against any claim,
demand or cause of action of whatever kind or nature
arising out of any conduct or misconduct of the
SELLER not included in the paragraph above and for
which the agents, servants, or employees are alleged
to be liable. The execution of this Agreement by
SELLER shall obligate SELLER to comply with the
foregoing indemnification provision.
B. SPECIFICATIONS AND PRICES
The specifications of all materials including quan-
tities and prices are attached as Exhibit A (Pages 1
thru 20). The prices quoted are valid for a period
of (30) thirty days from December 1st, 1987. Plans
reflecting Furniture Layout are attached and form
part of this agreement.
12. SPECIAL CONDITIONS
The furniture described herein is based on the design and
specifications by Miller, Meier, Kenyon, Cooper
(DESIGNER/ARCHITECTS). The installation of the furniture
will commence no later than June 15, 1988. This date
will only be adjusted or changed if the SELLER is noti-
fied (8) eight weeks prior to production at the factory.
In the event the start-update of June 15, 1988, is
delayed and production has already begun, then at the
time of delivery, the CITY will provide suiteable storage
until installation can commence. Any related changes due
to no fault of the SELLER, the CITY will then be respon
sible for said related charges for storage and insurance
if needed. However, the SELLER will work very closely
with the architect and the CITY updating the move -in
dates as required so as to reduce the possibility of any
unnecessary changes that might occur for any delays.

13. A. Recei t of Goods
1. The SELLER shall receive shipments, inspect all
. components upon receipt to site and handle all
freight claims.
2. If damage is discovered either due to freight
damage or manufacturer's defect, the SELLER will
act with all deliberate speed to make repairs
meeting with the approval of the DESIGNER/ARCHI-
TECT, or, if necessary, a replacement piece shall
be ordered without expense to the CITY. If
replacement is deemed necessary, by the DESIGNER/
ARCHITECT, the SELLER shall provide the best
temporary repair which is reasonable. If no
repair can be effected, a loan item will be
provided.
B. Contract Documents
1. The Contract Documents consist of this Agreement
with General Conditions, Supplementary and other
Conditions, if any, the Drawings, the Schedules
and Specifications, all Addenda issued prior to
the execution of this Agreement, and all Modifi-
cations issued by the DESIGNER/ARCHITECT after
execution of the Contract such as Change Orders,
written interpretations and written orders for
minor changes in the Work. The intent of the
Contract Documents is to include all items
necessary for the proper execution and completion
of the Work. The Contract Documents are comple-
mentary, and what is required by any one shall be
as binding as if required by all. Work not
covered in the. Contract Documents will not be
required unless it is consistent therewith and
reasonably inferable therefrom as being necessary
to produce the intended results.
2. Nothing contained in the Contract Documents shall
create any contractual relationship between the
CITY'S REPRESENTATIVE or the DESIGNER/ARCHITECT
and any Subcontractor.
3. Execution of the Contract by the SELLER is a
representation that the SELLER has visited the
Project premises, or if not yet constructed, has
reviewed the documents pertaining thereto, and is
familiar with the local conditions under which
the Work is to be performed.
4. The Work comprises the completed services,
furniture, furnishings and equipment required by
the Contract Documents, including all materials
and labor incorporated or to be incorporated
therein as noted.

13. C. DESIGNER/ARCHITECT
1. The DESIGNER/ARCHITECT will provide administra-
tion of the Contract and will act as Liaison
between SELLER and the CITY'S REPRESENTATIVE
during the performance of the Work and until
final payment is due.
2. The DESIGNER/ARCHITECT shall at all times have
access to the Work wherever it is in preparation
and progress.
3. The DESIGNER/ARCHITECT will visit the Project
premises as the DESIGNER/ARCHITECT deems neces-
sary to become generally familiar with the
progress and quality of the Work and to determine
in general if the Work is proceeding in accor-
dance with the Contract Documents. However, the
DESIGNER/ARCHITECT will not be required to make
exhaustive or continuous inspections at the
Project premises to check the quality or quantity
of the Work. On the basis of such observations
as a designer, the DESIGNER/ARCHITECT will keep
the CITY informed of the progress of the Work,
and will endeavor to guard the CITY against
defects and deficiencies in the Work of the
SELLER. The DESIGNER/ARCHITECT will not have
control or charge of, and will not be responsible .
for, the means, methods, techniques, sequences or
procedures of construction, fabrication, procure
ment, shipment, delivery or installation, or for
safety precautions and programs in connection
with the Work, and will not be responsible for
the SELLER'S failure to carry out the Work in
accordance with the Contract Documents.
4. The DESIGNER/ARCHITECT will be the interpreter of
the requirements of the Contract Documents. The
DESIGNER/ARCHITECT shall make decisions on all
claims, disputes or other matters in question
between the SELLER and the CITY, but will not be
liable for the results of any interpretation or
decision rendered in good faith. The DESIGNER'S
decisions in matters relating to artistic effect
will be final if consistent with the intent of
the Contract Documents.
5. The DESIGNER/ARCHITECT will recommend to the CITY
rejection of Work which does not conform to the
Contract Documents.
6. The DESIGNER/ARCHITECT will review and approve,
or take other appropriate action upon, the
Contractor's submittals such as Shop Drawings, •
Product Data and Samples, but only for confor-
mance with the design concept of the Work and the
information given in the Contract Documents.

AUTHORIZING ACTION
This agreement is entered into the CITY pursuant to resolu-
tio of the CITY Council adopted at a meeting held on
1987.
In WITNESS WHEREOF, the parties have duly executed this
