A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF TAMARAC, FLORIDA, TO APPROVE AND EXECUTE A
CHANGE ORDER REQUEST TO THE FIRE STATION
ALERTING SYSTEM AGREEMENT APPROVED BY
RESOLUTION R-2018-39 WITH KEYLITE POWER AND
LIGHTING CORP. FOR THE FIRE STATION ALERTING
SYSTEM G2 ROOM REMOTES UPGRADE FOR TAMARAC
FIRE STATIONS IN AN AMOUNT NOT TO EXCEED ONE
HUNDRED TWENTY ONE NINE HUNDRED AND TWELVE
DOLLARS AND FIVE CENTS ($121,912.05) INCLUDING
FIVE THOUSAND SIX HUNDRED AND TEN DOLLARS
($5,610) FOR CONTINGENCY EXPENSES WITH AN
EFFECTIVE DATE UPON EXECUTION OF THE CHANGE
ORDER REQUEST; AUTHORIZING THE APPROPRIATE
CITY OFFICIALS TO EXECUTE THE CHANGE ORDER
FOR THE FIRE STATIONS ALERTING SYSTEM G2 ROOM
REMOTES; PROVIDING FOR CONFLICTS; PROVIDING
FOR SEVERABILITY; AND PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, Tamarac Fire Rescue is part of Broward County's Regional
Communication System which includes fire alerting system and intent to remain
in the Regional Communication System to maintain consistency and continuity
with surrounding municipalities; and
WHEREAS, Resolution R-2018-39 was approved at the April 25, 2018
City Commission Meeting (copy of said Resolution is on file at the City Clerk's
office) to replace obsolete fire station alerting system at Fire Stations 15, 41, and
78; and

WHEREAS, during the roll out of the Fire Station Alerting System
replacement, Broward County's preliminary cost estimates were considerably
below the actual Station Alerting System cost which caused the Fire Department
to scale back on the Fire Alerting System G2 Room Remote components; and
WHEREAS, to optimize system performance and effectively operate the
system allowing for rotation of station personnel, allowing individual unit
communications, and reduce stress levels by alerting only the required
individuals, an upgrade is necessary that includes G2 Room Remotes; and
WHEREAS, the Contract pricing for the Fire Station Alerting System
upgrade is based on the Broward County Pricing (R-2018-39-
Contract#R1426611 P1); the equipment and installation quotes are attached
hereto as Exhibit A; and
WHEREAS, Section 6-148 (g) of the Tamarac Procurement Code permits
purchases of goods and services from contracts awarded by other governmental
of not-for-profit entities by a formal competitive selection process; and
WHEREAS, it is the recommendation of the Fire Chief, Purchasing and
Contract Manager and IT Director to approve the Change Order request to the
Fire Station Alerting System Agreement with Keylite Power & Lighting Corp. for
Tamarac Fire Stations alerting system upgrade; and
WHEREAS, the City Commission of the City of Tamarac, Florida deems it
to be in the best interest of the citizens and residents of the City of Tamarac to

approve the Change Order request to the Fire Station Alerting System
Agreement with Keylite Power & Lighting Corp. for Tamarac Fire Stations alerting
system upgrade, attached hereto as Exhibit B .
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE
CITY OF TAMARAC, FLORIDA:
SECTION 1 : The foregoing "WHEREAS" clauses are hereby ratified and
confirmed as being true and correct and are hereby made a specific part of this
Resolution. All Exhibits attached hereto are expressly incorporated herein and
made a part hereof.
SECTION 2: That the City Commission hereby approves the Change
Order request to the Fire Station Alerting System Agreement with Keylite Power
& Lighting Corp. for Tamarac Fire Stations alerting system upgrade. The
appropriate City Officials are hereby authorized to approve and execute the
Change Order request to Fire Station Alerting System Agreement with Keylite
Power & Lighting Corp. attached hereto as Exhibit B for the Fire Station Alerting
System upgrade for Fire Stations in an amount not to exceed $121,912.05 that
includes a $5,610 contingency with an effective date upon execution of the
Change Order. Authorizing the City Manager to take any and all actions
necessary to effectuate the Change Order request, including the execution of
additional service and other ancillary agreements necessary for the
implementation of this matter subject to further legal review.
SECTION 3: All Resolutions or parts of Resolutions in conflict herewith are

hereby repealed to the extent of such conflict.
SECTION 4: If any clause, section, other part or application of this
Resolution is held by any court of competent jurisdiction to be unconstitutional or
invalid, in part or application, it shall not affect the validity of the remaining
portions or applications of this Resolution.
SECTION 5: This Resolution shall become effective immediately upon its
passage and adoption.

Terms and Conditions
1 This offer is subject to the terms and and conditions of the System and Services Agreement between Broward County and Keylite Power&Lighting Corp(RFP
R1426611 P 1).
2 Includes One Year Basic Support warranty.
3 Monthly maintenance quote based on annual payments in advance.
4 All permit fees and related third-party field inspection expenses will be charged to Customer at cost with no markup.
5 Pricing assumes standard low voltage permit only.
6 Payment terms:45%with order,45%upon installation completion, 10%upon Beneficial Use or permit dose out,whichever occurs first.
7 Pricing valid for 45 days from date of quote. Price verification required thereafter.
8 Contingency funds included for additional costs. At completion of installation,unused contingency funds can be applied to maintenance costs or
additional equipment,and are refundable if desired.
9 Customer End User Authorized Agreement(EUAA)and Service Agreement(SA)must be executed before equipment can ship from USDD.

AGREEMENT EXHIBIT CERTIFICATION
The CITY OF TAMARAC (City), a municipal corporation wit princi al office ocated

The following terms are hereby added to the original Agreement:
Scrutinized Companies
By execution of this Agreement, in accordance with the requirements of F.S. 287.135 and
F.S. 215.473, CONTRACTOR certifies that CONTRACTOR is not participating in a boycott
of Israel. CONTRACTOR further certifies that CONTRACTOR is not on the Scrutinized
Companies that Boycott Israel list, not on the Scrutinized Companies with Activities in
Sudan List, and not on the Scrutinized Companies with Activities in the Iran Petroleum
Energy Sector List, nor has CONTRACTOR been engaged in business operations in Syria.
Subject to limited exceptions provided in state law, the CITY will not contract for the
provision of goods or services with any scrutinized company referred to above. Submitting
a false certification shall be deemed a material breach of contract. The CITY shall provide
notice, in writing, to CONTRACTOR of the CITY's determination concerning the false
certification. CONTRACTOR shall have five (5) days from receipt of notice to refute the
false certification allegation. If such false certification is discovered during the active
contract term, CONTRACTOR shall have ninety(90)days following receipt of the notice to
respond in writing and demonstrate that the determination of false certification was made in
error. If CONTRACTOR does not demonstrate that the CITY's determination of false
certification was made in error then the CITY shall have the right to terminate the contract
and seek civil remedies pursuant to Section 287.135, Florida Statutes, as amended from
time to time.

1 This offer is subject to the terms and and conditions of the System and Services Agreement between Broward County and Keylite Power&Lighting
Corp(RFP R1426611P1).
2 Includes One Year Basic Support warranty.
3 Monthly maintenance quote based on annual payments in advance.
4 All permit fees and related third-party field inspection expenses will be charged to Customer at cost with no markup.
5 Pricing assumes standard low voltage permit only.
6 Payment terms:45%with order,45%upon installation completion, 10%upon Beneficial Use or permit close out,whichever occurs first.
7 Pricing valid for 45 days from date of quote. Price verification required thereafter.
8 Contingency funds included for additional costs. At completion of installation,unused contigency funds can be applied to maintenance costs or
additonal equipment,and shall be non-refundable.
9 Customer End User Authorized Agreement(EUAA)and Service Agreement(SA)must be executed before equipment can ship from USDD.

The CITY OF TAMARAC (City), a municipal corporation with principal offices located

The following terms are hereby added to the original Agreement:
Scrutinized Companies
By execution of this Agreement, in accordance with the requirements of F.S. 287.135 and
F.S. 215.473, CONTRACTOR certifies that CONTRACTOR is not participating in a boycott
of Israel. CONTRACTOR further certifies that CONTRACTOR is not on the Scrutinized
Companies that Boycott Israel list, not on the Scrutinized Companies with Activities in
Sudan List, and not on the Scrutinized Companies with Activities in the Iran Petroleum
Energy Sector List, nor has CONTRACTOR been engaged in business operations in Syria.
Subject to limited exceptions provided in state law, the CITY will not contract for the
provision of goods or services with any scrutinized company referred to above. Submitting
a false certification shall be deemed a material breach of contract. The CITY shall provide
notice, in writing, to CONTRACTOR of the CITY's determination concerning the false
certification. CONTRACTOR shall have five (5) days from receipt of notice to refute the
false certification allegation. If such false certification is discovered during the active
contract term, CONTRACTOR shall have ninety(90)days following receipt of the notice to
respond in writing and demonstrate that the determination of false certification was made in
error. If CONTRACTOR does not demonstrate that the CITY's determination of false
certification was made in error then the CITY shall have the right to terminate the contract
and seek civil remedies pursuant to Section 287.135, Florida Statutes, as amended from
time to time.

1 This offer is subject to the terms and and conditions of the System and Services Agreement between Broward County and Keylite Power&Lighting Corp(RFP
R 1426611 P 1).
